I ARTICLES OF INCORPORATION OF THE PALMDALE COMMUNITY FOUNDATION 2087196 - JN2J 1993 -LL A California Nonprofit Public Benefit Corporation T4T Article I The name of this corporation is: PALMDALE COMMUNITY FOUNDATION Article II This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the California Nonprofit Public Benefit Corporation Law for public purposes. Article III The corporation's initial agent for the service of process in the State of California is: RICHARDS, WATSON & GERSHON, A Professional Corporation Article IV A. This corporation is organized and operated exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code. B. The specific purpose of the corporation is to receive contributions and donations from the public and to use such contributions and donations in support of any charitable, literary, or educational purpose authorized by Section 501(c) of the Internal Revenue Code, including the support of programs, projects, and activities sponsored by the City of Palmdale. C. No substantial part of the activities of this corporation may consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation may not participate or intervene in any political campaign (including the 980115 P399-O0001 yc 0593423 0 ---PAGE BREAK--- publication or distribution of statements) on behalf of any candidate for public office. Article V The property of this corporation is irrevocably dedicated to the charitable purposes set forth in paragraph B of Article IV above. No part of the net income or assets of this corporation will ever inure to the benefit of any director, officer, or member thereof, or to the benefit of any private individual. Upon the dissolution or winding up of this corporation, its assets remaining after payment, or the provision for payment, of all debts and liabilities of this corporation will be distributed to the City of Palmdale, California, a municipal corporation, for public purposes.
