Page 1 of 3 BY-LAWS OF OTSEGO COUNTY HOUSING COMMITTEE ARTICLE I - THE COMMITTEE Section 1 - Name of Committee - The name of the Committee shall be the "Otsego County Housing Committee". Section 2 - Offices of Committee - The offices of the Committee shall be in room 213 at the County Building in Gaylord, Michigan, but the Committee may hold its meetings in room 212 or 100 at the same. Section 3 - Members and Term - The Committee shall consist of not less than five nor more than seven members plus the Director/Secretary as outlined in Article II of Section 4. Members will be appointed for three-year terms. Terms to be alternating with no more than three per class. All members of the Housing Committee are also part of the emergency Housing Committee. Section 4 - Member Vacancy - A vacancy on the Committee will be filled by a suitable person selected by a majority vote of the Committee and approved by the Otsego County Board of Commissioners. ARTICLE II - OFFICERS Section 1 - Officers - The officers of the Committee shall be a Chairman, a Vice Chairman and a Director (who shall also be the Secretary of the Committee). Section 2 - Chairperson - The Chairperson shall preside at all meetings of the Committee, when present. At each meeting, the Chairperson shall submit such recommendations and information as he may consider proper concerning the business, affairs and policies of the Committee. Section 3 - Vice Chairperson - The Vice Chairperson shall perform the duties of the Chairperson in the absence or incapacity of the Chairperson; and in case of the resignation or death of the Chairperson the Vice Chairperson shall perform such duties as are imposed on the Chairperson until, such time as the Committee shall select a new Chairperson. Section 4 - Director/Secretary - The Director shall have general supervision over the administration of the business and affairs of the Committee, subject to the direction of the Committee. He/she shall be charged with the management of the Housing projects of the Committee. The Director/Secretary shall have the care and custody of all funds of the Committee under the direction of the County Treasurer. He/she shall sign all orders for the payment of money and shall disburse such moneys under the direction of the Committee. Except as otherwise authorized by resolution of the Committee, all such orders shall be countersigned by the Chairperson. He/she shall keep regular books of accounts showing transmittals, receipts, and expenditures and shall render to the Committee, at each regular meeting (or oftener when requested), an account of his/her transactions and also of the financial condition of the Committee. The compensation of the Director/Secretary shall be determined by the Otsego County Personal Committee and approved by the Otsego County Board of Commissioners. ---PAGE BREAK--- Page 2 of 3 Section 5 - Secretary - The Director may be Secretary of the Committee. He/she may keep the records of the Committee, may act as Secretary of the meetings of the Committee, and record all votes and may keep a record of the proceedings of the Committee in a journal of proceedings to be kept for that purpose, and may perform all duties incident to the office of Secretary. Section 6 - Additional Duties - The officers of the Committee shall perform such other duties and functions as may from time to time be required by the Committee or by-laws or rules and regulations of the Committee. Section 7 - Election or Appointment - The Committee will nominate members to be appointed for approval by the Otsego County Board of Commissioners. The Vice Chairperson shall be elected by the Housing Committee from among the members of the Committee, and shall hold office for the term of his/her Committee appointment. The election shall be by roll call vote with ayes and nays recorded. The Director/Secretary shall be appointed by the Otsego County Personnel Committee and approved by the Otsego County Board of Commissioners. Section 8 - Vacancies - Should the office of the Vice Chairman become vacant, the Committee shall elect a successor from its membership at the next regular meeting, and such election shall be for the unexpired term of said office. Section 9 - Additional Personnel - The Committee from time to time may employ such personnel as it deems necessary to exercise its powers, duties, and functions. Such personnel shall be selected and appointed by the Otsego County Board of Commissioners. Section 10 - Emergency Repairs - All members of the Housing Committee are also part of the emergency Housing Committee. The Director and three emergency board members will hold an emergency meeting to review and have the authority to proceed with emergency applications and business prior to biannual Committee meetings, providing the applicant meets the program funding. This information must be presented at the next biannual Committee meeting. Section 11 - Other Members - The Chairperson may appoint other members to outside Committee's established for the furtherance of the work of the Housing Committee with approval of the County Commission. ARTICLE III - MEETINGS Section 1 - Regular Meetings - Meetings shall be held biannually at the County Building in room 212. In the event any such date shall fall on a legal holiday, the meeting shall be held on the next succeeding secular day. Section 2 - Special Meetings - The Chairperson of the Committee may, when he/she deems it expedient shall call a special meeting of all the Committee for the purpose of transaction any business designated in the call. The call for a special meeting may be delivered at any time prior to the proposed meeting to each member of the Committee or may be mailed to the business or home address or each member of the Committee at least two days prior to the date of such special meeting. At such special meeting no business shall be considered other then as designated in the call. Section 3 - Quorum - At all meetings special and/or regular, of the Committee, four ---PAGE BREAK--- Page 3 of 3 members of a seven-person Committee shall constitute a quorum for the purpose of transacting business, or three members of a five-person Committee shall constitute a quorum for the purpose of transacting business. If a quorum is not present, the meeting will be rescheduled. Section 4 - Order of Business - At the regular meetings of the Committee the following shall be the normal order of business: 1. Roll Call 2. Pledge of Allegiance 3. Approval of the minutes of the previous meeting. 4. Unfinished Business 5. New Business 6. Other Business 7. Report of the Director & Inspector 8. Bills and Communications 9. Public Comment 10. Adjournment All resolutions shall be in writing, and each resolution shall be recorded in the minutes of the proceedings of the Committee. Section 5 - Manner of Voting - The voting on all questions coming before the Committee shall be by voice vote, and the ayes and nays shall be entered into the minutes of such meetings. All members present with exception of the Director/Secretary will have one vote. ARTICLE IV - AMENDMENTS Section 1 - Amendments to By-Laws - the by-laws of the Committee shall be amended only with the approval of at least four of the members of the Committee at a regular or special meeting.
