Project No: Parcel No: Key No: County: ORIGINAL RIGHT-OF-WAY AGREEMENT STP-M-7564(004) 19 03546 Latah THIS RIGHT-OF-WAY AGREEMENT, made this 2 Tflday of SE.PTE111B£R. , 2013 between the City of Moscow, Idaho, by and through the Moscow City Council, its Mayor and/or the authorized representative (hereinafter "CITY"), and Daniel and Mary Worsham (hereinafter "GRANTO RS"). NOW THEREFORE, the parties hereto agree as follows: 1. CITY shall pay GRANTORS and the lienholder(s), if any, such sums of monies as are set out below. GRANTORS agree to pay all taxes and assessments due and owing, including those for year not applicable; and GRANTORS shall execute and deliver to CITY a notarized instrument of conveyance corresponding to the interest acquired. 2. CITY shall revise the design of the official construction plans for the above referenced project to reflect revisions shown on the attached EXHIBIT as agreed upon by GRANTORS and CITY. 3. This Agreement shall not be binding unless and until executed by the Mayor of Moscow or the authorized representative. 4. The parties have herein set out the whole of their agreement, the performance of which constitutes the entire consideration for the grant of said right-of-way, and shall relieve CITY of all future claims or obligations on that account or on account of the location, grade and construction of the proposed highway. 5. GRANTORS represent that to the best of GRANTORS' knowledge, no hazardous materials have been stored or spilled on the subject property during GRANTORS' ownership or during previous ownerships at least insofar as has been observed or as GRANTORS have been informed. In the alternative, if GRANTORS have knowledge of storage or spill of hazardous materials on the subject property, that information is set out below. This sale is conditioned upon full disclosure of any such information. 6. GRANTORS agree to give CITY legal and physical possession of the property herein purchased by CITY on S&re-MB E'R 9-rU. ?of3 or upon GRANTORS' receipt of payment, whichever is later. 7. A Temporary Easement allows for ingress and egress during project construction and shall terminate upon project completion, as determined by CITY.
