HOLD HARMLESS AGREEMENT THIS HOLD HARMLESS AGREEMENT, made and entered into this 3 Dday of , 2014, by and between the City of Moscow, Idaho, a municipal corporat 1e State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 (hereinafter "Moscow"), and the Town of Uniontown, a incorporated town of the State of Washington, South 110 Montgomery, P 0 Box 79, Uniontown, Washington, 99179 (hereinafter "Uniontown"). W I T N E S S E T H: WHEREAS, William A. Shields (hereinafter "Shields") is currently employed as a full time police officer by Moscow; and WHEREAS, Uniontown has agreed to employ Shields as a part time police officer for Uniontown when Shields is not working for Moscow; and WHEREAS, Shields has voluntarily agreed to perform the duties of Chief of Police I Patrol Officer for Uniontown when Shields is not working for Moscow; and WHEREAS, Moscow and Uniontown each agrees to hold the other party to this Agreement harmless from any claim for damages arising from Shields's actions; NOW, THEREFORE, in consideration of the mutual promises and covenants herein, the parties agree as follows: I. MOSCOW'S COVENANT A. Moscow does hereby release Uniontown and any and all other officers, employees, volunteers, agents, insurers and any elected or appointed officials of Uniontown, individuals or entities affiliated with such persons and/or entities, from any and all civil liability or any and all forms of injury which may arise from the employment of Shields by Uniontown. B. Moscow forever discharges and releases Uniontown and any and all elected or appointed officials of Uniontown, and all officers, employees, volunteers, agents, insurers and any other individuals or entities affiliated with Uniontown from any and all claims, several or otherwise, past, present or future, which can or may ever be asserted as a result of any injuries or damages, physical or mental, sustained by Moscow which may arise from the employment of Shields by Uniontown. C. Moscow further agrees to release from liability and indemnify Uniontown from any claim for damages of whatever nature, and from any person or entity asserting such claim( s arising from William A. The terms of this Agreement are contractually and legally binding and no verbal statement to the contrary, by any person or entity, can void or alter the terms of this Agreement. II. UNIONTOWN'S COVENANT A. Uniontown does hereby release Moscow and any and all other officers, employees, volunteers, agents, insurers and any elected or appointed officials of Moscow, individuals or entities affiliated with such persons and/or entities, from any and all civil liability or any and all forms of injury which may arise from the employment of Shields by Uniontown. B. Uniontown forever discharges and releases Moscow and any and all elected or appointed officials of Moscow, and all officers, employees, volunteers, agents, insurers and any other individuals or entities affiliated with Moscow from any and all claims, several or otherwise, past, present or future, which can or may ever be asserted as a result of any injuries or damages, physical or mental, sustained by Uniontown. C. Uniontown further agrees to release from liability and indemnify Moscow from any claim for damages of whatever nature, and from any person or entity asserting such claim(s), arising from William A. Shields's actions as they pertain to the scope of his employment with Uniontown. D. The terms of this Agreement are contractually and legally binding and no verbal statement to the contrary, by any person or entity, can void or alter the terms of this Agreement.
