AGREEMENT FOR SERVICES THIS AGREEMENT, made and entered into this 19th day of November, 1990, by and between the Moscow-Latah County Economic Development Council, Inc., a non-profit corporation of the State of Idaho, (the EDC), and the City of Moscow, a Municipal Corporation of the State of Idaho, (the CITY); WHEREAS, the City Council of the CITY has deemed it in the public interest to contract for services provided by the EDC; and, WHEREAS, the EDC is willing to provide certain services to the CITY; WITNESSETH: NOW THEREFORE, PROMISES HEREIN SET FOLLOWS: AND IN FORTH, CONSIDERATION FOR THE MUTUAL THE PARTIES HEREBY AGREE AS I. The EDC hereby agrees, for the consideration set forth herein, to provide the CITY and its residents with the following economic development services during the fiscal year 1991 (October 1, 1990 through September 30, 1991) ; 1. EDC staff will provide technical assistance and consulting services to existing and start-up businesses in areas such as financing, business plan preparation, site selection, employee recruitment, business management and zoning/permitting processes. Staff will also produce a strategy for improving the availability of financing for Latah County small businesses including an analysis of the potential for a local revolving loan fund and the identification of local and regional venture capital resources. The EDC will sponsor two seminars for small businesses as a part of its educational and informational services. 2. The EDC will compile information regarding the long-term facility, employment and other requirements of Advanced Hardware Architecture, Inc. (AHA) and will prepare one or more comprehensive proposals identifying potential permanent sites for AHA in order to retain the company in Latah county. 3. The EDC will implement a highly-focused program to attract new businesses and new economic activity to Moscow-Latah County. Specific companies within ---PAGE BREAK--- specific, appropriate industries will be targeted for recruitment. Recruitment clients will be identified through leads provided by local businesses and individuals and through on-going local and regional networking activities. Personal visits to recruitment clients and hosted visits by recruitment clients to Moscow-Latah County will be conducted as appropriate. A marketing brochure and informational packet will be developed to complement this effort. 4. The EDC will actively work to support the continued growth and development of the programs, facilities, enrollment and technology commercialization activities of the University of Idaho. A major activity to be undertaken will be the initiation of a plan to facilitate the private development of additional housing for University students and faculty. The EDC will provide quarterly reports to the CITY documenting activities undertaken under this contract and other activities of the EDC. The EDC will work closely with City officials and maintain on-going coordination to eliminate potential duplication. The EDC will include the City's Community Development Director on its Board of Directors, as a non-voting member, to insure that the CITY'S interests are represented. In consideration for the aforementioned services, the CITY will pay the EDC the sum of $10, 000.00. This sum will be paid on a semi-annual basis with two payments of 000. 00 on or before the end of each six-month period. II. The EDC hereby agrees to provide all job creation documentation required by the Idaho Department of Commerce and the u.s. Department of Housing and Urban Development for the Business Technology Incubator located on the University of Idaho campus. Job documentation shall be consistent with the federal and state requirements and with the application for funding submitted by the CITY to the Idaho Department of Commerce. In consideration for the services covered in this section, the CITY will pay the EDC an additional sum of 000. III. The EDC is an independent contractor and the CITY accepts no responsibility of liability for the action of the EDC, its agents or employees. The EDC agrees to hold the CITY harmless and defend any claim against the CITY resulting from the actions of the EDC. ---PAGE BREAK--- IV. TERM: This agreement shall be valid from the date of its execution through September 30, 1991. IN WITNESS WHEREOF, the CITY by and through its Mayor and City Clerk, and the EDC, by and through its President and Secretary, have executed this agreement to be effective the day and year first set forth herein.
