AGREEMENT FOR SERVICES THIS AGREEMENT, made and entered into this 16th day of December, 1991, by and between the Moscow-Latah County Economic Development Council, Inc., a non-profit corporation of the State of Idaho, the (EDC) , and the City of Moscow, a Municipal Corporation of the State of Idaho, (the CITY) ; WHEREAS, the city Council of the CITY has deemed it in the public interest to contract for services provided by the EDC; and WHEREAS, the EDC is willing to provide certain services to the CITY; WITNESSETH: NOW THEREFORE, AND IN CONSIDERATION FOR THE MUTUAL PROMISES HEREIN SET FORTH, THE PARTIES HEREBY AGREE AS FOLLOWS: I. The EDC hereby agrees, for the consideration set forth herein, to provide the CITY and its residents with the following economic development services during the fiscal year 1992 (October 1, 1991 through September 30, 1992) ; 1. Business Recruitment The EDC will expand its program to attract new, appropriate businesses to Moscow - Latah County. Specific small businesses, within specific industries, will be targeted through a direct mail campaign. Potential recruitment clients will be identified through responses to the mail campaign and through leads generated as a result of regional coordination and local contracts. All potential recruitment clients will initially be personally contacted by phone. Personal visits to recruitment clients and hosted visits by recruitment clients to Moscow - Latah County will be conducted as appropriate. Recruitment trips to specific regions in Idaho, Washington, Oregon and California will also be conducted as recruitment opportunities are identified. Marketing materials will be maintained and updated as necessary. 2. Retention of Advanced Hardware Architectures, Inc. and Other Local Businesses The EDC will work with local and state government, private developers and community leaders to prepare and present one or more proposals for a ---PAGE BREAK--- permanent Latah County facility for Advanced Hardware Architectures, Inc. The EDC will work to obtain a firm commitment from AHA to locate its company at a specific site in Latah County and will then provide assistance to both the selected developer and the company in implementing development plans. The EDC will also work to retain other local businesses considering relocation or experiencing difficulty. 3. Provision of Technical Assistance to Existing and Start-Up Businesses The EDC will provide technical assistance, consulting services and referral services to promote the expansion and retention of existing businesses and the success of start-up businesses. Services will be provided in areas such as business plan preparation, site selection, employee recruitment, business management and compliance with zoning/permitting processes. The EDC will promote the use by local businesses of financing available through the Revolving Loan Fund program of the Clearwater Economic Development Association, loan and loan guarantee programs of the Small Business Administration and other appropriate small-business financing resources. The EDC will also work to increase the volume of purchases from local suppliers by major area purchasers such as the University of Idaho, the city of Moscow, Latah County and larger area businesses. 4. Program to Encourage New Housing Development The EDC will implement a program to encourage the development of new housing to meet the increasing demand particularly from new University of Idaho faculty members, staff members and students. 5. Active Coordination and Cooperation with the University of Idaho The EDC will maintain active coordination and cooperation with deans, department directors, faculty members and administrators of the University of Idaho to identify economic development opportunities and resources as well as to encourage the commercial development of scientific technologies in cooperation with the Idaho Research Foundation. ---PAGE BREAK--- 6. Community Development The EDC will work cooperatively with the City of Moscow and Latah County in addressing planning and zoning issues and public infrastructure needs that have an impact on economic development efforts. 7. Management of the North Central Idaho Business Technology Incubator The EDC will provide management services for the Business Technology Incubator, under an agreement with the University of Idaho. These services will include general management of the facility, staffing of the Incubator Advisory Board, provision of technical and relocation assistance to Incubator tenants, employee recruitment and management of employment documentation required under the Idaho Community Development Block Grant program. The EDC will provide quarterly reports to the CITY documenting activities undertaken under this contract and other activities of the EDC. The EDC will work closely with City officials and maintain on-going coordination to eliminate potential duplication. The EDC will include the City's Community Development Director on its Board of Directors, as a non-voting member, to insure that the CITY's interests are represented. In consideration for the aforementioned services, the CITY will pay the EDC the sum of $10,000.00. This sum will be paid on a semi-annual basis with two payments of $5,000.00 on or before the end of each six-month period. II. The EDC hereby agrees to provide all job creation documentation required by the Idaho Department of Commerce and the U.S. Department of Housing and Urban Development for the Business Technology Incubator located on the University of Idaho campus. Job documentation shall be consistent with the federal and state requirements and with the application for funding submitted by the CITY to the Idaho Department of Commerce. III. The EDC is an independent contractor and the CITY accepts no responsibility of liability for the action of the EDC, its agents or employees. The EDC agrees to hold the CITY harmless and defend any claim against the CITY resulting from the actions of the EDC. ---PAGE BREAK--- IV. TERM: This agreement shall be valid from the date of its execution through September 30, 1992. IN WITNESS WHEREOF, the CITY by and through its Mayor and City Clerk, and the EDC, by and through its President and Secretary, have executed this agreement to be effective the day and year first set forth herein.
