PROFESSIONAL SERVICES AGREEMENT BETWEEN CITY OF MOSCOW. IDAHO AND RESOURCE CARTOGRAPHICS This Professional z-vices Agreemnt (hereinatler referred to as "AGREEMENT") is made and entered into this day of /Y Jhª , 2002 by and between City of Moscow, Idaho, a municipal c orporation o f t he S ty o f Idaho, w hose a ddress is 20 6 E ast 3'd S treet, M oscow, Idaho, 83843, (hcrcinatler referred to as "CITY") and Resource Cartographies, a corporation of the State of Alabama, whose address is 214 Lancaster, Auburn, Alabama, 36830, (hereinatler referred to as "CONSULT ANT"). WHEREAS, CITY wishes to contract with CONSULTANT for the purpose of updating CITY'S Current Land Usc Map based upon previous work preformed by CONSULT ANT; NOW, THEREFORE, in consideration of the premises and the mutual promises of the parties hereinafter contained, the parties hereto mutually agree as follows: The work covered by this AGREEMENT is tor the filllowing project: PROJECT NAME: ORGANIZATION: Current Land Use Map Update City of Moscow, Idaho I. DUTIES AND RESPONSIBILITIES OF CONSULTANT DESCRIPTION OF WORK CONSULTANT shall provide professional services as outlined herein. a. Update the Current Land Use Map in the Comprehensive Plan ti.lf the City of Moscow, Idaho to depict all parcel development and redevelopment having occurred between April 1998 and April 200 I. b. Amend the color coding and legend which identify land use categories to CITY'S satisfaction such that land use categories are all easily distinguishable from each other. c. Provide one hard copy final map 44" x 36" no later than November l, 2002. d. Provide one ( l ) hard copy final map l l" x 17" no later than November I, 2002. e. Provide one digital copy final map in a tonnat agreed upon by ClTY and CONSULTANT no later than November I. 2002. f. Agree not to disseminate, in any fom1, int(mnation provided to CONSULTANT by CITY ti·om digitized Moscow Address Map or from GlS digital orthophotography images provided by CITY to CONSULT ANT used as reference f(lr the PROJECT. The GIS digital orthophotography and any digital copies shall be returned to CITY within one hundred eighty (I 80) days from the date of this Agreement unless, prior to such date, such is otherwise allowed by CITY in writing. 11. DUTIES AND RESPONSJBII.JTIES OF CITY CITY shall provide to CONSULT ANT, upon request, copies of any records or data on hand which are pertinent to the work under this AGREEMENT including, but not limited to, Moscow Address Map in digitized fonn acceptable to CONSULTANT and building penni! summaries for all months between April 1998 and April 2002. III. TIME AND NOTICE TO PROCEED CONSULTANT shall start work under this AGREEMENT no later than ten (I 0) calendar days from the receipt of the written NOTICE TO PROCEED. IV. BASIS OF PAYMENT The basis of payment for this AGREEMENT is an amount not to exceed One Thousand Nine Hundred Sixty Eight and Seventy Five One Hundredths Dollars ($1.968.75) payable in one lump sum at the completion of PROJECT or receipt by CITY of work described at I. above. Any infonnation shared by CITY with CONSULTANT, and identified as confidential by CITY, is confidential property. Confidential property will not be disclosed to any third party unless required by law. Without exception, all proposals provided to CITY by CONSULTANT are confidential, proprietary, intellectual property of CONSULTANT and shall not he shared with an organization outside CITY unless required by Jaw.
