COOPERATIVE AGREEMENT FY04 STATEWIDE RIDESHARE PROJECT CITY OF MOSCOW AND PCEI THIS AGREEMENT entered into this day of ftvl'l , 2004, by and between the City of Moscow, Idaho, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 (hereinafter "City"), and Palouse Clearwater Environmental Institute, Inc., an Idaho non-profit corporation, 112 West 4'h Street, Suite I, Moscow, Idaho, 83843 (hereinafter "PCEf'). WHEREAS, PCEI is an Idaho, non-profit corporation not operated by City or any other governmental agency; and WHEREAS, the Idaho Transportation Department (hereinafter "ITD") provides grants to cities for public transportation that are unavailable to private, non-profit corporations; and WHEREAS, City has received funding through its Cooperative Agreement FY04 Statewide Rideshare Project City of Moscow STP-0004(003) Key No. 8141 as part of the fiscal year 2004 Statewide Ridesharing Project (hereinafter "Project"); and WHEREAS, City and PCEI believe that PCEI is well suited to administer such Project; NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree as follows: I. City has been granted funding of its Ridesharing Project. City agrees to deliver all Project proceeds to PCEI for the operation of activities related to such Project Monies for such Project shall be in the sole possession of the City; however, PCEI may make recommendations to City for uses of such monies. 2. PCEI agrees to strictly adhere to all requirements and assurances of lTD pursuant to such Project. PCEI shall hold the City harmless from any lTD and/or Federal sanctions for non-compliance with Project including, but not limited to, the repayment of any monies distributed by City to PCEI for purposes stated herein.
