We understand that a portion of our work will be to recommend an exact site for the dogpound because the area has been used for a landfill. The purpose of our work will be to evaluate the subsurface soil conditions for their ability to support the proposed building. To accomplish this purpose we propose to excavate three or four backhoe test pits using the City's backhoe. The soils exposed in each test pit will be logged and classified by an engineer or geologist from our Moscow office. We will preform in-place density tests using a nuclear densimeter to evaluate the strength and the density and moisture content of the in-place soils. Based upon the results of our field work, in-place soil testing, and analysis we will prepare a report containing our conclusions and our design recommendations including, but not limited to, the following: Anticipated Settlements Excavation Difficulties Safe Slope Angles Foundation Type(s) Bearing Strata Bearing Pressures Minimum Footing Dimensions Foundation Construction Lateral Earth Pressures Floor Slab Surface Drainage Subsurface Drainage Compaction Requirements Seismic Considerations We propose to perform our work for a lump sum fee of $1,150. S _ HCI shall notify owner (Client) herein after referred to as Client, before Estimated Total Cost is exceeded and shall not continue to provide services beyond such limit unless Client authorizes an increase. Individual services budgets may be exceeded without Client authorization as long as the Estimated Total Cost is not exceeded. METHOD OF CHARGING ANY PAYMENT CONDITIONS Unless otherwise stated, the method of charging for services shall be on a time and materials basis and shall be based on the Schedule of Charges in effect when services are perfonned. The current Schedule of Charges is shown above as Individual Services Estimate or in the project proposal, a copy of which is attached hereto and made a part hereof. HCI shall periodically submit invoices to client, but no more frequently than every two weeks. Client shall pay each invoice within thirty (30) days of invoice date. An account will be considered past due after 30 days and if not paid, will be subject to a $25.00 rebilling charge. If client objects to all or any portion of an invoice, Client shall notify HCI within fourteen (14) days of the invoice date, identify the nature of disagreement, but pay when due that portion of the invoice not in dispute. Client shall pay an additional charge of one-and-one-half (1.5) percent of the invoiced amount in dispute and resolved in favor of HCI. Payment thereafter shall first be applied to accrued interest and then to the principal unpaid amount. Invoices paid in full within seven days of invoice date shall be discounted five percent (5 . If Client fails to pay undisputed invoiced amounts within thirty (30) days of the date of invoice, HCI may at any time, without waiving any other claim against Client and without thereby incurring any liability to Client, suspend this agreement by giving a ten (10) day written notice to Client suspending further performance until such payment is restored to a current basis. In the event of a legal action brought by HCI against Client for invoice amounts not paid, attorney's fees, court costs, and other related expenses shall be paid to the prevailing party. Owner (Ciicnl) Namo CITY OF :t-10SCOW Project Location Evaluati011 MclhodA BACKHOE (City) PROFESSIONAL RESPONSIBILITY Unless expressly provided in a Proposal or Addendum (and then only to the extenl expressly defined), HCI shall not specify construction procedures, manage or supervise construction, or implement or be responsible for health and safety procedures; shall not be responsible for the acts or omissions of contractors or other parties on the project; and shall not have control or charge of and shall not be responsible for construction means, methods, techniques, sequences, or procedures, or for safety precautions. In the event HCJ, by addendum or report, expressly assumes health and safety responsibility shall not be deemed an acceptance of responsibility for other health and safety elements such as those relating to excavating, trenching, drilling and backfilling. HCI testing or inspection of portions of the work of other parties on a project shall not relieve such other parties from their responsibility for perfonning their work in accordance with applicable plans, specifications and safety requirements. HCI may recommend construction monitoring. IfHCI is not retained to perfonn the monitoring, Client recognizes that HCI cannot be responsible for soil engineering related construction defects, errors and omissions. HCI represents that the services shall be perfonned, within the limits prescribed by Client, in a manner consistent with that level of care and skill ordinarily exercised by other professional consultants under similar circumstances. No other representations to Client, expressed or implied, and no warranty or guarantee is included or intended in this Agreement, or in any report, opinion, document or otherwise. DISCOVERY OF ASBESTOS OR UNANTICIPATED HAZARDOUS MATERIALS Asbestos or hazardous materials or certain types of hazardous materials may exist at a site where there is no reason to believe they could or should be present. HCI and Client agree that the discovery of unanticipated hazardous materials constitutes a changed condition mandating a renegotiation of the scope of work or tennination of services. HCI and Client also agree that the discovery of unanticipated hazardous materials will make it necessary for HCI to take immediate measures to protect human health and safety, and/or the environment. HCI agrees to notify Client as soon as practically possible should unanticipated hazardous materials or suspected hazardous materials be encountered. Upon discovery of hazardous materials HCI will take any and all measures that in HCI's professional opinion are justified to preserve and protect the health and safety ofHCJ's personnel and the public, and/or the environment until such time the Client can remedy the exposure problem to the unanticipated hazardous materials. Client further agrees to compensate HCJ for the additional cost of such work. In addition, Client waives any claim against HCI, and agrees to indemnify, defend and hold HCJ and its employees, consultants and/or subcontractors, harmless from any claim or liability arising from HCI's encountering of unanticipated asbestos or other hazardous materials or suspected hazardous materials. Client also agrees to compensate HCI for any time spent and expenses incurred by HCI in defense of any such claim, with such compensation to be based upon HCI's prevailing fee schedule and expense reimbursement policy.
