Technical Systems Incorporated 23030 I 96th Street S W Suite B W A 98036 RE: Software Support Service Contract City of Moscow, Idaho Wastewater Treatment Plant Dear Mr. Conley: This letter provides written "Notice to Proceed" pending final execution of Agreement For Professional Software Programming for Wastewater Treatment Plant Phase Ill, between City of Moscow, Idaho and Technical Services Incorporated. Between City Of Moscow, Idaho And Technical Systems, Inc. (TSI). This Notice authorizes TSI sufficient funding for initiating Essential Scope Of Work elements identified in Attachment enclosed. At this time the City is authorizing work specified in Attachment for a price not to exceed Fifty Thousand Dollars ($50,000) until such time as the final Agreement is executed by TSI and countersigned by the Mayor of the City of Moscow, Idaho. We anticipate final approval of the Agreement to be authorized during the City Council meeting on November 5, 200 I. By signing this "Notice to Proceed", TSI affirms that final Agreement is likely and further agrees to proceed according to elements and obligations defined in Attachment We are anxious to begin work on this project. The City is taking this action ahead of final Agreement signing in good faith. (TSI) SCOPE OF WORK GENERAL REQUIREMENTS: Deliverables associated with this Scope Of Work shall be in a format and media consistent with CITY operating systems. Where defined, reports, manuals, technical memoranda, billing invoices, meeting minutes and project documentation shall be Microsoft 'WORD" and "EXCEL" 2000. One electronic final copy shall accompany all final reports and manuals. SCOPE OF WORK ASSUMPTIONS: CONSULTANTS recognize that time is of the essence in this Agreement. CONSULTANTS shall utilize 'Wonderware• and "SCADA!arm" software packages for meeting Scope Of Work deliverables as detailed in this Scope Of Work. CONSULTANTS shall provide these software packages and convey all license agreements to CITY prior to final PROJECT payment by CITY. CONSULTANTS accepts all delivery charges or transportation expenses associated with completing tasks identified in this Scope Of Work. The total price for completing this Scope Of Work is not to exceed Two Hundred Seventy Five Thousand Dollars ($275,000). TASK 1: Project Management CONSULTANTS shall provide a PROJECT MANAGER responsible for PROJECT coordination and scheduling, PROJECT accounting and billing. CONSULTANTS shall schedule a PROJECT kickoff meeting between CITY, Moscow's Wastewater Treatment Plant (WWTP) consultant engineer and appropriate contractor(s) prior to performing any site work. CONSULTANTS shall provide for bi-weekly progress reports to CITY during the term of this Agreement. CONSULTANTS shall provide a single contact person as PROJECT MANAGER for THE PROJECT and notify CITY in writing should PROJECT MANAGER be removed from THE PROJECT prior to PROJECT completion. PROJECT MANAGER shall invoice CITY or on a schedule deemed appropriate by CITY. Prior to the first invoice, CONSULTANTS shall develop a billing format approved by CITY. CONSULTANTS may, with approval from CITY, reallocate any and all task hours to various Scope Of Work elements during the agreement period of THE PROJECT. Deliverables: CONSULTANTS shall coordinate and manage THE PROJECT kickoff meeting. CONSULTANTS shall provide meeting minutes and THE PROJECT schedule. CONSULTANTS shall provide an invoice format for CITY approval. CONSULTANTS shall provide a PROJECT MANAGER and bi-weekly progress reports during the duration of this Agreement. CONSULTANTS estimate this task taking eighty (80) hours. TASK 2: Facility Control Workshops Deliverables: CONSULTANTS shall host two workshops at the WWTP resolving outstanding issues prior to PLC programming. CONSULTANTS shall document issues raised during these workshops and provide a summary to WWTP engineer and CITY. CONSULTANTS shall provide proposed resolutions to outstanding PLC issues in a technical memo to CITY. CONSULTANTS estimate this task taking forty (40) hours. Professional Services Agreement- TSI Attachment Page 1 of 4 ---PAGE BREAK--- TASK 3: Graphic Display Workshops Deliverables: CONSULT ANTS shall host two workshops at the WNTP establishing graphic standards as described in the Application Software Functional Specifications (Attachment to this Agreement). CONSULTANTS shall provide a technical memorandum summarizing decisions resulting from the workshop. CONSULTANTS estimate this task taking sixty (60) hours. TASK 4: Reporting System Development Workshop Deliverables: CONSULT ANTS shall host a workshop at the WNTP establishing report formats prior to report development. CONSULTANTS shall provide a technical memo summarizing decisions made at the workshop. CONSULTANTS estimate this task taking sixteen (16) hours. TASK 5: Siemens S7-400 PLC programming Deliverables: CONSULTANTS shall program S7-400 PLC for all functions identified in Attachment to this Agreement. CONSULTANTS estimate this task taking eight hundred (800) hours. TASK 6: VFD's/Siemens 900 Power Monitors Profibus Communications and Application Software Development Deliverables: CONSULTANTS shall program VFD's/Siemens 900 Power Monitors Profibus Communications and Application Software Development for all functions identified in Attachment CONSULTANTS estimate this task taking eighty (80) hours. TASK 7: Human Machine Interface Development Deliverables: CONSULTANTS shall configure and program all graphic screens on two personal computers and an industrial Siemens computer. CONSULTANTS assume that no more than sixty five (65) screens shall be developed pursuant to needs as stipulated in Attachment to this Agreement, with no more than twenty five (25) of these screens being "complex". CONSULTANTS shall install and configure parameters for one development 'Wonderware· package and two 'Wonderware" run time packages. CONSULTANTS estimates this task taking four hundred forty (440) hours. TASK 8: PC Anywhere Remote Access Deliverables: CONSULTANTS shall program the SCADA system allowing plant operations staff to "remotely" dial into the system via a laptop computer and monitor and/or make changes remotely as necessary. CONSULTANTS estimate this task taking forty (40) hours. TASK 9: Remote Alarm Notification Deliverables: CONSULTANTS shall configure the alarms from the HMI to the dialer software and configure the hardwired alarm dialer as a backup. CONSULTANTS shall provide a technical memo identifying the specific alarms targeted in this effort. CONSULTANTS estimate this task taking eighty (80) hours. Professional Services Agreement - TSI Attachment Page 2 of 4 ---PAGE BREAK--- TASK 10: Automatic Backup Routine Deliverables: CONSULTANTS shall configure the automatic backup system so that all operating information is backed up to a CD-RW daily and a full backup is accomplished pursuant to requirements detailed in Attachment to this Agreement. CONSULTANTS estimate this task taking thirty six (36) hours. TASK 11 : Report Generation Deliverables: Pursuant to Attachment requirements, CONSULTANTS shall develop automatic reports that are auto generated into spreadsheet files. Prior to implementing this task, CONSULT ANTS shall meet with WWTP engineer and verify appropriate reports and spreadsheet formats. CONSULT ANTS shall provide a technical memorandum stipulating specific elements contained within the reports. CONSULTANTS estimate this task taking one hundred fifty (150) hours. TASK 12: Factory Testing Deliverables: CONSULTANTS shall conduct a full factory test in their facility Washington) that shall test all communication and stimulate each 1/0. CONSULTANTS shall attend the factory approved test ("FAT") (Pantrol in Spokane, WA) witnessing the data transfer between the SCADA nodes. CONSULTANTS shall provide CITY a letter stipulating the results of the FAT. CONSULTANTS estimate this task taking one hundred fifty (150) hours. TASK 13: Operational Testing Deliverables: CONSULTANTS shall coordinate CITY, WWTP engineer and contractor testing all operational features of this Scope Of Work. Sequential and random testing shall be provided by CONSULTANTS. CONSULTANTS shall provide a technical memorandum detailing the results of this scope element. CONSULT ANTS estimates this task taking three hundred seventy five (375) hours. TASK 14: Training Deliverables: CONSULTANTS shall provide training pursuant to Attachment to this Agreement. In addition, CONSULTANTS shall meet with CITY and confirm WWTP staff training needs beyond those as identified in Attachment to this Agreement. CONSULTANTS shall allocate training time based on this need assessment. CONSULTANTS estimate this task as taking forty (40) hours. TASK 15: Operating and Maintenance Manuals CONSULTANTS shall provide operating and maintenance manuals containing appropriate application software documentation. This documentation shall allow WWTP to access programming codes and enable modifications to it. CONSULTANTS estimate this task as taking one hundred fifty (150) hours. TASK 16: Final Project Documentation CONSULTANTS shall provide final documentation of THE PROJECT including table of contents and executive summary. The final documentation shall include all technical memoranda and any additional documentation deemed appropriate by CONSULT ANTS and/or CITY. Professional Services Agreement- TSI Attachment Page 3 of 4 ---PAGE BREAK--- TASK 17: CONSULTANTS Supplied Materials CONSULTANTS shall provide the following: • One Siemens PLC S7-412 processor, Ethernet communications card, memory card, nine slot rack and power supply; price not to exceed Eight Thousand Five Hundred Dollars 500). • Per diem costs not to exceed Twelve Thousand Dollars ($12,000). • One copy of In Touch 7.11 "Wonderware" development package and two run time packages; price not to exceed Twenty Four Thousand Ninety Three Dollars ($24,093). • One copy of "SCADA!arm"; price not to exceed Two Thousand Three Hundred Ninety Two Dollars ($2,392). Prior to CONSULTANTS purchasing software, CONSULTANTS shall consult with CITY on the appropriateness of "lntouch Factory Suite• as a potential alternate.
