SECOND AMENDED PROFESSIONAL SERVICE CONTRACT AGREEMENT BETWEEN THE CITY OF MOSCOW, IDAHO AND TERRAGRAPHICS ENVIRONMENTAL ENGINEERING, INC. PROVIDING CONSULTING SERVICES IN SUPPORT OF THE GREATER MOSCOW AREA COALITION EPA BROWNFIELDS ASSESSMENT GRANT This Second Amended Agreement is made and entered into between the City of Moscow, Idaho (hereinafter "CITY"), and TERRAGRAPHICS ENVIRONMENTAL ENGINEERING, INC. (hereinafter "CONSULTANT"). 1. The following paragraph, ARTICLE II, DURATION OF AGREEMENT, 2.1, Term of Agreement, extends the term of the original AGREEMENT executed on gth day of August, 2011, until September 30, 2014, as follows: ARTICLE II DURATION OF AGREEMENT 2.1 Term of Agreement. This Agreement shall remain effective as of August 1, 2012. Unless otherwise terminated, this Agreement shall be effective for issuing new Task Orders and it shall be effective until completion of the Scope of Services with CONSULTANT, through September 30, 2014, whichever comes first. Active Task Orders which are not complete at the time that the Agreement terminates, shall continue or shall be amended as required, so such Task Order(s) may be completed. 2. All other terms and conditions of the original Agreement remain the same. IN WITNESS WHEREOF, this Agreement is executed by CITY, acting by and through its Mayor, and by CONSULTANT.
