MEMORANDUM OF UNDERSTANDING This Agreement entered into this 18th day of July, 1994, by and between Moscow School District No. 281, a governmental subdivision of the State of Idaho (hereinafter "District") and the City of Moscow, a municipal corporation of the State of Idaho (hereinafter "City"), to clarify the relationship between the District and the City as to current and future relationships regarding the joint development and maintenance of the Oylear property. WITNESSETH: WHEREAS, the District owns certain real property within the City of Moscow known as the "Oylear Property"; and WHEREAS, the District and the City desire to develop recreational opportunities for the citizens and young people of the City of Moscow; and WHEREAS, the parties desire to cooperate and jointly develop the Oylear Property for long term recreational uses, and to participate in such development to the fullest extent possible. NOW THEREFORE the parties agree as follows: 1. The intent of the parties in agreeing to the cooperative effort of developing and maintaining the Oylear Property for recreational purposes is to provide a level, grassy area that may be used jointly by the District and the City, and to a lesser extent, by other community organizations providing youth activities. The parties enter this project as partners and any major decisions affecting the use of the Oylear Property will be discussed with the other party. 2. The District agrees to the long term commitment of the Oylear Property for recreational purposes. 94-51 ---PAGE BREAK--- 3. The City agrees to assume the costs of maintaining the Oylcar Property for usc as a recreational site, including labor, equipment and materials for the first five years, including the 1999 use season. At the end of this five year period, the parties shall negotiate the maintenance responsibilities based upon the situation at that time. 4. The City agrees to provide Fifteen Thousand Dollars ($15,000.00) cash, in addition to engineering assistance, project construction supervision, design and installation of the irrigation system and drainage system, planting of grass and immediate maintenance needs. 5. The District agrees to provi1f One Thousand Five Hundred Dollars ($41,500.00) in cash, in addition to providing recruitment of volunteers to assist in such project and organizing and directing additional fund-raising efforts. 6. The staffs of the respective parties shall work together and in co-operation in resolving issues of scheduling and administration. IN WITNESS WHEREOF, the Public Entities, by and through their elected officials and CONTRACTOR, by and through its president and secretary, have caused this agreement to be executed the day and year first above written.
