AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN CITY OF MOSCOW, IDAHO AND BBC RESEARCH AND CONSULTING (IMPACT FEES) THIS AGREEMENT FOR PROFESSIONAL SERVICES Between City of Moscow, Idaho '!fd BBC ReseJ ch ;ll d Consulting (Impact Fees) (hereinafter "Agreement"), is made this p,u day of . , 2007, by and between the City of Moscow, Idaho, a municipal corporation of the State of daho (heremafter "CITY"), 206 East Street, Moscow, Idaho, 83843, and BBC Research and Consulting, a Subchapter S Corporation organized under the laws of the State of Colorado (hereinafter "CONSULTANT"), 3773 Cherry Creek North Drive, Suite 850, Denver, Colorado, 80209-3827. WHEREAS, CITY has the need to contract with a consultant for professional services to provide assistance with establishing a development impact fee program and capital improvement plan; and WHEREAS, CONSULTANT has agreed to contract with CITY according to the terms and conditions set forth in this Agreement; NOW, THEREFORE, CITY and CONSULTANT hereto agree as follows: 1. Scope of Services: CONSULTANT shall undertake the scope of services related to the analysis of streets, parks, police, fire, and storm water impact fees attached hereto as Exhibit (hereafter "Scope Of Services"), and Exhibit (letter to Gary J. Riedner dated July 6, 2007 from Thomas A. Pippin) and incorporated herein by this reference, the same as if fully copied and transcribed. 2. Time of Performance: CONSULTANT shall immediately proceed to undertake the tasks set forth in the Scope Of Services. 3. Indemnification and Insurance: CONSULT ANT shall indemnify and save and hold harmless CITY from and for any and all losses, claims, actions, judgments for damages, or injury to persons or property and losses and expenses caused by negligence of CONSULT ANT, its servants, agents, employees, guests, and business invitees. In addition, CONSULTANT shall maintain and specifically agrees that it will maintain, through the term of this Agreement, Workers' Compensation, General Liability insurance, and Professional Errors and Omissions in the minimum amount as specified in the Idaho Tort Claims Act set forth in Title 6, Chapter 9 of the Idaho Code. CONSULTANT, upon request, shall provide CITY with a Certificate of Insurance, or other proof of insurance evidencing CONSULTANT'S compliance with the requirements of this paragraph and file such proof of insurance with CITY. 4. Independent Contractor: In all matters pertaining to this Agreement, CONSULTANT shall be acting as an independent contractor, and neither CONSULT ANT nor any officer, employee or agent of CONSULTANT shall be deemed an employee of CITY. Compensation: CONSULTANT shall be compensated for the work performed under this Agreement an amount not to exceed thirty five thousand dollars ($35,000). CONSULTANT shall invoice CITY on a percent complete basis tied to the Scope Of Services listed in Exhibit 6. Method of Payment: CONSULTANT will invoice the City of Moscow, Idaho Finance Department at P 0 Box 9203, Moscow, Idaho, 83843, directly for all current amounts earned under this Agreement at the end of each month. CITY will pay all invoices within thirty (30) days after receipt. 7. Notices: Any and all notices required to be given by either of the parties hereto, unless otherwise stated in this agreement, shall be in writing and be deemed communicated when mailed in the United States mail, certified, return receipt requested, addressed as follows: City of Moscow Gary J. Attorney Fees: Should any litigation be commenced between the parties hereto concerning this Agreement, the prevailing party shall be entitled, in addition to any other relief as may be granted, to court costs and reasonable attorneys' fees as determined by a Court of competent jurisdiction. This provision shall be deemed to be a separate contract between the parties and shall survive any default, termination or forfeiture of this Agreement. 9. Time is of the Essence: The parties hereto acknowledge and agree that time is strictly of the essence with respect to each and every term, condition and provision hereof, and that the failure to timely perform any of the obligations hereunder shall constitute a breach of, and a default under, this Agreement by the party so failing to perform. I 0. Assignment: It is expressly agreed and understood by the parties hereto, that CONSULT ANT shall not have the right to assign, transfer, hypothecate or sell any of its rights under this Agreement except upon the prior express written consent of CITY. 11. Discrimination Prohibited: In performing the Services required herein, CONSULT ANT shall not discriminate against any employee or applicant for employment on the basis of race, color, PROFESSIONAL SERVICES AGREEMENT IMPACT FEE BBC RESEARCH; CiTY OF Moscow PAGE 2 OF 5 ---PAGE BREAK--- religion, creed, political ideals, sex, sexual orientation, age, marital status, physical or mental handicap, or national origin. 12. Duplication, Reproduction and Use of Material: No material produced in whole or in part under this Agreement shall be subject to copyright in the United States or in any other country. CITY shall have unrestricted authority to publish, disclose and otherwise use, in whole or in part, any reports, data or other materials prepared under this Agreement. 13. Termination for Cause: 1f, through any cause, CONSULTANT, its officers, employees, or agents fails to fulfill in a timely and proper manner its obligations nuder this Agreement, violates any of the covenants, agreements, or stipulations of this Agreement, CITY shall thereupon have the right to terminate this Agreement by giving written notice to CONSULTANT of such termination and specifying the effective date thereof at least fifteen (15) days before the effective date of such termination. In such event, all finished or unfinished documents, data, maps, studies, surveys, drawings, models, photographs and reports prepared by CONSULTANT under this Agreement shall, at the option of CITY, become its property, and CONSULTANT shall be entitled to receive just and equitable compensation for any work satisfactorily completed hereunder. Notwithstanding the above, CONSULTANT shall not be relieved of liability to CITY for damages sustained by CITY by virtue of any breach of this Agreement by CONSULTANT, and CITY may withhold any payments to CONSULT ANT for the purposes of offset until such time as the exact amount of damages due CITY from CONSULT ANT are determined. This provision shall survive the termination of this Agreement and shall not relieve CONSULTANT of its liability to CITY for damages. CITY understands and acknowledges that CONSULTANT has the right to terminate due to cause instigated by CITY. In that situation, CONSULTANT would have the same rights as CITY identified herein. 14. Termination for Convenience of CITY or CONSULTANT: CITY or CONSULTANT may terminate this Agreement at any time by giving at least fifteen ( 15) days notice in writing to the other Party. If the Agreement is terminated by CITY, CONSULTANT will be paid an amount that bears the same ratio to the total compensation as the services actually performed bear to the total services covered by this Agreement, less payments of compensation previously made. If this Agreement is terminated due to the fault of CONSULTANT or CITY, Section 13 hereof shall apply. 15. Construction and Severability: If any part of this Agreement is held to be invalid or unenforceable, such holding will not affect the validity or enforceability of any other part of this Agreement so long as the remainder of the Agreement is reasonably capable of completion. 16. Payment of City Established Living Wage I Minimum Wage Required. As a condition of this Agreement, BBC Research and Consultants shall pay to all laborers, mechanics, subcontractors, employees, agents, and assigns who perform services for City PROFESSIONAL SERVICES AGREEMENT IMPACT FEE BBC RESEARCH; CITY OF Moscow PAGE30F 5 ---PAGE BREAK--- pursuant to this Agreement, working full time, the living wage I minimum wage established by Resolution 2006-18 or as established by duly adopted Resolution of the Moscow, Idaho City Council, whichever is greater, during the pendency of this Agreement. Such City living wage I minimum wage shall be that in effect on the date of execution of this Agreement. Failure to pay such living wage I minimum wage shall be considered to be a breach of this Agreement. 17. Entire Agreement: This Agreement contains the entire agreement of the parties and supersedes any and all other agreements or understandings, oral of written, whether previous to the execution hereof or contemporaneous herewith. 18. Applicable Law: This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Idaho, and the ordinances of the City of Moscow. 19. Jurisdiction and Venue. It is agreed that this Agreement shall be construed under and governed by the laws of the State of Idaho. In the event of litigation concerning it, it is agreed that proper venue shall be the District Court of the Second Judicial District of the State of Idaho, in and for the County of Latah. 20. Approval Required: This Agreement shall not become effective or binding until approved by the City of Moscow. Task I. Project initiation • Task I-1. Contract execution. • Task 1-2. Formalize schedule, development impact fee advisory committee and public input process. • Task I-3. "Kick-off' meeting with the development impact fee advisory committee. Task II. Analysis of current conditions, current financing systems, infrastructure requirements and new system options • Task 11-1. Collect and review available data on current service levels for use in providing an introduction to service delivery issues and for developing infrastructure expansion cost estimates and service delivery standards. • Task 11-2. Review and evaluate current long-term capital financing systems. • Task 11-3. Analyze CITY'S current debt financing systems and document extent of current indebtedness; identify infrastructure that has been acquired with borrowed funds. • Task 11-4. Review and evaluate CITY'S long-term infrastructure requirements as defined in the most recent Capital Improvement Program (hereinafter "CIP") recognizing the three sources of infrastructure demand: repair/replacement of existing facilities, betterment of CITY service standards, institution of new services, and expansion of facilities for new development. • If Master Plan-based CIP does not exist or is not current, CONSULTANT will work with CITY to develop one based on public and advisory committee input, cost estimates, and our service standard "mles of thumb" gleaned from past impact studies. • Task 11-5. Hold a required public hearing on the CIP. EXHIBIT"A" ---PAGE BREAK--- Task III. Analysis of current and future land use • Task 111-1. Collect data on current land use patterns in the City of Moscow, Idaho including the acreage and square footage of different types of uses and the numbers and types of housing units. • Task III-2. Evaluate any ex1stmg projections or development trends, including population projections that indicate current direction of development in terms of physical locale and types of land use development. • Task III-3. Based on the above information, generate calculations documenting current development in the City of Moscow and forecast of future development over the next twenty (20) years. Task IV. Calculation of preliminary development fees • Task IV-1. Calculate preliminary fees. This will include the following steps: > Quantify capital costs (data from Task III) > Quantify unit costs (data from Task III to derive $/unit or $/sq. ft.) > Determine land to development conversion ratios > Calculate revenue credits (bonded indebtedness) if appropriate > Prepare fee schedules and spreadsheets > Define benefit areas if appropriate > Develop a preliminary fee schedule • Task IV-2. Develop a plan for implementation and administration of proposed fees including "credit" procedures. • Task IV Meet with the development impact fee advisory committee. • Task IV Hold required public hearing on preliminary development impact fee schedule. Task V. Impact fee system final design and documentation • Task V-1. The revisions include adding storm drainage impact fees to the scope of work and budget, and specifying the number of meetings included in the proposal. Proposal Organization We have organized the remainder of this proposal as follows: • A description of the project team's qualifications and experience; • A discussion of past performance and clients; • A breakdown of the proposed fees by fee study component; • A proposed project schedule; and • A discussion of our proposed scope of services. We are often called to provide expert testimony on behalf of our clients. Specific Team Qualifications We have selected this team for the City of Moscow wirh particular care. Our firm, BBC, has prepared over seventy impact fee studies in the Rocky Mountain West and has a track record of successful research statewide for the Idaho Housing and Finance Association. The project team has calculated impact fees for the cities of Boise, Caldwell, Nampa and Meridian, and is currently calculating parks, police, fire, EMS, and street impact fees, for Shoshone County, the City of Middleton and City of Twin Falls. Team members have calculated development impact fees in all categories allowed by Idaho State law. BBC has also completed local housing and community development studies for Ada County, Driggs, Teton County, Pocatello, Rexburg and Lewiston, and recently finished urban renewal assignments for the City of Coeur d'Alene and City of Sandpoint in conjunction with Galena Consulting. Tom Pippin will manage this project and serve as your day-to-day contact. Tom is a 17 -year veteran and Managing Director of BBC, and oversees the firm's housing and public finance practices. Tom has spoken to a variety of industry groups including the National Association of Housing and Redevelopment Offtcials, National Council of State Housing Agencies, Rocky Mountain Land Use Institute, American Planning Association and Colorado Government Finance Officers Association. He has managed all of BBC' s assignments for the Idaho Housing and Finance Association from 1992 through the present and the recent development impact fee work in Boise, Caldwell, Nampa, Twin Falls and Meridian, Idaho. In addition to his work designing development fee systems, he has experience in a wide range of public finance areas, including fiscal impact analysis, tax increment financing, financial strategy and others. ---PAGE BREAK--- Page3 JoAnn Butler of Spink, Butler in Boise is a land use attorney, a former Director of Planning Advisory Services for the American Planning Association, and has extensive impact fee experience. She has assisted in the development of impact fees for the City of Caldwell, is currently working with the project team on the development of impact fees for the Ciry of Meridian, served on the Ciry of Boise's Park Development Impact Fee Advisory Committee, presented impact fee seminars in Meridian and Pocatello for the Association of Idaho Cities, and published a chapter on impact fees in the Land Use Law Handbook. Representing developers, Ms. Butler has worked with the City of Nampa ro evaluate their impact fee ordinance, and monitors Idaho legislative activity in connection with impact fees. JoAnn's participation on the project team ensures that the methodology chosen complies with Idaho State law. She will also assist with facilitating the development impact fee advisory committee and required public hearings under Idaho state law. Ms. Butler can work directly with Ciry legal staff to write the impact fee ordinance, if needed. Anne Wescott of Galena Consulting in Boise is a municipal management analyst with extensive capital infrastructure planning and financing experience. She has facilitated large-scale capital development processes for cities including Salt Lake City's street and fleet complex, public safety complex, and community center complex. The Utah League of Cities published her master's thesis on impact fee planning for local governments. Ms. Wescott recently assisted BBC with an impact fee study in Salt Lake City, Utah, Lyon County, Nevada and Goodyear, Arizona and is currently working with the project ream in the development of impact fees for the City of Meridian. She recently developed a ten-year fiscally constrained capital infrastructure plan for Salt Lake City, and consults municipalities on capital infrastructure financing. Ms. Wescott will assist in the preparation of the required CIP that will serve as a basis for the City of Moscow's impact fees. In sum, our team includes economists, infrastructure planners, land use attorneys, land use planners, legislative historians and litigators. Proposed Budget for the Impact Fee Study The budget for this project is $35,000 to develop a CIP, calculate impact fees and prepare an ordinance for all five of the following categories: police, fire, parks, storm drainage and transportation (including right-of-way, streets, bridges and traffic signals). Please note that the above costs can be included in the fee calculations so that Moscow is repaid for the entire cost of the study over time by new development. Also, it is important to remember that our proposed budget includes developing the Capital Improvement Plan (CIP), calculating the impact fees and writing the report, and preparing the enabling ordinance for you City Attorney to review. This is why our team includes multiple specialists an economist (me), an infrastructure planner (Anne Wescott) and a land-use attorney OoAnn Buder). Our scope of work, and the above budget, includes the following 8 meetings in Moscow: • 3 meetings with the Citizen Advisory Committee; • 2 "open house" meetings with audiences of your choosing such as the Realtors, homebuilders and/or public at large; and • 3 meetings with City Council including one preliminary briefing and two required public hearings. We will schedule our trips to Moscow as efficiently as possible. For example, at the beginning of the study, we would like to interview City department heads regarding their CIPs on the same trip as one ---PAGE BREAK--- PageS of the initial Citizen Advisory Committee meetings. Moreover, near the conclusion of the study, we would like to hold an impact fee model training session for Moscow staff during one of our trips to present at City Council Proposed Schedule for the Impact Fee Study Our team can begin this project immediately upon your notice to proceed. We could produce a draft CIP and draft impact fee repott in approximately 12 weeks thereafter. The schedule from rhat point would depend on how quickly your citizen Advisory Committee could meet to review the draft; your Planning & Zoning Commission could meet to hold a required public hearing on amending the Comprehensive Plan with rhe new CIPs; and your Ciry Council could meet to hold the required public hearing on rhe fee ordinance. Our team is committed to finishing this study for Moscow as quickly and efficiently as possible. Our references listed above can testifY to this fact. Approach to Project The impact fee study methodology we have successfully employed in six Rocky Mountain States (Idaho, Arizona, Colorado, Nevada, New Mexico and Utah) is fully consistent with the relevant Idaho State Statutes. This approach includes: • Establishment of and consultation wirh a development impact fee advisory committee; • Analysis of current infrastructure service standards and identification of rhe growth­ related portion of City infrastructure plans; • Preparation of a Capital Improvements Plan (CIP) pursuant to state law and public hearings regarding the same; • Forecast of residential and commercial growth; • Analysis of cash flow stemming from impact fees and orher infrastructure financing sources bonded indebtedness, special districts, General Fund contributions); • Implementation recommendations including impact fee credits, how fee revenues should be accounted for, and how the fees should be updated over time; and • Assistance to Ciry legal staff in preparing an enabling ordinance. While most stateS impact fee ordinances have many similarities, all present certain unique requirements. Evaluate any existing projections or development trends, including population projections that indicate current direction of development in terms of physical locale and types of land use development. Task 111·3. Based on the above information, generate calculations documenting current development in the City of Moscow and forecast of future development over the next 10 to 20 years, depending on availability of data. Task IV. Calculation of preliminary development fees Task IV·1. Calculate preliminary fees. Prepare cash flow analysis based on final fee schedule and Moscow growth projections. Task V-3. Development of impact fee "Update Procedures Memo" including how "credits" applied against capital costs should be handled over time. Task V-4. Presentation to Ciry Commission. During the course of this scope of work, the study team will be physically present in Moscow for all research tasks and public meetings. This includes: impact fee project initiation and data collection, ---PAGE BREAK--- Pagel two required public hearings, review of draft impact fees with City staff, public presentation of final impact fee system and review of update procedures with City staff. City of Moscow staff involvement in tbe project would be utilized in three areas: e Attendance at meetings with tbe study team to facilitate project management; e Participation in data collection, particularly in tasks two and three; and e Review of draft and final fees to ensure accurate interpretations of local government data. While large amounts of staff time will not be needed, timely staff involvement will be necessary to adhere to tbe schedule provided above. Summary of Qualifications Our team offers several desirable qualifications for the City of Moscow: • Local connections. BBC has had experience working throughout Idaho in recent years and will have the advantage of working with two experienced Idaho-based subcontractors. • Previous experience in preparing impact fee studies. As demonstrated in this proposal, we have completed over 70 impact fee studies for counties, cities, towns, and special districts in several states including Boise, Caldwell, Nampa, Twin Falls and Meridian, Idaho. • Experience and knowledge of the Idaho State Statutes on Development Impact Fees. Our team is well versed in the application ofldaho State Statutes on development impact fees. As demonstrated in this proposal, Ms. JoAnn Butler has extensive experience representing cities and the development communities with regard to these statues and the application of development impact fees in Idaho. • Ability to meet critical timelines. Every impact fee study we have completed has been on-time and within budget. We encourage you to closely check the references included herein. • Experience defending our firm's impact fee analysis against legal challenge. Our impact fees have never been legally challenged. We have been retained as expert witnesses to critique impact fees prepared by otber firms. • Public and private sector work.
