AGREEMENT FOR PROFESSIONAL SERVICES RELATED TO CONSTRUCTION OF A STORAGE SHED BETWEEN CITY OF MOSCOW, IDAHO AND CONSTRUCTIVE SOLUTIONS THIS AGREEMENT. made and entered into this_ of November, 2003, and between of Moscow, Idaho, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 referred to as "CITY"), Constructive Solutions, 1415 NW State Street. Pu'llman. Washington, 99163 (hereinafter referred to as "ARCHITECT"). WITNESSETH: WHEREAS, CITY intends to consider the of an equipment storage shed adjacent to the south side of the City Shop at 650 North Van Buren Street_ Moscow (hereinafter referred to as " PROJECT") and WHEREAS, ARCHITECT agrees to perform the servtces recjUiJced and defined hereinbelow at Section l, Soopc of Work, with a completion date of December 31, 2003, NOW, THEREFORE, it is agreed, for and in consideration of the mutual covenants and promises between the parties hereto, as follows: SECTION!: ARCHITECT shall furnish the following services tor PROJECT: l. Floor plan showing post spacings and location 2. Section showing roof structure, posts, beams, rafters, materials, and post to earth connection 3. Details showing bearing, connections and flashing 4. Engineering analysis 5, Soils analysis 6, Cost estimate A. SECTION II: contracting parties warrant by their signature that no employer/employee relationship is established between ARCHITECT and CITY by the terms of this Agreement. lt is understood by the hereto that ARCHITECT is an independent contractor as such neither it nor its employees, if any, are employees of CITY for purposes of tax, retirement social security (FICA) withholding. Fees and Conditions CO•l'$1llting Services. Reimbursable costs will not be billed unless actually incurred. Billing would be for the actual cost of these items plus a ten percent ( 10%) mark-up for arranging, handling. insurance. and taxes. Rcimbursablcs include generally, reproduction costs, mailing costs. and SECTION III: A. Termination of Agreement This Agreement may be tcnninatcd ARCHITECT upon thirty (30) days' written notice, should CITY fail to pcrtorm in accordance with its terms through no fault of ARCHITECT. CITY may this upon written notice without cause and without liability to ARCHITECT except as designated by this section. ln the event of termination, ARCHITECT shall he paid for services performed to termination date, including direct expense and a percentage of the thed fee based upon the work completed.
