COOPERATIVE AGREEMENT FY07 STATEWIDE RIDESHARE PROJECT CITY OF MOSCOW AND PALOUSE-CLEARWATER ENVIRONMENTAL INSTITUTE THIS AGREEMENT entered into this day of 2008, by and between the City of Moscow, Idaho, a municipal corporation of the Sate of Idaho, 206 East Third Street, P Box 9203, Moscow, Idaho, 83843 (hereinafter "City"), and Palouse-Clearwater Environmental Institute, Inc., an Idaho non-profit corporation, P.O. Box 8596, Moscow, Idaho, 83843 (hereinafter "PCEI"). WHEREAS, PCEI is an Idaho, non-profit corporation neither owned nor operated by the CITY or any other governmental agency; and WHEREAS, the Idaho Transportation Department (hereinafter "lTD") provides funding to cities for public transportation programs which are unavailable to private, non-profit corporations; and WHEREAS, CITY has received funding through its Cooperative Agreement FY07 Statewide Rideshare Project City of Moscow A009(020) Key No. 09020 (hereinafter "Project") as part of the fiscal year 2007 Statewide Ridesharing program. WHEREAS, CITY and PCEI believe that PCEI is well suited to administer such Project; NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree as follows: 1. CITY is contracting with PCEI to increase awareness about the Rideshare Network system by performing the following funetions: a. Advertise the Rideshare Network website; b. Train local community resources; and c. Make technical modifications to the website. The specific tasks of these functions are outlined in the attached Statewide Rideshare Funds Proposal dated July 3, 2007, and herein incorporated and referred to as Attachment A. 2. PCEI agrees to manage and implement the tasks according to the line items of the Budget, Project Timeline, and Income Sources made part of Attachment A. 3. PCEI, as a mutual partner with City in the Project, agrees to comply with all requirements of the Cooperative Agreement FY07 Statewide Rideshare Project City of Moscow A009(020) Key No. 09020, herein incorporated and referred to as Attachment B. PCEI agrees to abide by the special conditions and terms with respect to the ownership, purchase, and maintenance of computer equipment and software as specifically stated in Section II, 10 D. and II in Attachment B. 5. PCEI agrees to abide by the reporting requirements and deadlines and to provide the required information to the Grants Coordinator at the City of Moscow ten (I 0) working days prior to deadline for submittal to the State as specifically stated in Section II of Attachment B. 6. PCEI agrees to strictly adhere to all requirements and assurances of lTD pursuant to the Project. PCEI shall hold the City harmless from any lTD and/or Federal penalties or sanctions for non-compliance with the Project including, but not limited to the repayment of any monies distributed by City to PCEI for purposes stated herein.
