BUS SHELTER GLASS PANEL ETCHING AND GRAPHICS AGREEMENT BETWEEN DA YDREAMIN' GRAPHICS AND CITY OF MOSCOW, IDAHO THIS BUS SHELTER GLASS PANEL ETCHING AND GRAPHICS AGREEMENT BETWEEN DA YDREAMlN' GRAPHICS AND CITY OF MOSCOW, IDAHO (hereinafter "Agreement") is made between City of Moscow, Idaho, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 (hereinafter "CITY") and Daydreamin' Graphics, a sole proprietorship of Christopher "Stan" Staniszewski, 4452 Airport Road, Pullman, Washington, 99163 (hereinafter "DA YDREAMIN' GRAPHICS"). THE PARTIES AGREE AS FOLLOWS: 1. PROJECT: The bus shelter glass panel etching and vinyl graphics project (hereinafter "Project") shall consist of graphic art to be sandblasted on six glass panels and vinyl graphics on six glass panels to be utilized as art in the two bus shelters to be installed on the University of Idaho campus. Six glass panels will be etched with a design shown in Exhibit to this Agreement. Six glass panels will have vinyl graphics applied directly to the glass panels in a design shown as Exhibit to this Agreement. The Project shall be completed on or before August 31, 2008. 2. PANELS: DA YDREAMIN' GRAPHICS agrees to produce for CITY six glass panels (24"x72"xl/4") which will be etched as shown in Exhibit by sandblasting in a design and upon glass materials provided by CITY. In addition, DA YDREAMIN' GRAPHICS agrees to apply vinyl graphics directly to six glass panels (24"x72"xl/4") in a design as shown in Exhibit and upon glass materials provided by CITY. 3. PRICE: CITY agrees to pay DA YDREAMIN' GRAPHICS an amount not to exceed four thousand three hundred eighty dollars ($4,380) as follows: CITY shall pay to DA YDREAMIN' GRAPHICS four thousand three hundred eighty dollars ($4,380) upon completion of Project and acceptance by CITY of Project on or before August 31, 2008. 4. ENTIRE AGREEMENT: This is the entire Agreement of the parties and can only be modified or amended in writing by the parties. 5. ATTORNEY FEES: Reasonable attorney fees shall be awarded to the prevailing party in any action to enforce this Agreement or to declare forfeiture or termination. 6. JURISDICTION AND VENUE: It is agreed that this AGREEMENT shall be construed under and governed by the Jaws of the State of Idaho. In the event of litigation concerning it, it is agreed that proper venue shall be the District Court of the Second Judicial District of the State ofidaho, in and for the County of Latah. The panels will be masked with the designs that were provided for by the City of Moscow and etched by sandblasting the exposed areas. Panels are provided by the customer. Cost: $3,930.00 total I $655.00 each 24" X 72" X W' glass panels that will have vinyl graphics applied directly to the glass. The panels will have the designs that were provided for by the City of Moscow and will be white. Panels are provided by the customer. Ability to provide the services, as specified, or in an equivalent form; 2. Ability to complete the services in the timeframe above-stated; 3. Cost. Of these criteria, cost is weighted most heavily. The City of Moscow is covered by state procurement regulations that indicate goods and services must be procured from the source providing the lowest responsible price quotation. Responses to this RFP will be evaluated by the City of Moscow Arts and Public Works Department. The selected vendor should be prepared to execute a purchase order with the City of Moscow within 48 hours of the closing date of the this RFP.
