HOLD HARMLESS AGREEMENT BETWEEN CITY OF MOSCOW, IDAHO AND PULLMAN REGIONAL HOSPITAL THIS HOLD HARMLESS AGREEMENT BETWEEN CITY OF MOSCOW, IDAHO AND PULLMAN REGIONAL HOSPITAL, made and entered into this of May, 2012, by and between the City of Moscow, Idaho, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 (hereinafter "Moscow"), and the Pullman Regional Hospital, 835 SE Bishop Blvd., Pullman, Washington, 99163 (hereinafter "Hospital"). W I T N E S S E T H: WHEREAS, Nick Swanson (hereinafter "Swanson") is currently employed as a full time police officer by Moscow; and WHEREAS, Hospital has agreed to employ Swanson as a part time unarmed security officer for Hospital at times Swanson is not working for Moscow; and WHEREAS, Swanson has voluntarily agreed to perform the duties of a part time unarmed security officer for Hospital at times Swanson is not working for Moscow; and WHEREAS, Moscow and Hospital each agrees to hold the other party to this Agreement harmless from any claim for damages arising from Swanson's actions performed for the other party to this Agreement; NOW, THEREFORE, in consideration of the mutual promises and covenants herein, the parties agree as follows: I. MOSCOW'S COVENANT A. Moscow does hereby release Hospital and any and all other officers, employees, volunteers, agents, insurers and any elected or appointed officials of Hospital, individuals or entities affiliated with such persons and/or entities, from any and all civil liability or any and all forms of injury which may arise from the employment of Swanson by Moscow. B. Moscow forever discharges and releases Hospital and any and all elected or appointed officials of Hospital, and all officers, employees, volunteers, agents, insurers and any other individuals or entities affiliated with Hospital from any and all claims, several or otherwise, past, present or future, which can or may ever be asserted as a result of any injuries or damages, physical or mental, sustained by Moscow which may arise from the employment of Swanson by Moscow. Moscow further agrees to release from liability and indemnify Hospital from any claim for damages of whatever nature, and from any person or entity asserting such claim(s), arising from Nick Swanson's actions as they pertain to the scope of his employment with Moscow. D. The terms of this Agreement are contractually and legally binding and no verbal statement to the contrary, by any person or entity, can void or alter the terms of this Agreement. II. HOSPITAL'S COVENANT A. Hospital does hereby release Moscow and any and all other officers, employees, volunteers, agents, insurers and any elected or appointed officials of Moscow, individuals or entities affiliated with such persons and/or entities, from any and all civil liability or any and all forms of injury which may arise from the employment of Swanson by Hospital. B. Hospital forever discharges and releases Moscow and any and all elected or appointed officials of Moscow, and all officers, employees, volunteers, agents, insurers and any other individuals or entities affiliated with Moscow from any and all claims, several or otherwise, past, present or future, which can or may ever be asserted as a result of any injuries or damages, physical or mental, sustained by Hospital. C. Hospital further agrees to release from liability and indemnify Moscow from any claim for damages of whatever nature, and from any person or entity asserting such claim(s), arising from Nick Swanson's actions as they pertain to the scope of his employment with Hospital.
