BUS SHELTER GLASS PANEL ETCHING AND GRAPIDCS AGREEMENT BETWEEN PRECISION SIGNS AND CITY OF MOSCOW, IDAHO THIS BUS SHELTER GLASS PANEL ETCHING AND GRAPHICS AGREEMENT BETWEEN PRECISION SIGNS AND CITY OF MOSCOW, IDAHO (hereinafter "Agreement") is made between City of Moscow, Idaho, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83 843 (hereinafter "CITY") and Precision Signs, a sole proprietorship of Sean Watkins, 302 B Thain Road, Lewiston, Idaho, 83501 (hereinafter "PRECISION SIGNS"). THE PARTIES AGREE AS FOLLOWS: 1. PROJECT: The bus shelter glass panel etching and vinyl graphics project (hereinafter "Project") shall consist of graphic art to be sandblasted on twenty four (24) glass panels to be utilized as art in bus shelters to be installed in the City. Twenty four (24) glass panels will be etched with a design shown in Exhibit to this AGREEMENT. The Project shall be completed on or before September 30, 2009. 2. PANELS: PRECISION SIGNS agrees to produce for CITY twenty four (24) glass panels (24"x72"xl/4") which will be etched as shown in Exhibit by sandblasting a design on glass panels provided by CITY. Glass panels will be delivered and picked up from PRECISION SIGNS by a separate vendor contracted by CITY. 3. PRICE: CITY agrees to pay PRECISION SIGNS for services shown in Exhibit an amount not to exceed three thousand four hundred sixty eight dollars ($3,468) as follows: CITY shall pay to PRECISION SIGNS three thousand four hundred sixty eight dollars ($3,468) upon completion of Project and acceptance by CITY. 4. ENTIRE AGREEMENT: This is the entire Agreement of the parties and can only be modified or amended in writing by the parties. 5. ATTORNEY FEES: Reasonable attorney fees shall be awarded to the prevailing party in any action to enforce this AGREEMENT or to declare forfeiture or termination. 6. JURISDICTION AND VENUE: It is agreed that this AGREEMENT shall be construed under and governed by the laws of the State of ldaho.
