LICENSE FOR USE OF CITY SOFTBALL FIELDS AT GHORMLEY PARK This agreement entered into this 18th day of May , 1992, by and between the City of Moscow, a municipal corporation of the State of Idaho (hereinafter called the "licensor") and the Moscow Softball Association (hereinafter called the "licensee"); WITNESSETH: For and in consideration of the promises, covenants, terms and provisions herein contained, the parties hereto mutually agree as follows: Section 1. Demised Premises The licensor hereby agrees to permit the licensee to use the premises owned by the licensor and commonly known as Ghormley Park softball fields, described as follows: The two softball fields located at Ghormley Park, Moscow, Idaho. Section 2. Term of License The term of this license shall be only during 1992 Moscow Softball Association regularly scheduled softball games and tournaments and regularly scheduled practice sessions, which said schedule of games and tournaments is on file at the Moscow Department of Parks and Recreation, and which practices shall be scheduled through the Moscow Department of Parks and Recreation. This license shall terminate automatically at the close of the final game of the Moscow Softball Association season. Section 3. Scope of License Licensor grants this license for the sole purpose of allowing licensee the use of the demised premises for adult softball contests and practice sessions therefore which have been scheduled and verified by the Moscow Department of Parks and Recreation. Licensee shall not use the demised premises for any other purpose, nor at any other times other than during said scheduled and verified games and practices scheduled through Moscow Department of Parks and Recreation. Licensee shall not sublet the premises for any purpose. ---PAGE BREAK--- section 4. compliance with Laws The licensee shall observe and comply with statutes, ordinances, rules or regulations of States of America, State of Idaho, Latah County Moscow, or any agency or department thereof. Section 5. Indemnity all laws, the United and City of Licensee shall so conduct its activities upon the demised premises so as not to endanger any person lawfully thereon; and shall indemnify, save and hold harmless the licensor and all of its officers, agents and employees from any and all claims for losses, injuries, damages and liabilities to persons and/or property occasioned wholly or in part by the acts or omissions of the licensee, its agents, officers, employees, guests, patrons or any person or persons admitted to said premises by licensee, while said premises are used by or are under the control of the licensee. Licensee assumes full responsibility for the character, acts and conduct of all persons admitted to said premises by consent of the licensee, its officers, employees or agents. Section 6, Responsibility for Premises The licensee shall quit and surrender the premises in as good a state and condition as they were in at the commencement of this agreement, reasonable wear thereof and damages by the elements excepted. Licensee also agrees that if said premises or the buildings, equipment or furnishings thereon, are damaged during the term of this agreement by the act, default or negligence of the licensee, or its officers, agents, employees, guests, patrons or any person or persons admitted to said premises by the licensee, the licensee shall pay to the licensor upon demand such sum as shall be necessary to restore said demised premises to the condition they were in at the commencement of this agreement. section 7. Rental The rental rate for said term of license shall be ONE DOLLAR Section 8. Entire Agreement This agreement represents the entire agreement between the licensor and the licensee. No term, provision or condition of this agreement may be altered or amended, nor may any term, provision or condition be added to this agreement, LICENSE AGREEMENT PAGE 2 ---PAGE BREAK--- except upon written agreement signed by the parties hereto. Section 9. Default If the licensee fails to comply with the terms of this agreement, licensor may at its option declare this license to be terminated immediately and licensee shall immediately vacate the demised premises. Licensor may, in addition to terminating this license, seek other remedies at law. Section 10. Time of the Essence With regards to the obligations hereunder, time shall be of the essence.
