WIRELESS COMMUNICATION FACILITIES TEMPORARY INSTALLATION AGREEMENT BETWEEN CITY OF MOSCOW, IDAHO AND AT&T MOBILITY THIS WIRELESS COMMUNICATION FACILITIES TEMPORARY INSTALLATION AGREEMENT BETWEEN CITY OF MOSCOW, IDAHO AND AT&T MOBILITY (hereinafter "Temporary Installation Agreement") is made and entered into this i CflƤ day of tJ bV .twt blf, 2012 by and between City of Moscow, Idaho, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 (hereinafter "CITY") and New Cingular Wireless PCS, LLC, a Delaware limited liability company, 12555 Cingular Way, Suite 1300, Alpharetta, Georgia, 30004, (hereinafter "AT&T MOBILITY"). WHEREAS, CITY and AT&T MOBILITY are involved in discussions and negotiations to facilitate the placement of new equipment on the CITY's Northwest Ò.ater Reservoir (located generally at Residence Street in Almon Asbury Lieuallen Park); and WHEREAS, the Amended Wireless Communication Facility Temporary Installation Agreement to allow for the continuing use of the Northwest Water Reservoir has not been finalized or approved by Council; and WHEREAS, AT&T MOBILITY wishes to place its additional equipment on the Northwest Water Reservoir as soon as possible in order to take advantage of the market for AT&T MOBILITY's services; and WHEREAS, CITY and AT&T MOBILITY wish to place the additional equipment on the Northwest Water Reservoir only so long as such is safe and the safety can be verified by a professional engineer; and WHEREAS, upon a determination by CITY that AT&T MOBILITY's added equipment is safe, CITY and AT&T MOBILITY intend to enter into an agreement to allow the permanent location of such added equipment on the Northwest Water Reservoir; NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are included within this Temporary Installation Agreement, CITY and AT&T MOBILITY agree to the following: SECTION I. Property The property discussed herein includes the above-ground Northwest Water Reservoir located on Residence Street and constructed within CITY property which includes Almon Asbury Lieuallen Park. Such property includes the Northwest Water Reservoir structure and its catwalk and other physical structure and the real property upon which the AT&T MOBILITY added equipment may be located or constructed. Permitted Use AT&T MOBILITY may construct, operate, maintain, repair and/or remove wireless equipment (WCF) on CITY's wireless Northwest Water Reservoir on the property more particularly described in Exhibit and attached hereto and incorporated by reference. The WCF will include components added after the date of the execution of this Temporary Installation Agreement specifically indicated in Exhibit attached hereto and incorporated herein by reference. SECTION III. Term The term of the temporary permission to install added equipment equipment owned by AT&T MOBILITY and not located on the property as of the time of the execution of this Agreement) commences on the date of the execution of this Temporary Installation Agreement by both parties and terminates fourteen (14) days following notice by CITY that the WCF added equipment shall be removed or the date of execution of an amended wireless communication facility agreement between the parties that allows the AT&T MOBILITY added equipment to continue to be located on the property, whichever occurs first in time. SECTION IV. AT&T MOBILITY's responsibilities A. AT&T MOBILITY agrees to comply with Moscow City Ordinance Section 4-6-14 and Resolution No. 2001 Ð02, as those currently exist and any amended Moscow City Ordinance Section 4-6-14 and related CITY Council Resolutions existing at the time of execution of this Temporary Installation Agreement relating to the safety of the public and employees of CITY or of AT&T MOBILITY; provided that, if AT&T MOBILITY seeks to modify or change its WCF, then AT&T MOBILITY's WCF shall meet the then-existing requirements relating to its WCF. B. AT&T MOBILITY shall pay all costs involved in the construction, operation, maintenance, repair, and removal of the WCF permitted under this Temporary Installation Agreement. AT&T MOBILITY shall have a representative inspector on-site during the installation process, including when work is being done by any AT&T MOBILITY subcontractor. C. AT&T MOBILITY shall comply with all applicable CITY, county, state, and federal laws, ordinances, and regulations regarding the use permitted under this Temporary Installation Agreement; and, it shall obtain all appropriate permits, approvals, and certifications at AT&T MOBILITY's own expense. D. AT&T MOBILITY shall not do anything or allow anything to be done on the property described in Section I and CITY's Northwest Water Reservoir located thereon which would in any way compromise the integrity of CITY's Northwest Water Reservoir or CITY's water system. Prior to construction of the WCF or any associated component, AT&T MOBILITY shall submit for review and approval by the Public Works Director or Designee plans and specifications for the proposed work. E. Whenever construction, maintenance, repair, operation, or removal of the WCF authorized by this Temporary Installation Agreement has caused or contributed to a condition that WCF TEMPORARY INST ALLATION AGREEMENT AT&TMOBILITY AND CITY- 2012 PAGE20F 10 ---PAGE BREAK--- appears to the Public Works Director or designee to impair or endanger CITY property, utilities, or personnel, the Public Works Director or designee may direct AT&T MOBILITY, at AT&T MOBILITY's sole expense, to take action to protect CITY property or CITY utilities. Such action may include compliance within such time as may be prescribed by the Public Works Director or designee. The prescribed time will be reasonable and related to the seriousness of what needs correcting both of which shall be determined solely by the Public Works Director or designee. In the event that AT&T MOBILITY fails or refuses to take the actions directed by the Public Works Director or designee; or fails to fully comply with such directions; or if emergency conditions exist which require immediate action, CITY may enter upon AT&T MOBILITY's WCF, located on the property described in Section I, and may take such actions as CITY, in its sole discretion, considers appropriate in order to protect CITY property or its utilities and AT&T MOBILITY shall be liable to CITY for the costs thereof. F. This Temporary Installation Agreement contemplates that both CITY and AT&T MOBILITY will from time to time need to do maintenance on their respective facilities. It further contemplates that mutual reviews of plans for construction or maintenance will occur in order to coordinate and accommodate such work and maintenance. Consistent with this approach, AT&T MOBILITY shall take any and all steps necessary to allow CITY to carry out ongoing required maintenance in an efficient and safe manner. Any required work on CITY components such as protection, removal, or relocation to allow maintenance of AT&T MOBILITY's WCF shall be done only with the prior approval of the Public Works Director or designee at no cost to CITY. The present essential function of this CITY property is the storage and conveyance of CITY potable water supplies. The approval of AT&T MOBILITY's plans for a WCF and associated components on this property will be based on currently adopted long-range planning. Even so, over time, the needs of CITY may change and thus other functions may be added or exchanged for the existing function to maintain essential services to the citizens of Moscow, Idaho. However, in the event CITY requires either temporary or permanent relocation of AT&T MOBILITY's WCF or any of its components, in order to maintain or carry out any or all of the essential CITY functions of the site, including any decision to demolish or remove the tank, AT&T MOBILITY shall make such changes at AT&T MOBILITY's sole expense. CITY will, to the extent practical in non-emergency situations, provide AT&T MOBILITY with a written request for relocation changes at least one hundred eighty (180) calendar days in advance. G. AT&T MOBILITY shall be solely responsible for inspecting the ladder, catwalk and personnel safety systems on CITY's Northwest Water Reservoir for safety before allowing its employees or contractors to use said systems. CITY DOES NOT MAKE AND WILL NOT MAKE ANY REPRESENTATION WHATSOEVER AS TO THE SAFETY CONDITION OF THE LADDER, CATWALK, AND PERSONNEL SAFETY SYSTEMS ON CITY's WATER TOWER FOR THE PURPOSE OF THE USE INTENDED BY AT&T MOBILITY OR ANYONE ACTING FOR OR ON BEHALF OF AT&T MOBILITY. H. All costs of obtaining electrical service to AT&T MOBILITY's WCF and the under grounding thereof, if any, as herein required shall be the sole obligation of AT&T MOBILITY and not CITY. The location of the electrical service meter shall be approved by CITY. WCF TEMPORARY INSTALLATION AGREEMENT AT&TMOBILITY AND CIT Y - 2012 PAGE3 OF lO ---PAGE BREAK--- I. AT&T MOBILITY shall pay for professional engineering studies that assess the structural integrity of the catwalk system on the Northwest Water Reservoir including, but not limited to, considerations of all equipment added on (on-site survey); locating each piece of equipment (non-uniform loading); locating and categorizing connections of the catwalk to the tower; determining the original walkway design criteria; and obtaining CITY input for present and future uses on the Northwest Water Reservoir. Such professional engineering services shall gather all necessary field data to develop a detailed drawing of the reservoir, the catwalk, and all attached equipment. Additionally, a professional engineering service shall prepare a technical memorandum which shall include all calculations, drawings, load capacity analysis, current load analysis, and recommendations for location and magnitude of any future loading limits. The report shall also include analysis of the safety of all current equipment and, specifically, the equipment installed as per this Temporary Installation Agreement, and shall include structure analysis and recommendations regarding placement of future equipment on the Northwest Water Reservoir. Such shall become the property of CITY upon completion. Additionally, such professional engineering study shall be completed on or before December 3, 2012. SECTION V. Ingress and Egress Rights. CITY grants to AT&T MOBILITY, a nonexclusive right for ingress and egress across CITY's property described in Section I, subject to twenty-four hour (24) prior written notice to CITY for scheduled or routine maintenance, construction, servicing, and/or repair. Such twenty-four (24) hour prior written notice to CITY shall not apply to emergencies. In case of an emergency, AT&T MOBILITY shall notify CITY of entry as soon as practicable following AT&T MOBILITY's first notice of such emergency. AT&T MOBILITY, upon written permission from Public Works Director or designee, may, at AT&T MOBILITY's own cost, make such improvements as it may deem necessary in and/or to any access-way controlled by CITY used for access to and egress from the WCF. AT&T MOBILITY shall, at its own cost, repair to CITY standards any damage resulting from its use. Should AT&T MOBILITY require the assistance of CITY or the presence of CITY employees, agents, contractors, or subcontractors, in support of construction, maintenance, servicing, repair, and/or removal of it's WCF, AT&T MOBILITY shall compensate CITY for costs and services rendered by CITY. CITY retains the right to shut down all power to its property, including its Northwest Water Reservoir, at any time without notice to AT&T MOBILITY; however, where practicable, CITY will give advance notice of such power shut down twenty four (24) hours prior and will work with AT&T MOBILITY to minimize any disruption to AT&T MOBILITY's business which may occur as a result of such shut down. Nothing in this Temporary Installation Agreement shall limit or be interpreted to limit the CITY's right to access to its own property or to appurtenances, attachments or fixtures thereto. WCF TEMPORARY INST ALLATION AGREEMENT AT&T MOBILITY AND CIT Y - 2012 PAGE40F 10 ---PAGE BREAK--- AT&T MOBILITY shall, at all times other than during an emergency, require the presence of a CITY employee when performing any services which require AT&T MOBILITY to be physically present on CITY's Northwest Water Reservoir. SECTION VI. Nonexclusive Grant. This Temporary Installation Agreement and the permission granted hereunder shall not in any manner prevent CITY from entering into other agreements for uses similar to the use herein permitted or prevent CITY from granting or entering into other agreements for uses on, under, across, or over the property described in Section I of this Temporary Installation Agreement whether or not those uses be similar to the use permitted by this Temporary Installation Agreement. This Temporary Installation Agreement shall in no way prevent or prohibit CITY from using said property as CITY, in its sole discretion, considers appropriate, or affect its jurisdiction over it. CITY shall retain the exclusive power to make all necessary changes, relocations, repairs, maintenance, establishment, and improvement of and to CITY facilities within said property. It is understood that the primary use of CITY's Northwest Water Reservoir is a public use, which is to provide water to water users, and AT&T MOBILITY's use of CITY's Northwest Water Reservoir is secondary and subordinate to that public use. It is further understood that any agreements entered into by CITY and parties not a party to this Temporary Installation Agreement will not unreasonably interfere with the use permitted to AT&T MOBILITY under this Temporary Installation Agreement. CITY and AT&T MOBILITY understand and agree herein that co-location shall be required at any time designated by CITY pursuant to any conditions CITY wishes to establish. Such co location shall not give rise to any expectation of financial benefit to AT&T MOBILITY. AT&T MOBILITY shall not charge any fee to CITY or to co-locator for such co-location, neither shall AT&T MOBILITY establish any requirements for such co-location. CITY agrees to make a good faith attempt to accommodate AT&T MOBILITY's operational needs when considering whether to allow co-location and when imposing conditions for co-location. SECTION VII. Insurance. AT&T MOBILITY shall procure and maintain for the duration of the Temporary Installation Agreement, insurance against claims for injuries to persons or damages to property which may arise from or in connection with the exercise of the rights, privileges and authority granted hereunder to AT&T MOBILITY, its agents, representatives or employees. Throughout the term of this Temporary Installation Agreement, AT&T MOBILITY shall provide an insurance certificate, together with an endorsement naming CITY, its officers, elected officials, agents, employees, representatives, engineers, consultants, and volunteers as additional insureds, to CITY for its inspection and approval prior to the commencement of any work or installation of any facilities pursuant to this Temporary Installation Agreement, and such insurance certificate shall evidence: A. Automobile Liability insurance with limits no less than one million dollars ($1,000,000) Combined Single Limit per accident for bodily injury and property damage; and WCF TEMPORARY INSTALLATION AGREEMENT AT&TMOBILITY AND CITY - 2012 PAGE5 OF lO ---PAGE BREAK--- B. Commercial General Liability insurance, written on an occurrence basis with limits no less than one million dollars ,000,000) combined single limit per occurrence and two million dollars ($2,000,000) aggregate for personal injury, bodily injury and property damage. Coverage shall include but not be limited to: blanket contractual; products/completed operations; broad form property damage; explosion, collapse and underground (XCU); and employer's liability. The above coverage may be provided, in patt, through an umbrella policy, with the approval of CITY. Any deductibles or self-insured retention must be declared to and approved by CITY. Payment of deductible or self-insured retention shall be the sole responsibility of AT&T MOBILITY. The coverage shall contain no special limitations on the scope of protection afforded to CITY, its officers, elected officials, agents, employees, representatives, consultants or volunteers. In addition, the insurance policy shall contain a clause stating that coverage shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. AT&T MOBILITY's insurance shall be primary insurance as respects CITY, its officers, officials, employees, and volunteers. Any insurance maintained by CITY for or by its officers, officials, employees or volunteers shall be in excess of AT&T MOBILITY's insurance and shall not contribute with it. The insurance policy or policies required by this clause shall be endorsed to state that coverage shall not be suspended, voided, cancelled, reduced in coverage or limits except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to CITY. The insurance certificate shall contain language evidencing these requirements. SECTION VIII. Indemnification. AT&T MOBILITY hereby releases CITY and covenants not to bring suit and agrees to indemnify, defend, and hold harmless CITY, its officers, employees, agents and representatives from any and all claims, costs, judgments, awards or liability to any person, including claims by AT&T MOBILITY's own employees to which AT&T MOBILITY might otherwise be immune, arising from the installation, use, operation, maintenance, repair, interruption of service, or removal of AT&T MOBILITY's WCF permitted under the terms of this Temporary Installation Agreement except for claims based on the sole negligent and intentional acts of CITY, EXCEPT THAT AT&T MOBILITY SHALL HOLD CITY HARMLESS AND INDEMNIFY IT AGAINST ANY LOSS FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE LADDER, CATWALK, AND PERSONNEL SAFETY SYSTEMS ON CITY's WATER TOWER BY ANYONE (WHEN REQUESTED BY AT&T MOBILITY) TO INSTALL, USE, MAINTAIN, REPAIR, OR REMOVE THE ANTENNA FACILITIES AND APPURTENANCES OF AT&T MOBILITY's WIRELESS COMMUNICATION FACILITIES. AT&T MOBILITY expressly agrees that this indemnity provision extends to any and all claims for injury, sickness, or death of any person, including employees of AT&T MOBILITY, arising out of or caused by electro-magnetic emissions from AT&T MOBILITY's equipment. This indemnity shall not extend to emissions shown to be caused by any other electro-magnetic WCF TEMPORARY INSTALLAT ION AGREEMENT AT&TMOBILITY AND CITY - 2012 PAGE60F 10 ---PAGE BREAK--- source. This shall be interpreted as a WAIVER of immunity under the workers compensation laws of the State of Idaho, which has been negotiated between the parties. Inspection or acceptance by CITY of any work performed by AT&T MOBILITY at the time of completion of construction shall not be grounds for avoidance of any of these covenants of indemnification. SECTION IX. Right to Terminate Temporary Installation Agreement- CITY. CITY shall have the right to terminate this Temporary Installation Agreement with or without cause at any time after the date of execution of this Temporary Installation Agreement upon giving AT&T MOBILITY three hundred and sixty five (365) calendar days notice directed as specified in Section XIII. SECTION X. Termination and Forfeiture. If AT&T MOBILITY willfully violates or fails to comply with any of the provisions of this Temporary Installation Agreement, or fails to comply with any notice given AT&T MOBILITY by CITY under the provisions of this Temporary Installation Agreement, then at the election of the Moscow City Council, and after a hearing held upon reasonable notice to AT&T MOBILITY, this Temporary Installation Agreement may be terminated by CITY, and AT&T MOBILITY shall forfeit all rights conferred hereunder and shall restore the property described in Section I and CITY's Northwest Water Reservoir to its original condition. City Council may decide, after consideration of the reasons for AT&T MOBILITY's failure to comply with the Temporary Installation Agreement, to allow AT&T MOBILITY additional time to cure before such termination. This termination provision is in addition to CITY's right to demolish or remove the Northwest Water Reservoir or declare the property surplus contained in Section XI. SECTION XI. Remedies to Enforce Compliance. In addition to any other remedy provided herein, CITY reserves the right to pursue any remedy to compel or force AT&T MOBILITY and/or its successors and assigns to comply with the terms hereof, and the pursuit of any right or remedy by CITY shall not prevent CITY from thereafter declaring a forfeiture or revocation for breach of the conditions herein. SECTION XII. Notices. By personal delivery to and acknowledgment of receipt thereof signed by the receiving party. B. By depositing the notice in the United States mails, in an envelope properly addressed to the address indicated above with postage fully prepaid thereon and mailed certified, return receipt requested. In the event said notice is mailed, it shall be deemed delivered seven days following the deposit thereof in the United States mails. SECTION XIII. No Assignment. This Temporary Installation Agreement shall not be assigned to any party at any time under any condition. SECTION XIV. Venue Stipulation. This Temporary Installation Agreement shall be construed as having been made and delivered within the state of Idaho, and it shall be mutually understood and agreed by each party hereto that this Temporary Installation Agreement shall be governed by laws of the State of Idaho, both as to interpretation and performance. Any action at law, suit in equity, or judicial proceeding for the enforcement of this Temporary Installation Agreement or any provisions thereof shall be instituted and maintained only in a court of competent jurisdiction in Latah County, Idaho. This Temporary Installation Agreement contains all the terms and conditions agreed upon by the parties hereto involved in the equipment added by AT&T MOBILITY on CITY's Northwest Water Reservoir. No other understanding, oral or otherwise, regarding the subject matter of this Temporary Installation Agreement and the added equipment shall be deemed to exist or to bind either of the parties hereto. SECTION XVI. Modification. CITY and AT&T MOBILITY reserve the right to change or modify the terms and conditions of this Temporary Installation Agreement. However, no change or modification to this Temporary Installation Agreement shall be valid or binding upon either party unless such change or modification is in writing and executed by both CITY (after receiving formal authorization by the City Council) and AT&T MOBILITY with each party employing the same formalities as to the identity of signatories as have been utilized in this Temporary Installation Agreement. SECTION XVII. Binding Effect. This Temporary Installation Agreement shall be binding upon and inure to the benefit of the legal representatives and proper assigns and proper successors of the parties.
