PARTIES COOPERATIVE AGREEMENT STP-7744(103) SH-8, SPOTSWOOD A VENUE TO WHITE PLACE CITY OF MOSCOW KEYNO. 09174 THIS AGREEMENT is made and entered into this day 7 , by and between the IDAHO TRANSPORTATION DEPARTMENT, hereafter called the STATE, and the CITY OF MOSCOW, hereafter called CITY. PURPOSE The STATE has programmed the construction of Project No. STP-7744(1 03), to consist of reconstruction of SH-8 from Spotswood Avenue to White Place within the City of Moscow. The parties have agreed that a concrete sidewalk would be added to the project, at CITY expense. The sidewalk will run the entire length of the project, on the north side of the highway only. This Agreement will set out the responsibilities of the parties regarding the project. The Parties agree as follows: SECTION I That the STATE will: I. Provide for the design and construction of the sidewalk to be included in the project. 2. Provide the CITY an opportunity to review and approve the sidewalk plans. 3. Maintain complete accounts of all project funds received and disbursed, which accounting will determine the final project costs. 4. Upon completion of the project, provide a statement to the CITY summarizing the actual costs for the project indicating an adjustment for or against the CITY. Any funds transmitted by the CITY that are not required for the project will be returned. 5. Sufficient Appropriation. It is understood and agreed that the STATE is a governmental agency, and this Agreement shall in no way be construed so as to bind or obligate the STATE beyond the term of any particular appropriation of funds by the Federal Government or the State Legislature as may exist from time to time. The STATE reserves the right to terminate this Agreement if, in its sole judgment, the Federal Government or the legislature of the State ofldaho fails, neglects or refuses to appropriate sufficient funds as may be required for the STATE to continue payments. Any such termination shall take effect immediately upon notice and be otherwise effective as provided in this Agreement 2007-41 ---PAGE BREAK--- SECTION II That CITY will: I. Prior to construction, and upon request from the STATE, forward a check or warrant to the STATE in the amount of Thirty-Five Thousand Dollars ($35,000), which is the estimated cost for construction of the sidewalk. 2. Agree to the design details for the sidewalk to be constructed on the nortb side of the project, from Spotswood Avenue to White Place. 3. Upon receipt of the statement referred to in Section I. Paragraph 4 indicating an adjustment in cost against the CITY, remit a check or warrant in that amount to the STATE. 4. Following completion of construction accept responsibility for maintenance of the sidewalk installed on the project. EXECUTION This Agreement is executed for the STATE by its Assistant Chief Engineer (Development); and executed for CITY by the Mayor, attested to by the City Clerk, with the imprinted corporate seal of the CITY OF MOSCOW. WHEREAS, Idaho Transportation Department (hereinafter referred to as "STATE") has submitted an Agreement for Federal Aid Project STP-7744(103) stating obligations of the STATE and City of Moscow, Idaho (hereinafter referred to as "CITY") for construction of a sidewalk on the project at City expense; and WHEREAS, the STATE is responsible for obtaining compliance with laws, standards, and procedural policies in the development, construction and maintenance of improvements made to the Federal-aid Highway System when there is federal participation in the costs; and WHEREAS, certain functions to be performed by the STATE involve tbe expenditure of funds as set forth in the Agreement; and WHEREAS, Moscow City Council supports the project; and WHEREAS, the CITY is fully responsible for its share of project costs; NOW, THEREFORE, BE IT RESOLVED by the Mayor and City Council of tbe City of Moscow, Idaho as follows: I. The Agreement for Federal Aid Project STP-7744(1 03) is hereby approved. 2. That the Mayor and City Clerk are hereby authorized to execute the Agreement on behalf of the CITY. 3. That duly certified copies of the Resolution shall be furnished to the Idaho Transportation Department.
