AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES This agreement for Professional Engineering Services (hereinafter referred to as "AGREEMENT") made and entered into this day of ffi , 2006, by and between the City of Moscow, Idaho, 206 East Third Street, Moscow, Idaho, 83843, a municipal corporation of the State of Idaho (hereinafter referred to as "OWNER"), and Kimball Engineering, P.A., (a subsidiary of J·U·B ENGINEERS, Inc.) 7825 Meadowlark Way, Suite A, Coeur d'Alene, Idaho 83835 (hereinafter referred to as "ENGINEERS"). W I T N E S S E T H: The parties hereto wish to agree regarding the scope of work "The Project" as set forth below: WHEREAS, ENGINEERS agree to complete Scope of Work generally described herein as final design of effluent filtration as selected in the effluent filtration preliminary design report dated February 23, 2006 by Esvelt Environmental Engineering in association with ENGINEERS, including effluent fitters, filter reject handling, chemical injection, site and yard piping and electrical. NOW THEREFORE, be it agreed that for and in consideration of the mutual covenants and promises between the parties hereto, that: ENGINEERS shall furnish all of the following engineering services for THE PROJECT as generally described by task and title in Scope of Work: SECTION 1: SCOPE OF WORK Task 1. Effluent filter final design; Task 2. Effluent filter bidding services; Task 3. Construction observation and administrative services; Task 4. Additional services. As specifically authorized by OWNER. Complete task descriptions are provided in EXHIBIT A attached hereto. OWNER shall provide ENGINEERS the following: 1. Existing flow data; 2. Process monitoring test data; 3. Access to the WWTP site; 4. Additional water quality testing as needed for design; 5. Short·term treatment plant operational data and review necessary to evaluate potential impacts of design, including, but not limited to, effluent filter reject return to headworks and solids handling process; 6. other information reasonably associated with design and construction of the proposed improvements; SECTION II: A. Independent Contractor The contracting parties warrant by their signature that no employer I employee relationship is established between ENGiNEERS and OWNER by the terms of this Agreement. B. Fees and conditions for ENGINEERING Services. 1. Payment for servlces Is provided in accordance with the cost described in the following Section 11.6.2. 2. Fees Task 1 - The cost for ENGINEERING Services for THE PROJECT as described in Section I, Scope of Work - Exhibit A, Task 1 is a lump sum of three hundred eighty three thousand dollars ($383,000), details provided in EXHIBIT B attached hereto. Task Z - The cost of ENGINEERING Services for THE PROJECT as described in Section I, Scope of Work - Exhibit A, Task 2 is a not-to exceed fee of forty nine thousand dollars ($49,000), details provided in EXHIBIT C attached hereto, with payment based on hourly rates provided in EXHIBIT D. Task 3 - The cost of ENGINEERING Services for THE PROJECT as described in Section I, Scope of Work - Exhibit A, Task 3 is a not-to exceed fee of three hundred twenty six thousand dollars ($326,000), details provided in EXHIBIT C attached hereto, with payment based on hourly rates provided in EXHIBIT D. Task 4 - The cost of ENGINEERING Services for THE PROJECT as described in Section I, Scope of Work - Exhibit A, Task 4 is a not-to exceed fee of forty four thousand dollars ($44,000), with payment based on a lump sum or hourly rates provided in EXHIBIT D to be mutually agreed upon at the time of authorization. ENGINEERS and OWNER may mutually agree in writing to expand the SCOPE Of WORK applying hourly rates described in EXHIBIT D as the basis for compensation. Bills shall list the individual performing any work and a description of work performed by task and degree of completion. Bills shalt be submitted on a basis to the OWNER's Engineer for approval and payment. Payment is due upon receipt of the ENGINEER'S statement(s). 3. OWNER and ENGINEERS may mutually agree to re-allocate task funding and resources providing the not-to-exceed fee described in Section II.B.2 for Task 3 Is unchanged. SECTION Ill: A. Termination of Agreement This Agreement may be terminated by ENGINEERS upon thirty (30) days written notice, should OWNER fail to substantially perform in accordance with its terms through no fault of ENGINEERS. OWNER may terminate this agreement upon thirty (30) days written notice without cause and without further liability to ENGINEERS except to payment as designated by Section E. AU working drawings shall become the property of, and shall be surrendered to, OWNER pursuant to Section D. B. Extent of Agreement This AGREEMENT may be amended only by written instrument signed by both parties hereto. C. DOC; 4/3/2006 ---PAGE BREAK--- OWNER shall make available to ENGINEERS all technical data of record in OWNER's possession, including maps, surveys, water quality data and other information described in Section I, Scope of Work, to ENGINEERS supporting this work. D. Qualified Estimates of Cost The estimates of cost for THE PROJECT herein are to be prepared by ENGINEERS through exercise of their experience and judgment In applying presently available cost data; but it Is recognized that ENGINEERS have no control over cost of labor and materials, or over competitive bidding procedures and market conditions so that they cannot warrant THE PROJECT construction costs will not vary from their cost estimates. Nothing in this paragraph shall serve to release or relieve ENGINEERS from exercising the skill, care, and professional judgment exercised by similarly situated professional engineers. E. Termination of THE PROJECT If any portion of THE PROJECT covered by this AGREEMENT shall be suspended, abated, abandoned or terminated, OWNER shall pay ENGINEERS for the services rendered to the date of such suspended, abated abandoned or terminated work; the payment to be based, insofar as possible, on the amounts established in this AGREEMENT or, where the AGREEMENT cannot be applied, the payment shall be based upon a reasonable estimate as mutually agreed upon between the two parties as to the percentage of the work completed. F. The ENGINEERS Errors and Omissions Insurance In performance of professional services, ENGINEERS will use that degree of care and skill ordinarily exercised under similar circumstances by members of the engineering profession; and no other warranty, either expressed or implied, is made in connection with rendering ENGINEERS' services. Should ENGINEERS or any of ENGINEERS' agents or employees be found to have been negligent in the performance of professional services from which OWNER sustains damage to the fullest extent allowed by law, ENGINEERS liability plus cost and fees of litigation shall be limited to One Million Dollars 1 ,000,000). ENGINEERS shall obtain EaO Insurance in the amount of One Million Dollars ,000,000), and said insurance shall be held active for two year (minimum) period from the date of completion of THE PROJECT. OWNER shall receive notice of any pending termination of said insurance within five thirty (30) of first notice to ENGINEERS. G. The ENGINEERS Additional Insurance ENGINEERS shall maintain Automobile Insurance and Statutory Workmen's Compensation Insurance coverage, Employer's Liabllity, and Comprehensive General Liability Insurance coverage. The Comprehensive General Liability Insurance shall have a minimum limit of five Hundred Thousand Dollars ($500,000) per claim and One MHlion Dollars ,000,000) aggregate, and ENGINEERS shalt cause OWNER to be named as an additional insured under said policy. H. Indemnification ENGINEERS agree, to the fullest extent permitted by law, to indemnify and hold harmless OWNER against damages, liabilities and costs arising from the negligent acts of ENGINEERS in the performance of professional services under this AGREEMENT, to the extent that ENGINEERS are responsible for such damages, liabilities and costs on a comparative basis of fault and responsibility between ENGINEERS and OWNER. ENGINEERS shalt not be obligated to Indemnify OWNER for OWNER's negligence. I. Costs and Attorney Fees In the event either party incurs legal expenses to enforce the terms and conditions of this AGREEMENT, the prevailing party is entitled to recover reasonable attorney's fees and other costs and expenses, whether the same are incurred with or without suit. J. Jurisdiction and Venue It is agreed that this AGREEMENT shall be construed under and governed by the laws of the State of Idaho. In the event of litigation concerning it, it is agreed that proper venue shall be the District Court of the Second Judidal District of the State of Idaho, in and for the County of Latah. K. Binding of Successors OWNER and ENGINEERS each bind themselves, their partners, successors, assigns and legal representatives to the other parties to this AGREEMENT and to the partner, successors, assigns and legal representatives of such other parties with respect to all covenants of this AGREEMENT. L Modifications and Assignability of AGREEMENT This AGREEMENT contains the entire agreement between the parties concerning THE PROJECT, and no statements, promises, or inducements made by either party, or agents of either party, are valid or binding unless contained herein. This AGREEMENT may not be enlarged, modified, or altered except upon written agreement signed by the parties hereto. ENGINEERS may not subcontract or assign its rights (including the right to compensation) or duties arising hereunder without the prior written consent and express authorization of the OWNER. Any such subcontractor or assignee shall be bound by all of the terms and conditions of this AGREEMENT as if named specifically herein. M. OWNER's Representatives OWNER shall designate a representative authorized to act in behalf of OWNER. The authorized representative shall examine the documents of the work as necessary, and shall render decisions related thereto in a timely manner so as to avoid unreasonable delays. N. Conflict of Interest ENGINEERS covenant that they presently have no interest and will not knowingly acquire any interest, direct or indirect, in THE PROJECT which would conflict in any manner or degree with the performance of services hereunder. ENGINEERS further covenant that, in performing this AGREEMENT, they will employ no person who has any such interest. 0. Ownership and Publication of Materials Documents of service to the project prepared by ENGINEERS pursuant to this AGREEMENT shalt be the property of OWNER, which shall have the exclusive and unrestricted authority to release, publish, or otherwise use them, in whole or in part. The ENGINEERS shall be permitted to retain copies including reproducible copies of the drawing specifications and other documents for infonmation, reference and use on other work or for additions to this work. Such documents are not intended or represented to be suitable for reuse by other extensions of the work or any other work. Reuse of the documents shall be at the sole risk of the OWNER and without liability or legal exposure to the ENGINEERS. The OWNER shall indemnify and hold harmless the ENGINEERS from all claims, damages, losses and expense including attorney's fees arising out of or resulting from reuse of the documents. P. Non-discrimination ENGINEERS shall not discriminate against any employee or applicant for employment on the basis of race, color, religion, creed, political ideals, sex, age, marital status, physical or mental handicap, or national origin. Technical Memorandum (TM) No.4 of the Effluent Filtration Study identified an effluent filtration system capable of meeting 0.136 mg/l total phosphorus as the most cost-effective alternative. Further investigation on the process was carried out during the Effluent Filtration Pre-Design completed in February 2006. The selected preferred alternative for effluent polishing is chemical coagulation and precipitation followed by sand filtration with upflow continuous backwash filters. Due to financial constraints, project phasing is necessary. The first phase of the effluent polishing will include the construction of chemical coagulation and sand filtration with upflow continuous backwash fitters. Subsequent phases will include additional effluent filters and the addition of a coagulation/precipitation process prior to the effluent filters. TASK 1-EFFLUENT FILTRATION SYSTEM DESIGN Objective. To implement the recommendations of the Effluent Filter Preliminary Design Report and construct effluent fitters at the wastewater treatment plant. 1. Topographic Survey. Provide a topographic survey of the area impacted by the proposed improvements. The survey will be used to develop base sheets for the location, orientation and design of the improvements. The surveys will utilize the standard City datum (NGVD 29) in order to most easily utilized and complement existing OWNER information. Property pins will be identified and located by the field crews in this survey wherever they are readily recoverable as part of their overall survey effort. 2. Effluent Filtration. Produce Contract Documents final plans and specifications all following Idaho Standards for Public Works Construction (ISPWC) formatfor an effluent filtration system meeting the criteria outlined in the selected alternative from the Effluent Filter Preliminary Design Report. The effluent filtration design will include plans and specifications for the concrete and steel elements, process pumping and piping, chemical injection, structural engineering and electrical engineering with local controls compatible for output to existing and planned SCADA system. Filter reject will be returned to the headworks for handling. The effluent filter design wilt incorporate future planning for reject handling of the secondary clarifier and a summary report will be prepared providing future design criteria. April 2.006 ---PAGE BREAK--- 3. Site Work and Yard Piping. Prepare site civil plans to include aU site work in the project area of the effluent filters. The site work wiU include yard piping, site electrical, demolition, excavation, grading, paving and stormwater plans, profiles, sections, details, and specifications. The site work will also include landscape and irrigation plans, details, and specifications within the project area. 4. Progress Reviews. ENGINEERS will produce and review the design plans for progress with the OWNER at approximately the 25%, 50% and 95% stages of completion. The 25% stage generally comprises concept drawings showing equipment layout and schematic piping. The 50% stage generally includes rough grading, detailed equipment design, rough building layouts, concept electrical, and structural drawings. The 95% stage generally includes final grading, detailed equipment, buildings, piping design, final electrical, final structural, an opinion of probable cost, and review specifications and contract documents. The 95% plans and specifications will also be termed the "Agency Review Set" and will be submitted to IDEQ for review and comment prior to issuing the bid documents. It is anticipated that each review meeting wilt last up to four hours, and ENGINEERS will document the meeting discussions and results with a memorandum to the OWNER. Following the 95% review meetings with the OWNER and IDEQ, ENGINEERS will incorporate the review comments, as appropriate, and produce and deliver to the OWNER 10 complete sets of bid documents. AU plans will be 11 "x1 T' size. 5. Base Bid Equipment. It is anticipated that key pieces of process equipment will be base bid. ENGINEERS will evaluate manufacturer's literature and actual field performance and recommend at least two suppliers for major equipment. The bid award wiU be based on the recommended equipment with alternates allowed to be proposed by the bidder with deduct or add in bid to be determined after bid award. The equipment anticipated for this base bid includes the filtration equipment. 6. Services to assist OWNER during bidding. The number of bid packages for material or work designated under the Agreement is up to two(2). Those services may include any or aU of the following with the ENGINEER's status, role, and obligation to be governed by the ISPWC General Conditions, Edition 2005, incorporated herein by reference: 1. Reproduce the bid documents, assist OWNER in advertising the project, actively soliciting qualified bidders, responding to potential bidders' questions, conducting one pre-bid conference, issuing addenda as required, assist OWNER in one bid opening at City Hall, evaluating bidders and making a recommendation to the OWNER regarding award. 2. Prepare award and notice to proceed documents. TASK 3-CONSTRUCTION OBSERVATION AND ADMINISTRATION SERVICES. Services to assist OWNER during construction, startup, and close-out. Those services may include any or all of the following with the ENGINEER's status, role, and obligation to be governed by the iSPWC Genera! Conditions, Edition 2005, incorporated herein by reference: 1. Conduct one pre-construction conference with the OWNER, Contractor, and other interested parties. 2. Assist the OWNER in Interpreting the plans and specifications during construction. Make recommendations to the OWNER concerning contractor requests to deviate from the plans and specifications. 3. Provide submittal review for conformance with contract documents. 4. Provide survey control and construction staking. It is anticipated that the contractor will require two crew mobilizations to adequately accomplish their work. Once the survey staking is completed, it is the responsibility of the contractor to protect and maintain all staking and controls. ENGINEERS will also check finished construction elements for line and grade from surface features and construction observations for incorporation into the Record Drawings, as needed. 5. Provide construction observation to review general conformance with the contract documents, and attend and conduct regularly scheduled progress meetings. ENGINEERS will provide contract administration and construction observation of the construction project as required to monitor the project progress. Key elements of the on-site construction will be concrete and steel April 2006 ---PAGE BREAK--- construction, equipment installation, pipe and fitting assembly, electrical installation, mechanical assembly, underground utility installation, compaction (testing by the Contractor with quality control by ENGINEERS) and surface restoration. It is anticipated that the construction duration of this project wilt be 30 weeks and construction observation will be required for an average of 2 days per week. 6. Review pay requests, requests for information and change order requests. 7. Provide scope of work for OWNER procured SCADA system upgrades. 8. Coordinate startup of new processes and equipment, and producing record drawings and operation and maintenance manuals. 9. Develop final project punch-list at substantial completion. 10. Review final quantities and final pay request as required. 11. Use Contractor provided as-built notes to develop final record drawings. Provide five copies of 24-inch by 36-inch and 11-inch by 17-inch of the Record Drawings for OWNER use. Also provide one copy of final record drawings on 24-inch by 36-inch Mylar. TASK 4- ADDITIONAL SERVICES. 1. ENGINEERS will perform additional services as specifically authorized by the OWNER on a time and materials or lump sum basis with fee to be mutually agreed upon at the time of authorization. A budget of $25,000 should be established to address unforeseen and additional tasks. 2. Geotechnical Evaluation. Perform a geotechnical evaluation of the proposed project site. The geotechnical engineer will excavate or bore between 2 and 4 test locations (10-20 feet deep) in the project area to obtain representative soil samples and make visual observations. The samples will be used to determine bearing pressures for structures, the presence and competence of any rock formations, and information for shoring and dewatering. The information will be presented in a bound reports to ENGINEERS and the OWNER along with recommendations for necessary follow up during construction to verify field conditions. A budget of S 14,000 should be established to provide any required support for this work. 3. Assist the OWNER with judicial confirmation for funding of the proposed improvements. A budget of $5,000 should be established to provide any required support for this work. April 2006 ---PAGE BREAK--- 4. SCADA programming is assumed separate form this contract. SCADA programming coordination will be conducted on a time and materials basis. The Services outlined hereinafter are not currently anticipated and shall only be provided by the ENGINEER when requested, and authorized in writing by the OWNER. Such authorization shall also state the negotiated amount and method of compensation by the OWNER. When authorized to proceed, the ENGINEER will: 1. Assist the OWNER in resolving disputes over bankruptcy or default of the Contractor. 2. Assist the OWNER as a result of fire, flood, acts of God, legal complaints or default of the Contractor. 3. Assist or extend services as a result of strikes, walkouts or other labor disputes, and including acts relating to settlement of minority group problems. 4. Work with archaeologists as may be required to address archaeological findings within the PROJECT area. 5. Develop a boundary survey of the treatment plant site. 6. Assist the OWNER in reporting or otherwise managing removal of minor amounts of hazardous waste or petroleum contaminated soils that may be encountered during construction. 7. Develop detailed geotechnical investigations and/or structural evaluations required when unexpected sub-surface conditions or structural concerns are encountered during the course of design or construction. Additional Considerations It is mutually agreed by the parties hereto that: ENGINEERS' Evaluation of Subsurface Conditions In subsurface investigation work and in determining subsurface soil conditions for the PROJECT, the characteristics may vary greatly between successive test points and sample intervals. The ENGINEERS will coordinate this work in accordance with generally accepted soils engineering practices and make no other warranties, expressed or implied. ENGINEERS' Responsibility The ENGINEER intends to render his services under this Agreement in accordance with generally accepted professional practices for the intended use of the PROJECT and makes no other warranty either expressed or implied.
