UTILITIES REDUCTION SPECIALISTS, INC. 2511 NeudorfRd., Suite H, PO Box 1810, Clemmons, NC 27012 UTILITY BILL AUDIT AGREEMENT UTILIDES REDUCTION SPECIALISTS, INC. (URS) agrees to conduct a Utility audit by analyzing Client's telecommunications, cellular, electric and gas billings and records. URS agrees to seek refunds and/or credits for billing errors, and will, in a Cost Reduction Program, identify and assist Client in implementing actions and changes which are designed to achieve reduction in these expenses. Client agrees to provide URS with copies of one month of Client's current bj))s for these services at the time the audit commences, as well as any additional billing records or information as needed during the course of the audit. URS will, within a 120 day period from receipt of an executed agreement, signed letter of agency, and Client bill copies; provide a report with refund and cost reduction opportunities and future cost saving recommendations. With Client's written approval URS will secure refunds from vendors as well as implement Client approved cost saving recommendations. URS will perform the work (analysis/audit) off site at URS facilities in North Carolina. CLIENT AGREES TO COMPENSATE URS AS FOLLOWS: For refunds or credits, from the Utility Companies, Vendors, or Carriers, the fee is SO% of the refunds and or credits that result from the URS audit. This fee is payable after Client receives the refund or credit. The fee for the Cost Reduction Program is 50% of the savings demonstrated over the 24-month period following the implementation of the cost reduction program. No changes will be made without client permission. All refunds and cost reductions will be fully documented by URS before Client is billed. BiiJing for refunds shall be upon verification of Client receiving refunds. Billing for cost reductions shall commence at the time cost reductions have been verified by URS and billed for a period of 24 months. All cost reductions shaU be quantifiable. URS invoices are due within 30 days of receipt. The following actions have been considered by Client and should be excluded as a fee item under the Cost Reduction Program: If Client does not receive a refund/credit or expense reduction, there will be no fee for the Audit. URS retains the exclusive right to conduct any utility bill analysis/audit from the date of this agreement until receipt of final report. The term of this agreement for discovery purposes is from contract date until receipt of final report or 120 days from receipt of one month's bill copies from the Client and the executed contract and letters of agency, whichever is sooner. During the discovery period, should any in-house review or any utility vendor, business or entity conduct any analysis or audit, URS is still entitled to the 50% fee produced by the URS Cost Reduction Program, credits or refunds. Client reserves the right to accept or reject any recommendations that are contained in our final audit report. There will no fee for rejected recommendations. URS agrees not to release any personal information obtained in connection with this authorized Utility audit without Client's prior written approval and, URS further agrees that it will release no such information obtained if such release is not specifically authorized by Idaho law. This agreement constitutes the entire and complete agreement between URS and Client and replaces all previous written or verbal agreements.
