AGREEMENT FOR PURCHASE AND SALE THIS AGREEMENT, made and entered into this day of 1998, by and between City of Moscow, Idaho municipal corporation of the State of Idaho (Seller), and City of Elk River, Idaho, a municipal corporation of the State ofldaho (Buyer). WITNESSETH WHEREAS, the Fire Department of the City of Moscow, Idaho has declared Engine 20 a 1976 American LaFrance, 1250 GPM Pumper, as surplus; and WHEREAS, City of Elk River, Idaho has a need for the Pumper for use in its Fire Department; and WHEREAS, Seller and Buyer wish Buyer to purchase Pumper without guarantee, warrantee, or any promise or inducement; and WHEREAS, Buyer understands that its purchase of Pumper "as is" creates no obligation, promise, inducement, warrantee, guarantee, or liability upon Seller; THE PARTIES AGREE AS FOLLOWS 1. Seller agrees to sell to Buyer, for and in consideration of one dollar($!) in hand received, the piece of equipment known by Seller as Engine 20: 1976 American LaFrance 1250 GPM Pumper, as is. 2. Delivery shall be made by Seller to Buyer, in City of Moscow, Idaho. 3. Buyer agrees to indemnity, defend, and hold harmless Seller, and its officers, agents, and employees, from and against any and all claims, losses, actions, or judgments for damages or injury to persons or property arising out of or in connection with the sale, purchase, and/ or use of pumper or any performance or activities of Buyer by its agents, employees or representatives under this Agreement.
