Gem State Security & Investigations CLIENT CONTACT AGREEMENT ' On this , < day of l-ef;JI"-c:if''f , in the year 5 , the undersigned client, , hereby agrees to employ the services of Gem State Security & Investigations. The purposes of this contract and agreement are as follows: Gem State Security & Investigations currently is under contract with the Nez Perce County Prosecutor's Office and St. Joseph's Regional Medical Center to provide security services for those agencies over involuntary commitments. The undersigned client now requires the same services for involuntary commitments from Latah County. These services are as follows: • Gem State Security & Investigations shall provide one trained, non-uniformed officer to watch each involuntary commitment on site at St. Joseph's Regional Medical Center. This officer shall be made available to the client immediately upon request, or as soon as practicable after being notified of an involuntary commitment. • This officer shall remain with the patient until released by the medical staff or until relieved by another Gem State Security & Investigations officer or law enforcement officer of the jurisdiction that placed the involuntary commitment. No Gem State Security & Investigations officer shall work more than 12 hours without relief. • Gem State Security & Investigations promises to abide by all regulations put forth by the client, and those of St. Joseph's Regional Medical Center when dealing with involuntary commitments. These regulations include, but are not limited to, training, dress code, behavior, and standards of professionalism. • Gem State Security & Investigations shall provide the client with contact information that will guarantee that the client can contact Gem State Security & Investigations at any time, 24 hours per day, 7 days per week. • Fmihem10re, Gem State Security & Investigations agrees to provide transport for the involuntary commitment from a location specified by the client to St. Joseph's Regional Medical Center. Again, transports will be conducted within regulations set forth by agreement between the client and St. Joseph's Regional Medical Center. If required, Gem State Security & Investigations will provide transport back to the jurisdiction placing the involuntary commitment for the purposed of prosecution or other disposition. Gem State Security & Investigations, however, does not agree to transport involuntary commitments back to their homes if simply released to their own custody. • Gem State Security & Investigations agrees to abide by all patient confidentiality laws pertaining to involuntary commitments in the United States of America, The State ofldaho, as well as any applicable county and city ordinances pertaining to the involuntary commitment. The undersigned client shall reimburse Gem State Security & Investigations in the following manne1·: 2005-03 ---PAGE BREAK--- The client shall pay Gem State Security & Investigations 2012 Powers Dr. Lewiston, Idaho 83501, $ 13.50 per man-hour for each involuntary commitment that we supervise. Furthermore, if transport is required, the client shall pay $0.35 per mile for transport. If the transport is from the Moscow Police Department, for example, the cost would be $28.00 (80 miles at $0.35 per mile) for each trip. Supervision fees will begin when Gem State Security & Investigations takes control of the involuntary commitment. Invoices for services will be sent out as soon as possible after the involuntary commitment is released and the client shall have 30 days to make payment to the above address from the receipt of invoice. Furthermore, if the client requires Gem State Security & Investigations officers to be trained in a certain way other than the training that they already have, the client shall provide the training. Gem State Security & Investigations shall pay for the wages and transportation cost incurred to conduct the training. If a caged car or restraints are required (other than handcuffs), the client shall provide these by request of Gem State Security & Investigations until such time as Gem State Security & Investigations acquires their own specialized equipment. The undersigned client further agrees to indemnify and hold harmless Gem State Security & Investigations and/or its agents and employees from any and all action, damages, and demands of any type, wherever situated arising directly or indirectly from their services requested above. Gem State Security & Investigations further agrees to indemnify and hold harmless the undersigned client and/or its agents aud employees from any and all action, damages, and demands of any type, wherever situated arising directly or indirectly from services requested above. Gem State Security & Investigations currently holds and shall be required to maintain a $1,000,000.00 liability insurance policy, and a certificate of said policy shall be made available to the client upon request. In case of suit or proceedings by one party hereto against the other, in any way arising out of this agreement, the losing party shall pay the prevailing party such sum or sums as the Court shall deem reasonable. If any portion of this contract and agreement is held to be invalid, then the remainder of said agreement shall retain its full force and effect.
