Customer hereby agrees to purchase from Vt..--rizon Select Services Inc. {"Vcrizon") the services identified in the attached Exhibit(s) to this Agreement ("Services") pursuant to the and conditions of this Agreement. The Services will be provided to the Customer locations specified in the attached exhibits. Other Customer locations may be added to this Agreement only upon mutual \Vritten agreement of the parties. This Agreement becomes binding when it has been signed by an authorized Verizon representative. Under no circumstances may the Customer resell the Services being provided under this Agreement. 2. Tariff Applicability. If the Services provided herein are subject to the tenns and conditions contained in Verizon'S tariffs ("Tariff:Ê") on file with the Federal Communications Commission (FCC) (interstate and international services) or on file with the state regulatory commission in the state in which the Services are provided (intrastate services), this Agreement shall be subject to changes, modifications, orders and rulings by the FCC or the state regulatory commissions. In the event of a conflict between the of the applicable Tariff<; and this Agreement, the tenns of the Tariffs shall l:ontrol and supersede the of this Agrc>cment. If Tariffs do not govem the Services, this Agreement and its rates, and conditions set f()rth therein shall fully control. If: during the tenn of this Agreement, the Tariff's covering the Services arc vvithdrawn pursuant to statutory .:hanges or orders from the FCC or other governmental or judicial authority, this Agreement shall continue in full force and effect and the rates, tenllS and conditions set forth herein shall fully control. 3. Term of Agreement. This Agreement shall become effective when signed by both parties and shall end at the conclusion of the Service Period which shall be a period of twelve { 1 2 ) consecutive months ("Service Period''). Subject to V erizon 's receipt of any necessary regulatory and other governmental approvals or completion of any work or inst<.tl!ation of facilities needed to provide the Services, and unless otherwise stated in the applicable exhibits, the Service Period shall be scheduled to commence on the "ln¥Service" date which shtomer will be imposed at Verizon's current rates and such charges are also subject to change without notice to the Customer. The parties that the rates and other tcm1s of this Agreement arc premised on Customer's commitments, unique network design requirements, and Customer's service mix, usage patterns and concentration, and other characteristics. 5. Billing. Verizon will invoice Customer Payments will be due net thirty days tl:om the invoice date unless a due date appears on the invoice. Payments received after the due date may be subject to a !ate payment charge of l.S%1 per month or the maximum rate permitted by lmv, whichever is lower, on all overdue amounts until Customer's account is current. Should Customer have a billing dispute, Cu:'tomer must provide notice to V crizon in writing with in thirty (30) days of the invoice date with an explanation of the disputed invoiced amount, and Customer shall pay the undisputed portion as due. lfVerizon dctennincs that a disputed charge was billed correctly, payment shall be due from Customer within tive days after Verizon advises Customer that the dispute is denied. The rates set fixth herein arc established in consideration of and may be contingent upon Customer's agreement to purchase a minimum commitment amountivolume of Services during each year/month of the Service Period as set forth in the applicable Exhibit(s}. If Customer cancels or tenninatcs this Agreement or any Services provided hereunder prior to expiration of the Service Period, Customer shall provide a sixty ( 60) day prior written notice of such cancellation or termination. Customer will pay Vcrizon termination and!or Underutilization Charges as set forth in the applicable Exhibit(s) in addition to any amounts already owed. 7. Credit Check/Deposit. Customer's credit history is subject to review by Vt.'Tizon. In confom1ity with Verizon's established policies, if Customer's financial condition cannot be verified or is otherwise unacceptable to Vcrizon, Vcrizon may establish certain credit measures, including but not limited to setting toll usage limitations and requiring deposirs or irrevocable letters of credit as a condition of providing service. These additional credit measures will be in accordance with Verizon's existing policies that arc subject to change without notice to the Customer. The provisions herein arc independent otÝ and in addition to, such rights and remedies as Verizon may have at law or in equity or otherwise for any breach of this Ak,rreement by Customer. 8. Indemnification. Verizon shall not be liable for, and Customer indemnifies and holds Verinm from any and all losses, daims, demands, damages, expenses (including reasonable fees and disbursements of counsel), suits or otht.'T actions, or any liability whatsoever, whether or asserted by Customer or any other party, for libel, slander, invasion of privacy, personal injury or for any other damages alleged to have been caused directly or indirectly by Customer's usc of the Service. 9. Unauthorized Use. Verizon docs not warrant or guarantee that it can prevent unauthorized uÞc or misuse. Verizon shall not be liable for any damages, including charges fix service under this Agreement, that Customer may incur as a result of the unauthorized usc or misuse of the service by Customer's employees, third parties, or the public. Customer ßhall remain responsible for such charges. Limited Warranty. VERIZON WILL USE COMMERCIALLY REASONABLE EFFORTS TO PROVIDE THE SERVICES SUBSTANTIALLY IN ACCORDANCE WITH SERVICE DESCRIPTIONS. VERIZON DOES NOT WARRANT THE SERVICES WILL BE PROVIDED WITHOUT INTERRUPTION. IF THE SERVICES DO NOT FUNCTION SUBSTANTIALLY IN ACCORDANCE WITH SUCH SERVICE DESCRIPTIONS THROUGH NO FAULT OF CUSTOMER OR ITS AGENTS, OR DUE TO SCHEDULED MAINTENANCE, VERIZON AT ITS EXPENSE WILL REPAIR THE SERVICES, AND. ANY CREDITS FOR THE AFFECTED SERVICES WILL BE IN ACCORDANCE WITH TilE APPLICABLE EXHIBIT. THIS LIMITED WARRANTY IS EXCLUSIVE OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE. II. Limitation of Liability. VER!ZON WILL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, OR SPECIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS, PROFITS, INFORMATION, OR OTHER COMMERCIAL OR ECONOMIC LOSS, WHETHER SUCH DAMAGES ARE BASED UPON BREACH OF CONTRACT, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE, EVEN IF VERIZON HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES. VERIZON'S LIABILITY TO CUSTOMER FOR ANY OTHER DAMAGES DUE TO FAILURES IN THE SERVICES ARISING FROM ITS NEGLIGENCE OR BREACH OF THIS AGREEMENT SHALL BE LIMITED TO TilE CHARGES FOR THE SERVICES AFFECTED BY THE FAILURE FOR THE PERIOD OF SUCH FAILURE. VERlZON MAY FROM TIME TO TIME PROVIDE ADVICE, MAKE RECOMMENDATIONS OR SUPPLY OTHER ANALYSIS RELATED TO TilE SERVICES IN TillS AGREEMENT AND WHILE VERIZON SHALL USE REASONABLE EFFORTS IN THIS REGARD, CUSTOMER ACKNOWLEDGES AND AGREES THAT TillS LIMITATION OF LIABILITY SHALL APPLY TO THE PROVISION OF SUCH ADVICE, RECOMMENDATIONS AND ANALYSIS. 12. Termination of Services by Veri'zon, V erizon may discontinue or limit usc of the Services and/or tt..'Tminate this Agreement without liability and with notice as required by law to CustomG'T, fix the following reasons: a) '01e Service is being used in violation of any applicable federal, state, or local Jaw, ordinance or regulation; b) The Services are being used in an unauthorized or fraudulent manner; c) TIJC use of the Services adversely affects Verizon's equipment or its service to others; d) A court or other governmental authority having jurisdiction issues an order prohibiting Vcrizon from fUrnishing the Services ro Customer; c) A governmental body requires the Services to be provided under tariff:, and t) Customer f3ils to pay undisputed charges fix Services provided. 13. Default. If Customer fails to pcrfonn any material obligation under this Agrt."CJTICnt or violates any material tcm1 or condition of this Agreement, and such failure or violation is not cured within thiny (30) l'alcndar days following receipt of a notice from Verizon, then V erizon shall have the right to tenninate this Agreement and cease providing Service. Customer shall be liable f(1r any unpaid charges for the service incurred up to the time of tcnnination and any applicable termination liability charge"' as set forth in the attached exhibits. Tcm1ination of this or any part hereof, fix any cause shall not release Customer from any linbility which at the time of tcnnination had already accrued to Customer or which thereafter accrues for any act or omission occurring prior to the tcnnination or from an obligation which is expressly stated in the Agreement to survive termination. 14. Alternative Dispute Resolution (ADR), The Parties desire to resolve disputes arising out of this Agreement without litigation. Accordingly, except for: a) adions seeking a temporary restraining order or an injunction related to the purpose of this Agreement; b) actions to compel compliance with this dispute resolution process: or c) tcnnination of the Services as set forth in Paragraph 12, the Parties agree to f\)l!ow the /\DR procedure set f(Jrth herein as their sole remedy with respect to any contmversy or claim arising out of or relating to this Agreement or its breach. The parties agree that any such daims arising under this Agreement must be pursued on an individual basis in accordance \vith the proàedurc noted below. Even if applicable law permits dass actions or class urbitrations, the ADR procedure agreed to herein applies and the parties waive any rights to pursue any claim arising under this Agreement on a class basis. The ADR proàcdurcs are as f(lllows: TSAfi61402.doc 2 ---PAGE BREAK--- a) At the written request of a Party, each Party will appoint a kno'-v!edgeable responsible representative to meet and negotiate in good faith to rcso!Ye any dispute arising under rhis Agreement. The Parties intend that these negotiations be conducted by business representatives. The location, t()mwt, frequency, duration and conclusion of these discussions shall be left to the discretion of the representatives. Upon agreement, the representatives may utilize other altcmative dispute resolution procedures such as mediation to assist in the negotiation. Diswssions and correspondence among the representatives for purposes of rhc negotiations sha\1 be treated as confidential inf(mnation developed for purposes of settlement, exempt from dis..:overy and production, and shall not be admissible in the arbitration described below or in any lawsuit without the concuJTencc of all Parties. If suĪ,;h negotiations do not resolve the dispute within sixty (60) calendar days of the initial written request, the dispute shall be submitted within seven calendar days to binding arbitration by a single arbitrator pursuant to the Commercial Arbitration Rules of the American Arbitration Association. A Party may demand such arbitration in accordance with the procedures set in those rules. Each party shall bear its own costs of arbitration and shall split equally fees of the arbitration and the arbitrator. b) If an arbitration is demanded, discovery shall be pennitted, but each Party shall be limited to a maximum of any combination of 35 (none of which may have subparts) Interrogatories, Demands for Production of Documents or Requests for Admission. Each Party shall also be entitled to the oral deposition of one individual of another Party. Additional discovery may be pem1itted upon mutual agreement of the Parties. The arbitration hearing shall be commenced within nincry (90) calendar days of the demand for arbitration unless otherwise agreed to by the Parties. The arbitration shall be held in Dallas, Texas. c) fn all arbitrations, the arbitrator must give to applicable statutes of limitation and shall not be afforded any authority to award relief in excess of what this Agreement provides or to order consolidation or class arbitrations. Judgement upon the award rendered by the arbitrator may be enrt."fcd in any coun having jurisdiction. 15. Delayed Performance or Failure to Perform. V crizon · s perfonnance under this. Agreement, or any obligation hercundt-'f, shall be excused if said pcrl'onnancc or obligation is prevented, restricted or interfered '0/ith due to any causc(s) beyond the reasonable control of Verizon, including, but not limited to, acts of God, war, civil commotion, fire, explosion, vandalism, cut cable, inclement weather, earthquake, acts of the Govemment in its sovereign capacity, labor difficulties, strikes, slowdowns, picketing or boycotts, or unavailability of tllcilitics or equipment. V crizon shall not be liable for ai1y delay or failure in its perfonnance JUring the occurrence of such circumstances. 16. Customer-Provided Facilities or Equipment. Customer shal1 ensure that the facilities or equipment provided by Customer arc properly interconnected with the Services, facilities and equipment provided by Verizon. Verizon shall not be liable for any damages or losses caused by the failure of equipment, inside wire or other facilities provided by the Customer or a third party and if such facilities cause damage to V crizon, its customers, and! or its providers. Custorner shall be liable therefor. Customer is also solely responsible for the selection, implementation and maintenance of security features for protection against unauthorized or tfaudulent usc of Services and Verizon shall have no liability therefor. 17. Miscellaneous: a) 'I11is Agreement, including exhibits, constitutes the entire agreement of the parties pertaining to the subject matter herein and supersedes all prior agreements, negotiations, and representations, whether written or oral, concerning such subject matter. No representations or warranties express or implied, have been made or relied upon in the making of this Agreement other than those specifically contained in this Agreement. Unless specified this Agreement may be modified or only if done in writing and signed by both Parties. b) Either party's ti1ilure to enforce any of the provisions of this Agreement or to exercise any right or option is not a waiver of any such provision, right, or option, and shal1 not affect the validity of this Agreement. Any waiver must be written and signed by the Parties. If any provision of this Agreement or the provision of any Service under the terms hereof is held to be illegal, invalid, or otherwise prohibited under applicable law or regulation in any State or jurisdiction, then this Agreement shall be construed as if not containing such provision or not requiring the provision of such invalid, illegal, or prohibited Service in such State or jurisdiction. c) Provided Customer provides Vcrizon with reasonable prior writtħn notice, Customer may assign or transfer this Agreement to any company that is the successor to substantially all of its assets. All other attempted assignments shall be void without the prior written consent of the other party. Notwithstanding the foregoing, Vcrizon may assign or transfer part or all of this Agreement without such consent to any of its affiliates and/or successors. d) Each signatory to this Agreement represents and warrants that he or she has authority to bind the entity on whose behalf he or she is executing this Agreement. c) Notices under this Agreement shall be sent by first-dass U.S. mail, postage prepaid, to Verizon at 6665 N. MacArthur Blvd., Irving, Texas 75039, Attn.: Director- Contract Management, and to Customer at the address specified above. Notice$ shall be deemed effective three business days after such mailing. t) Each Party shall comply with the provisions of all applicable federal, state, and local Jaws, ordinances, regulations and Ct)des in perfom1ance under this Agreement. TSA061402.dot: 3 ---PAGE BREAK--- g) Neither party will disdose the tenns of this Agreement to any other person without the prior written consent of the other party, except as may be necessary' to comply with app\it.:able laws or regulations. h) !n the event of any claim or dispute. the laws of the jurisdiction in which V crizon provides to Customer the particular Service that is the subject of such claim or dispute shall apply. If Service provided is multiĨjurisdictional then the !av.,:s of the state of New York will apply. i) V crizon · s provision of Service is subject to authorization to operate in the jurisdiction(s) where the Services are provided. The obligation of Verizon to provide Service is dependent upon its ability to procure, construct, and maintain facilities that nrc required to meet Customer's order fix service. Vcrizon will make all commercially reasonable cft(ms to secure the necessary tĩtcilities, providing such Service will not adversely affect V crizon · s services. 18. Attachments. Customer subscribes to the Service(s) by checking and initialing the applicable Exhibit(s) below. Atlditional Terms and Conditions Specific to Long Distance Service BCD/ICB Tracking l. Description of Plan. This plan for fixed-rate voice grade service is available to business customers who generate total ammal long distance charges of $6.000.00 up to $240,000. Customer must select a one, t wo, or three year term commitment Minimum Annual Commitment ("MAC') levels are available at levels of$6,000, $12.000,$24,000,$36,000,$48,000,$60,000,$84,000, $!20,000, $180,000, and $240,000. An additional MAC level of$10,000 is applicable only for the Great Connections Plan. Customer's fixed rates are based upon Customer's MAC and the term of the agreement selected b y Customer. Customer must complete a Service Provider Change Authorization a'i shown on Attachment A and designate all applicable telephone numbers, lines and locations on Attachment A- I. 2. Determination of MAC. In detennining the MAC, the Customer's total domestic and international outbound usage, domestic inbound usage, calling card usage and surcharges, and Recurring Charges RCs") and other usage and charges for the full range of Services provided b y Verizon shall be included. Usage charges tor Operator assisted calls third number-billed calls, collect calls and director y assistance will be included toward Customer's MAC onl y tOr lines included in this plan, which must be specified b y the Customer on Attachment AI A-1, but, such charges shall not be discounted. Charges fOr \Vide Area Telephone Service ATS") lines, mobile service, pay station, residentia1 lines and lines with Handicap discounts are not included in the MAC under this plan. 3. Dedicated Access Facilities. Customer may arrange for local loop access facilities on il" m:vn, or may elect to have Verizon coordinate access arrangements. Verizon \vill bill the access provider1S charges to Customer. Any special construction or non standard charges assessed b y the company supplying the local loop access, or b y the underlying provider connecting to the access provider, will also be the responsibilit y of Customer. 4. Calling Cards. This plan applies to all calling card calls placed b y dialing a toll-free access number using a Verizon calling card only, except lor those calls provided b y an alternate carrier b y reason of 47 United States Code Section 27l Calling card rates will be the same as the Customer's plan rates except fOr those calls provided b y an alternate carrier, whose rates will be as tariffed or otherwise set b y that alternate carrier. Calling card calls provided b y the alternate canier shall not be included in the calculation of Customer's !viA C. Operator surcharges applicable to the Verizon calling card shall not be waived or discounted under this Agreement. 5. Rating of Calls. Calls will be sub-minute rated based on an initial period of 18 seconds, with the additional periods being billed in six second increments thereafter. 6. Underutilization Charge. No revision to the rates will be made unless the Customer contracts Verizon. If the usage charges paid b y Customer are less than the MAC, an Underutilization Charge equal to the difference between the lv1AC and such usage will be imposed. Verizon will bill Customer for such Undcrutilization Charge \vithin ninety (90) days follo wing each annual In Service mmiversar y date. In addition, the current rates will be re-negotiated based on the new adjusted MAC. 7. Termination Charges. Customer may elect to terminate this Agreement for its O\vn convenience upon thirty (30) days prior \Witten notice to Verizon. In the event Customer elects to tem1inate this Agreement prior to the expiration of the term or if tem1inated for default b y Verizon Customer shall be responsible for an amount equal to the difference between the MAC and total usage charges paid during the Contract Year of such termination; and (ii) forty percent (40%) of the MAC for each additional Contract Year of the unexpired term of this Agreement (collectively, the "Termination Charges''). 8. Liquidated Damages. Customer ackno wledges that Verizon's actual damages arising either from Customer's underutilization or tennination of the Service are impossible to ascertain and the Underutilization and Termination charges arc reasonable estimates of same and shall constitute liquidated damages, and not penalties. 9. Expiration of Term. When a tenn commitment expires, Customer will have thitt y (30) days to select another Verizon service plan. If Customer fails to notifY Verizon within this time frame, for MACs of$6,000 and greater, Verizon may place Customer on the long distance plan with pricing that conesponds to the then cuiTent one year te1m and $6,000 MAC. For plans with a MAC less than $6,000, Verizon ma y change to its lo west MAC level at the one year tenn. The new rates \vill be effective on the first of the month when implemented fOllowing a 30-day grace period. International Service is an add-on to this interstate plan and will utilize rates as tiled in Carrier's Tariff FCC No.2. 2) Call 1\;tanagement Features. The fOllowing call management features are also available: a) Account Code Service offers varying levels of security and cost management, and is available with either dedicated or switched access lines. Customer will be required to input appropriate codes before the calJ is processed. Customer must choose between the Unvalidated Account Code or Validated Account Code options, described as follows: i) Unvalidated Account Code. This enables the Customer to categorize and secure telecommunications expenditures and access. Customer must notify Verizon ho w many digits (2 to 6) \Vill be dialed. The call will be authorized onl y if an account code with the correct number of digits is dialed. Customer controls the assignment of actual numbers dialed. ii) Validated Account Code. Customer is required to enter a specitic, Customer-defined code at the end of the dialing process before call completion will occur. Customer defines the length of the code (2 to 6 digits) and the listing of specific codes that will be accepted. Upon activation of validated account codes. call completion will occur only if a valid account code is entered at the end of the dialing process. b) .Management Reporting Services. These services provide the customer with the ability to analyze call detail b y formatting it into various summar y fonnats. Customer may obtain Management Reports via either paper copy or software copy, but not both fonnat<;. Call Management Reports provide various summar y formats of Customer's invoiced call infotmation and may be presented in either Outbound Call Reports or Inbound Call Reports. Selected repotts are available on a per invoice basis, and are provided via paper copy. As an alternative to ordering Call Management Rep01ts from Carrier, Customer may order a software program that can be utilized to generate not only the Call Management Repotis, but other customized reports as well. Customer may select itom a set of predefined standard format<;, or build custom repOits to tit its mvn telemanagement needs. Customer \Viii be supplied with the program initially (one time), and with invoice infonnation via CD R OM. c) Term. Cal1 Management Features and Management Reporting Services, when selected below, will be provided on a month to-month basis at Verizon's then current rates and are subject to change without notice to the Customer. 3) Other Incidental Features and Services: Customer ma y order other services throughout the term of the Agreement that are incidental to the Long Distance Voice Service provided herein. These optional features and services, as well as the rates tOr such features and services, are listed and described in either Verizon's tariff, if applicable, or on its website. All tenus and conditions set forth in this Agreement shall apply to an y such feature or service provided to Customer b y Verizon. Nonrecurring charges, per call charges minute-of use charges, feature change charges and other applicable charges may apply to such features or services. Nonrecurring charges may also appl y for installation of, or changes to the services provided herein. All charges for features and services incidental to the Long Distance Voice Service shall be billed in accordance with the current rates for such feature and services set tOrth in the Verizon tariff's or website. These rates are subject to change without prior notice to Customer. Such features and services are provided on a month-to-month basis and may be cancelled and/or added at any time with notice to Verizon. Cancellation of any feature or service does not authorize Customer to cancel this Agreement for Long Distance Voice Service that is subject of this Agreement or to revise the Customer's selected :tvfAC. This Agreement shall remain in full fOrce and effect until the end of its term. In placing orders for features and service incidental to the Long Distance Voice Service provided herein, Customer shall follow Verizon's standard ordering process.
