PERSONAL SERVICES CONTRACT INDEPENDENT CONTRACTOR THIS AGREEMENT, made the 7th day of September 199 between the City of Moscow, a Municipal Corporation of the State of Idaho, (hereinafter "CITY") and Amanda Arnold of (hereinafter "CONTRACTOR"): WITNESSETH: WHEREAS, the CITY is in need of the services of a coordinator to coordinate the activities of the Moscow Linear Park Task Force and has requested CONTRACTOR to undertake the duties of the coordinator upon the terms and conditions hereinafter expressed: NOW THEREFORE IT IS HEREBY AGREED AS FOLLOWS: I. TERM: This Agreement shall be effective from the date below until terminated as hereinafter provided. 2. REMUNERATION: The CITY wiay CONTRACTOR for such services, an hourly contract amount of $ q per hour for actual hours spent by CONTRACTOR in performing the work of coordinator in installments paid on or before the I Oth day of each calendar month following the month in which the services were performed. 3. INDEPENDENT CONTRACTOR: CONTRACTOR shall be an independent contractor and not an employee of the CITY and shall comply with all the duties hereinafter set forth and shall use his or her best efforts to carry out the duties of coordinator. It is understood and agreed that CONTRACTOR is an independent contractor and not an employee or agent of the CITY and is not entitled to workman's compensation or any benefit of employment with CITY. The CITY shall have no control over the performance of this Agreement by CONTRACTOR, except to specify the times and places of performance. The CITY shall have no responsibility for security or protection of CONTRACTOR'S supplies or equipment. 4. CONTRACTOR OBLIGATIONS: CONTRACTOR shall perform all duties as assigned by the Moscow Linear Park Task Force, as directed by the Director of the Moscow Parks and Recreation Department. 5. INSURANCE/WITHHOLDINGS: CONTRACTOR expressly understands and agrees that he or she shall be fully responsible for his or her own workmen's compensation insurance, state and federal withholding taxes, FICA withholding, etc. CONTRACTOR agrees to indemnify and hold CITY harmless for any damages or claims of whatever nature of CONTRACTOR. 6. TERMINATION: This Agreement may be terminated without cause at any time by the CITY giving the CONTRACTOR ten (I 0) calendar days notice in writing of its intention to terminate the same. COMPLIANCE WITH LAWS: CONTRACTOR agrees to comply with all federal, state and local laws, rules and regulations in performing duties pursuant to this Agreement. 8. ENTIRE AGREEMENT: This Agreement contains the entire agreement between the parties, and no statements, promises, or inducements made by either party, or agents of either party are valid or binding unless contained herein. This Agreement may not be enlarged, modified or altered except upon written agreement signed by the parties hereto. The CONTRACTOR may not subcontract or assign its rights (including the right to compensation) or duties arising hereunder. 9. CONSTRUCTION AND VENUE: l t is agreed that this Agreement shall be construed under and governed by the laws of the State of Idaho. In the event of litigation concerning it, it is agreed that proper venue shall be the District Court of the Second Judicial District of the State of Idaho, in and for the County of Latah. 10. REPORTS AND INFORMATION: The CONTRACTOR shall maintain accounts and records, including personnel, property and financial records, adequate to identify and account for all costs pertaining to this Agreement and such other records as may be deemed necessary by the City to assure proper accounting for all project funds. These records shall be made available upon demand to the City or its authorized agents or representatives for audit purposes and will be retained for three years after the expiration of this Agreement.
