LEAH K. CASTAGNE CONTRACT AGREEMENT FOR PROFESSIONAL SERVICES THIS CONTRACT AGREEMENT is to engage the professional services of LEAH K CASTAGNE, licensed attorney, as part-time ,qf:t Assistant City Attorney. This Agreement, entered into on the loth day of a 1998, between CITY OF MOSCOW, IDAHO, a municipal corporation of the State ofldabo (hereinafter referred to as "CLIENT"), and LEAH K. CASTAGNE (hereinafter referred to as "ATTORNEY"), is as follows A. ATTORNEY agrees to perform the following services as necessary, which include but are not limited to Any and all legal services directed by the City Attorney of the City of Moscow, beginning April 6, 1998 until 5 00 p.m. July 31, 1998, unless the term is extended in writing and signed by the parties. B. CLIENT agrees to the following: 1. CLIENT will pay ATTORNEY for work performed under this Contract Agreement at the rate of Twenty-Five Dollars ($25.00) per hour for each hour of legal services provided. 2. CLIENT will require services of ATTORNEY in the average amount of twenty (20) hours per week, or approximately eighty-six (86) hours per month, during the term of the Contract Agreement. C How Paid for Services. ATTORNEY shall be paid based upon receipt of a bill for hours worked during each period. D. CLIENT agrees to pay ATTORNEY for all services upon receipt of a bill for hours worked during each calendar period. Term will be net twenty (20) days. AJI unpaid balances beyond twenty (20) days will be subject to a finance charge of one and one-half percent ( 1 1/2%) per month. ATTORNEY reserves the right to stop work at any time during the term if payments for services are not made in accordance with this Contract Agreement. E. INUEPENDENT CONTRACTOR RELATIONSHIP ATTORNEY is an independent contractor and is not an employee, servant, agent, partner, or joint venturer of CLIENT. CLIENT shall determine the work to be done by ATTORNEY, but ATTORNEY shall determine the legal means by which the work specified by CLIENT shall be accomplished. RIGHT OF CONTROL CLIENT agrees that it will have no right to control or direct the details, manner, or means by which ATTORN"EY accomplishes the results of the services performed hereunder. ATTORNEY has no obligation to work any particular hours or days or any particular number of hours or days, provided that ATTORNEY shall be obligated to represent CLIENT at scheduled court proceedings as agreed to by the parties. ATTORNEY agrees, however, that her other contracts or services shall not interfere with the performance of her services under this Contract Agreement. G. LICENSES AND LAW ATTORNEY represents that she possesses the skill and experience necessary and all licenses required to perform the services contemplated by this Contract Agreement. ATTORNEY further agrees to comply with all applicable laws in the performance of the services hereunder. H. In the event that a dispute should arise relating to the performance of the services to be provided or for the collection of fees under this Contract Agreement, and should that dispute result in litigation, it is agreed that the prevailing party shall be entitled to recover all reasonable costs incurred in the defense or the pursuit of the claim, including staff time, court costs, reasonable attorney's fees, and other claim related expenses. The parties specifically agree that if ATTORNEY institutes suit to recover sums owed, then she shall be entitled to attorney's fees even though she may be a "pro se" litigant.
