SIDEWALK SIGN HOLD HARMLESS AGREEMENT CITY: City of Moscow, Idaho P 0 Box 9203 Address: 206 East Third Street Moscow, ID 83843 SIDEWALK SIGN(S): Di/f- M.JL:h:z_h6 Describe Sign(s) and Lotation(s) W I T N E S S E T H: WHEREFORE OWNER desires to utilize a sidewalk sign or signs within City limits; and WHEREAS, Moscow City Code Section 4-6-l3(R)( l2)(t) requires that OWNER enter into an agreement accepting all legal liability and responsibility for damages of any nature suffered by anyone as a result of the placement or maintaining of a portable sidewalk sign or signs and further requires OWNER to hold CITY harmless from and indemnify CITY for any claims of damages from such sign(s) as a condition of a sidewalk sign permit; and WHERFAS, OWNER desires to enter into this Agreement; NOW THEREFOR, OWNER hereby agrees as follows: OWNER agrees to indemnifY, defend, and hold harmless CITY, and its officers, agents and employees, from and against any and all claims, losses, actions, or judgments for damages or injury to persons or property arising out of or in connection with the acts and/or any performances or activities of OWNER and related to construction, use, placement and operation of such sidewalk sign(s) as is/are described hereinabove, specifically excepting any claims arising out of the negligence, gross negligence, and/or intentional acts of CITY or its officers, agents, or employees. CITY may cause said sidewalk sign(s) to be removed at any time and for any reasons and at OWNER'S expense from the CITY right-of-way forty eight hours ( 48) following CITY'S written request to OWNER that OWNER remove said sidewalk sign(s). Should OWNER fail to remove said sidewalk sign(s) within forty eight hour (48) of OWNER'S receipt of said written notice by CITY, CITY may cause said sidewalk sign(s) to be removed without further notice to OWNER and OWNER shall be responsible for all expenses incurred by CITY in removing said sidewalk sign(s).
