SERVICES AGREEMENT BETWEEN KELLER ASSOCIATES, INC. AND CITY OF MOSCOW, IDAHO THIS SERVICES AGREEMENT BETWEEN KELLER ASSOCIATES, INC. AND THE CITY OF MOSCOW, IDAHO (hereinafter "AGREEMENT"), fo.T ,Uervices for the Phase 1 Booster Station Replacements Project, is made and entered into this rf"'I' day of QotobeY , 2014 between KELLER ASSOCIATES, INC., a private corporation, 131 SW 5th Avenue, Suite A, Meridian, Idaho, 83642 (hereinafter "CONSULTANT"), and CITY OF MOSCOW, IDAHO, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 (hereinafter "CITY"). W I T N E S S E T H: WHEREAS, CITY desires to accomplish the above referenced PROJECT which consists of providing professional engineering and construction administration services to design and manage the Phase 1 Booster Station Replacements Project which shall conform to Idaho Department of Environmental Quality (DEQ) and City of Moscow standards (hereinafter "PROJECT"); and WHEREAS, the CITY will be funding the PROJECT; and WHEREAS, CITY does not have sufficient staff to meet the required commitment and therefore deems it advisable and desirable to engage the assistance of the CONSULTANT to provide the necessary services for the PROJECT; and WHEREAS, CONSULTANT represents that he/she is in compliance with the Idaho State Statutes relating to professional registration, if applicable, and has signified a willingness to furnish consulting services to the CITY; Wherefore, in consideration of the terms, conditions, covenants and performance contained herein, or attached and incorporated and made a part hereof, the parties hereto agree as follows: NOW, THEREFORE, CITY and CONSULTANT, in consideration of the mutual covenants and stipulations set out, do hereby agree as follows: I. GENERAL DESCRIPTION OF WORK The work under this AGREEMENT shall consist of providing engineering services which shall conform to DEQ and City of Moscow standards which are necessary to accomplish the completed work for this PROJECT. CONSULTANT shall furnish all services, labor and related equipment necessary to conduct and complete the design and construction management work as designated elsewhere in this AGREEMENT. II. SCOPE OF WORK The Scope of Work and level of effort for this PROJECT is detailed in Exhibit attached hereto, and by this reference made a part of this AGREEMENT. GENERAL REQUIREMENTS All aspects of coordination of the work of this AGREEMENT, with outside agencies, groups or individuals shall receive advance approval of CITY. Necessary contacts and meetings with agencies, groups or individuals shall be coordinated through CITY. CONSULTANT shall attend coordination, progress and presentation meetings with CITY. These meetings, as required, shall be held in Moscow, Idaho. CITY will provide CONSULTANT sufficient notice prior to meetings requiring CONSULTANT participation. The minimum number of hours or days notice required shall be agreed to between CITY and CONSULTANT and made part of this AGREEMENT. CONSULTANT shall prepare a progress report, in a form approved by CITY, that will outline in written and graphical form the various phases "and the order of performance of the work in sufficient detail so that the progress of the work can easily be evaluated. CITY acknowledges CONSULTANT's data, designs, drawings, plans, specifications, reports, and other engineering documents prepared under this AGREEMENT are instruments of service and are not products. The data, reports, plans, and specifications prepared under this AGREEMENT shall become the property of CITY upon completion of the work and payment in full by CITY of all monies due to CONSULTANT. CITY agrees to not reuse, modify, sell, or make CONSULTANT's engineering documents available for any purpose other than necessary to complete the subject projects of this AGREEMENT, unless required to do so by law. IV. TIME BEGINNING CONSULTANT shall not begin any work under the terms of this AGREEMENT until authorized in writing by CITY. V. PAYMENT CONSULTANT shall be paid by CITY for completed work and services rendered under this AGREEMENT. Such payments shall be full compensation for work performed or services rendered and for all labor, materials, supplies, equipment, and incidentals necessary to complete the work specified in Section II, "Scope of Work." The estimated cost of this work is shown in Exhibit and is included in this AGREEMENT. VI. CONSULTANT IS INDEPENDENT CONTRACTOR CONSULTANT warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for CONSULTANT, to solicit or secure this AGREEMENT. Any and all employees of CONSULTANT or other persons while engaged in the performance of any work or services required of CONSULTANT under this AGREEMENT, shall be considered employees of CONSULTANT only and not of CITY. CONSULTANT shall not engage, on a full or part time basis, or other basis, during the period of the AGREEMENT, any professional or technical personnel who are in the employ of CITY. NONDISCRIMINATION CONSULTANT agrees not to discriminate against any client, employee or applicant for employment or for services because of race, creed, color, national origin, marital status, sex, age or handicap. VIII. TERMINATION OF AGREEMENT CITY or CONSULTANT may terminate this AGREEMENT at any time upon thirty (30) days prior written notice to the other party. In the event this AGREEMENT is terminated by CITY other than for default on the part of CONSULTANT, a final payment shall be made to CONSULTANT for services rendered by CONSULTANT prior to the termination. If it is determined for any reason that CONSULT ANT was not in default, the termination shall be deemed to be a termination for the convenience of CITY. CONSULTANT shall be paid for all costs included due to termination or convenience, including demobilization or personnel and equipment. Payment for any part of the work by CITY shall not constitute a waiver by CITY of any remedies of any type it may have against CONSULTANT for any breach of this AGREEMENT by CONSULTANT, or for failure of CONSULTANT to perform work required of it by CITY. Forbearance of any rights under this AGREEMENT will not constitute waiver of entitlement to exercise those rights with respect to any future act or omission by CONSULTANT. IX. SUSPENSION OF SERVICES: CONSULTANT shall be reimbursed for all costs incurred for services completed prior to the suspension of services. CONSULTANT: CITY: Keller Associates, Inc. CHANGES OF WORK CONSULTANT shall make such changes and revisions in the completed work of this AGREEMENT as necessary to correct errors appearing therein, when required to do so by CITY, without additional compensation thereof. Should CITY find it desirable for its own purposes to have previously satisfactorily Page 3 of13 Professional Services Agreement - Phase 1 Booster Station Replacement Project ---PAGE BREAK--- completed work or parts thereof changed or revised, CONSULT ANT and CITY may negotiate a price for such services prior to the services being provided by CONSULT ANT. XI. DISPUTES Disputes arising out of this AGREEMENT shall be subject to mediation as a condition to resolve the dispute. CITY and CONSULT ANT shall resolve claims and disputes using mediation in accordance with the Construction Industry Mediation Rules of the American Arbitration Association. CITY and CONSULTANT shall share in the cost of the mediator's fee equally. Agreements reached in the mediation shall be binding on both parties as a settlement agreement, following approval of such by CITY Council. XII. VENUE, APPLICABLE LAW AND PERSONAL JURISDICTION The parties agree that, should any provision of this Agreement be litigated in the future, venue for such litigation shall be with the District Court of the Second Judicial District of the State of Idaho in and for the County of Latah. XIII. LEGAL RELATIONS AND INSURANCE CONSULTANT shall comply with all Federal, State, and Local laws and ordinances applicable to the work to be done under this AGREEMENT. This AGREEMENT shall be interpreted and construed in accord with the laws of Idaho. CONSULTANT shall indemnify and hold CITY, and their officers and employees harmless from and shall process and defend at its own expense all claims, demands, or suits at law or equity arising in whole or in part from CONSULTANT'S negligence or breach of any of its obligations under this AGREEMENT; provided that nothing herein shall require a CONSULTANT to indemnify CITY against and hold harmless CITY from claims, demands or suits based solqly upon the condu . rt of their agents, officers and employees. CONSULTANT shall not be responsible for CITY's negligence.·s XIV. INSURANCE COVERAGE A. Worker's compensation and employer's liability insurance as required by the State ofldaho. 8. General liability and property damage insurance in an amount not less than a single limit of one million dollars ($1,000,000) for bodily injury, including death and property damage per occurrence. Excepting the Worker's Compensation insurance and any professional liability insurance secured by CONSULTANT, CITY will be named on all certificates of insurance as an additional insured. CONSULTANT shall furnish CITY with verification of insurance and endorsements required by this AGREEMENT. CITY reserves the right to require complete, certified copies of all required insurance policies at any time. All insurance shall be obtained from an insurance company authorized to do business in the State of Idaho. CONSULT ANT shall submit a verification of insurance as outlined above within fourteen (14) days of the execution of this AGREEMENT to CITY. No cancellation of the foregoing policies shall be effective without thirty (30) days prior notice to the CITY. In no case shall CONSULT ANT'S professional liability to third parties be limited in any way. CITY will pay no progress payments under Section V until CONSULTANT has fully complied with this section. XV. ENDORSEMENT OF PLANS CONSULTANT shall place its endorsement on all plans, estimates or any other Engineering data furnished by him. XVI. CITY REVIEW CITY shall have the right to participate in the review or examination of the work in progress. XVII. COMPLETE AGREEMENT This document and referenced attachments contains all covenants, stipulations and provisions agreed upon by the parties. No agent, or representative of either party has authority to make, and the parties shall not be bound by or be liable for, any statement, representation, promise or agreement not set forth herein. No changes, amendments, or modifications of the terms hereof shall be valid unless reduced to writing and signed by the parties as an amendment to this AGREEMENT. XVIII. EXECUTION AND ACCEPTANCE This AGREEMENT may be simultaneously executed in several counterparts, each of which shall be deemed to be an original having identical legal effect. CONSULTANT does hereby ratify and adopt all statements, representations, warranties, covenants, and agreements contained in the proposal, and the supporting materials submitted by CONSULT ANT, and does hereby accept the AGREEMENT and agrees to all of the terms and conditions thereof. (Consultant) and CITY OF MOSCOW, ID (Owner) ARTICLE I: PROJECT DESCRIPTION Keller Associates will provide engineering service for the design of the Phase 1 Booster Station Replacements Project. Phase 1 includes the Vista, White Avenue, and Taylor Booster Stations. Other booster pump station upgrades may be included in subsequent phases. The Vista Booster Station component of the project will include replacing the existing below-grade booster station. The existing booster station on Hathaway Street will be abandoned and a replacement booster facility is anticipated to be located on City-owned property (currently contemplated to be on the south side of the access road to the Vista Reservoir). The project will also provide a connection to an existing 24-inch transmission main located adjacent to the site. The project consists of designing the mechanical, HVAC, electrical, building, structural, and civil/site components of the proposed pump station. The design shall include a back-up generator (as an additive bid item), a new pump building, pumps, mechanical piping, necessary valving, expansion capacity, and instrumentation/control. The pumps are anticipated to have variable frequency drives and multiple pumps capable of efficiently delivering the range of current and future domestic demands plus fire flow. During design Consultant will size the booster pumps to accommodate anticipated future growth and to accommodate the abandonment of the Moser Booster Station. Contract drawings and specifications for demolition of the existing Vista Booster Station are not required as the Owner will provide demo with their staff. The White Avenue Booster Station component of the project will be to replace the existing below­ grade pump station, adjacent to the existing location, with an above-grade facility. The project consists of designing the mechanical, HVAC, electrical, building, structural, and civil/site components of the proposed pump station. The design shall include a back-up generator (as an additive bid item), a new pump building, pumps, mechanical piping, necessary valving, expansion capacity, and instrumentation/control. The pumps are anticipated to have variable frequency drives and multiple pumps capable of efficiently delivering the range of current and future domestic demands plus fire flow. The City-owned property adjacent to the existing booster station contains ample room for the new booster station. Contract drawings and specifications for demolition of the existing White Avenue Booster Station are not required as the Owner will provide demo with their staff. The Taylor Booster Station component of the project will be to replace the existing below-grade pump station, adjacent to its existing location, with an above-grade facility. The project consists of designing the mechanical, HVAC, electrical, building, structural, and civil/site components of the proposed pump station. The design shall include a back-up generator (as an additive bid item), a new pump building, pumps, mechanical piping, necessary valving, expansion capacity, and instrumentation/control. The pumps are anticipated to have variable frequency drives and multiple pumps capable of efficiently Page 7 of 13 Professional Services Agreement - Phase 1 Booster Station Replacement Project ---PAGE BREAK--- delivering the range of current and future domestic demands plus fire flow. The proposed location for the new booster station will be on University of Idaho property. The Owner will be responsible for procuring a permanent easement of appropriate size to facilitate the new booster station. Contract drawings and specifications for demolition of the existing Taylor Booster Station are not required as the Owner will provide demo with their staff. The project will also include design coordination with the Owner and their SCADA integrator who will be completing SCADA design, programming, and startup support. In addition, the Owner anticipates the following design criteria will be accounted for in the design for each booster station: • Ability to deliver the maximum day demand with largest pump out of service. • Ability to deliver fire flow established by the Owner. • Provisions for supplemental disinfection to be added in the future (e.g. space within or adjacent to new buildings). • Building configuration to provide a minimum of 36-inch clear space around all pumps, pipes, and electrical panels. • On-site emergency power generation. • Standardized equipment, hardware, and software (where practical) for all stations. • Provisions for pump removal, including overhead rail hoists. • Pressure transducers, flow meters, run time meters, motor current monitoring. Also, include alarms such as low pressure (for line breaks) and high flow (for fire conditions). The Owner intends to use flow meter data to track water usage by zone and monitor pump performance. • Provisions for how to stage system startup to maintain service while system is brought online. • Construction drawings to include erosion control measures, which will include an erosion control plan drawing and a performance specification requiring the Contractor to develop an erosion control plan in conformance with EPA and DEQ guidelines. • Storm drainage from site will be conveyed to existing storm lines and ditches located adjacent to the proposed booster station sites. • Standard building footprint (where practical). • Flexibility to incorporate larger pumps for future demand (where practical). • Landscaping and building finishes to fit the neighborhood. ARTICLE II: BASIC SERVICES 2.1 Project Management - Establish a project schedule and budget, attend project meetings, provide oversight of project team, and provide progress reports. 2.2 Pre-Design - The following tasks are anticipated for Pre-Design. • Data Collection. Gather and review necessary information and data to proceed with the project, including current demand, service area, growth trends, and technical memorandums with respect to this proposed project. It is assumed that the Consultant will use the future demand projections from the 2012 Comprehensive Water System Plan and demand information provided in the Owner's water system model that will be provided to the Consultant. • Pump Evaluation. Conduct an evaluation of alternative pump configurations based on current and future demand requirements, energy efficiency, and the ability to incorporate the Moser zone (Vista). The evaluation will include multiple pump configurations. Provide summary of findings and evaluation of alternatives. It is assumed that some modeling will be required to determine whether the Vista and Moser pressure zones can be connected. The Consultant has assumed for budgeting purposes that a functional up- Page 8of 13 Professional Services Agreement - Phase 1 Booster Station Replacement Project ---PAGE BREAK--- to-date model can be obtained from the Owner and that this model can be used to evaluate the pressure zones for the new booster pump stations. • Booster Pump Station Siting. The proposed pumping facility sites will be reviewed in the field with Owner staff. Identified concerns, if any, will be discussed with the Owner. For budgeting purposes, it is assumed that the sites currently contemplated will be adequate or that another adjacent site with similar site conditions/constraints on City-owned property will be identified as part of the field visit and prior to topographic surveying and geotechnical investigations. • Preliminary Cost Estimate. Prepare a cost estimate for the project. • Geotechnical Evaluation. Provide a geotechnical evaluation of all three booster pump station sites. The geotechnical investigation will be completed by Strata Inc., as a sub­ consultant to Consultant. The investigation will include two test pits (7 to 1 O feet deep, or until refusal on bedrock or other obstruction) at each booster station site. Strata will visually describe, classify, and log soils encountered referencing the Unified Soil Classification System. Soil samples collected from exploration will be transported for laboratory testing. Groundwater, if encountered, will also be logged. Excavations will be loosely backfilled with site soil, and the ground surface in exploration locations will be graded approximately level with the surrounding area. Geotechnical recommendations will include the following types of improvements: slab on grade concrete, building foundations, asphalt paving, and stormwater management. The Owner will secure access to each site. • Topographical Survey. Conduct a site topographical survey of each site. Cuddy & Associates will perform this work as a sub-consultant to Consultant. Each survey will include surface features at each site including ground shots, landscaping, fencing, grade breaks, subgrade utilities and inverts, concrete curbing, above grade utilities, irrigation including sprinklers and control boxes, and property corners if available. Each survey will be tied into at least two section corners or monuments. A digital terrain model will be created and utilized for the Design phase. • Pre-design Report. Prepare a draft pre-design report with concept drawings to the Owner for review. Submit a pre-design report as required by Idaho Department of Environmental Quality. 2.3 Energy Efficiency Review - Complete an energy efficiency review discussing options for energy savings a n d s u m m a r i z e f i n d i n g s i n a t e c h n i c a I m e m o r a n d u m . This t e c h n i c a I memorandum will be included as part of the plans and specifications submission. 2.4 Design - Consultant will complete one combined bid package for all three booster stations. Consultant will provide a 50% submittal with approximate cost estimate that will allow the Owner to provide comments. Consultant will provide one design review with cost estimate at 90% design for Owner's comment prior to final design and final design drawings and cost estimates. Provide specifications with the design review and for the final design. Design will be coordinated with utilities and review agencies as required. The cost of obtaining any special permits and approvals shall be borne by the Owner. Prior to the advertisement for bids, the Consultant shall provide six copies of detailed design drawings, specifications, and contract documents for use by the Owner and three copies to the Idaho Department of Environmental Quality (DEQ) for agency approval Additional copies of the above specified documents shall be provided to the Owner by the Consultant at production cost. The Contract Documents will provide the contractor sufficient reference from which to execute the contract work and will include submittal of CAD files for construction staking by contractor's surveyor. Page 9of 13 Professional Services Agreement - Phase 1 Booster Station Replacement Project ---PAGE BREAK--- 2.5 Bidding Services - The Consultant will provide a draft advertisement for the Owner's use in the public advertisement process for bidding the construction of the approved design plans and specifications. Conduct a pre-bid meeting, provide support during bidding and award to resolve questions, tabulate the bid proposals, analyze the responsiveness of the bidders, and make recommendations for awarding contract(s) for construction to the lowest responsible, responsive bidder. For budgeting purposes assumes one bid process. Owner will pay for advertising costs. 2.6 Construction Assistance - Conduct preconstruction conference, review contractor submittals, respond to requests for information (RFls), issue construction proposal requests (PRs), prepare construction change orders (COs) for execution by Owner and the contractor, perform substantial and final inspection and prepare punchlists, review contractor pay requests and make recommendation of payment to Owner, prepare record drawings (As-Builts), prepare operation and maintenance manuals (three copies), and assess construction substantial completion reporting to the City of Moscow and Idaho Department of Environmental Quality. Design engineer will visit the booster station sites in connection with construction meetings. The purpose of these visits will be to observe construction progress and to check if work is progressing in general accordance with the plans and specifications. Provide warranty inspection one month prior to warranty period expiration. The Consultant shall provide the Owner with one set of reproducible record (as-built) drawings in pdf format, two sets of 11 x 17 prints and in AutoCAD format. Such drawings will be based upon the construction records provided by the contractor during construction and reviewed by the Owner's resident inspector. For budgeting purposes, it is assumed that there will be one general contractor and that work will occur over a 6-month construction window. 2.7 Meetings - The following meetings are anticipated during various phases of the project: • Kick-Off Meeting (Pre-Design). The purpose of this meeting will be to discuss preliminary project planning & design goals. • Concept Approval Meeting (Design). The purpose of this meeting will be to review the pre-design and conceptual layouts prepared by the Consultant and receive direction from the Owner prior to proceeding toward 50% design. • 50% Design Meeting (Design). The purpose of this meeting will be to review 50% plans prepared by the Consultant and to steer the project towards 90% design. • 90% Design Meeting (Design). The purpose of this meeting will be to review 90% plans and specifications prepared by the Consultant and to identify any final edits prior to submission to the Idaho Department of Environmental Quality. • Pre-Bid Meeting (Bidding). • Pre-Construction Conference (Construction). • Construction Progress Meetings (Construction). Conduct progress meetings over a 6- month construction window. Construction progress meetings are anticipated to be with one general contractor and to occur once every two weeks . • 2.8 Reimbursable Expenses - To cover costs associated with travel, lodging, and bid document preparation a reimbursable expenses budget shall be established. Where trips from our Meridian Office to the Moscow area are tied to other projects in the area, travel expenses will be Page 10 of 13 Professional Services Agreement - Phase 1 Booster Station Replacement Project ---PAGE BREAK--- shared between projects. ARTICLE Ill: OTHER BASIC SERVICES 3.1 Construction Observation Services during the Construction Phase - The Owner intends to provide on-site construction observation during construction, meeting DEQ requirements for providing full-time on-site inspection. The Consultant will be available to make special inspections. For budgeting purposes, the Consultant has assumed 20 hours per month for a 6- month construction window. Services do not include setting construction grade stakes for the construction of the Project. The Consultant will be compensated for this task on a time and material basis. 3.2 DEQ Loan Funding Support - Provide supplemental loan support services for the Owner as requested. These services may include documenting the Green Project Reserve components of the project, completing DEQ disbursement requests, preparing project audit and closeout documents, completing MBE and WBE reports, and completing payroll reviews and contractor interviews to document compliance with Davis Bacon wage requirements. 3.3 Administrative Reserve - From time to time the Owner may have additional tasks related to the project or additional tasks may be encountered that are not identified in this scope of work. For these instances a time and material budget is established in order for Consultant to complete the additional services. Prior to the use of this contingency budget, Owner's representative will provide written (email) authorization to use the budget for particular tasks or activities. ARTICLE IV: CHLORINE ANALYSIS 4.1 Chlorine residual evaluation - Upon receiving notice to proceed from the Owner, the Consultant will work with Owner's staff on the appropriate locations in each pressure zone to take chlorine residual readings. The Consultant will coordinate and provide and summary technical memo of the chlorine residual results and determine whether re-chlorination is needed. 4.2 Chorine life cycle cost evaluation (Optional Task) - If it is determined that re-chlorination is needed at one or all of the booster pump stations, the Consultant will provide an evaluation of 12.5% Sodium Hypochlorite, On-site generation, tablets, and gas chlorination methods to determine the appropriate chlorination method for the Owner. Consultant will summarize findings in a technical memo. ARTICLE V: SERVICES NOT INCLUDED OR PERFORMED BY OTHERS The Scope of work excludes the following: 5.1 Environmental evaluation or investigation, detection, evaluation or assessment of hazardous materials. 5.2 Off-site piping. Including, but not limited to, piping between the Vista and Moser zones. (Piping between the Booster Station and the adjacent existing mainlines will be provided as part of Article II: Basic Services.) ARTICLE VI: PROJECT SCHEQULE The schedule below provides an approximate timeline for the project. A target completion date for final design drawings of January 31, 2015 assumes a Notice to Proceed the first of September 2014. 6.1 Pre-design Report - 45 days from NTP. 6.2 Owner and DEQ review of Pre-Design Report - 15 days (anticipated). 6.3 50% design - 30 days from receiving Owner and DEQ Pre-Design Review Comments. 6.4 90% design - 40 days from receiving Owner 50% review comments. 6.5 Final design - 20 days from receiving Owner 90% review comments. 6.6 DEQ Review - 21 days (anticipated). 6.7 Bidding and Award - 30 days (depends on scheduling with Owner meetings for approval). 6.8 Construction - 6 months (180 days). ARTICLE VII: COMPENSATION As compensation for services to be performed by Consultant, the Owner will pay Consultant as described in the following table. The total authorized budget amount shall not be exceeded without authorization from the Owner. For time and materials tasks, compensation will be according to the Consultants standard billing rates updated annually in January.
