*1 Grant #209-1-000-1 IDAHO DEPARTMENT OF HEALTH & WELFARE GRANT OFFER AND GRANT CONTRACT AGREEMENT FOR SEWAGE TREATMENT WORKS FACILITIES PLANNING SECTION I. INTRODUCTION The Idaho Board of Health and Welfare ( the "Board") is authorized by the Water Pollution Abatement Act ( the "Act") Title 39, Chapter 36 of the Idaho Code, to make and administer grants from the Water Pollution Control Fund ( the "Fund") in order to provide financial assistance to municipalities to aid in the construction of sewage treatment works. The Director of the Department of Health and Welfare and his authorized representatives ( the "Department") assist the Board in administration of the Act. The Department has found that the CITY OF MOSCOW ( the "Applicant") has established eligibility for a grant under the terms of the Act and "The Rules and Regulations for Administration of Wastewater Treatment Facility Grants, " Title I, Chapter 4, Rules and Regulations of the Department of Health and Welfare ( the "Regulations"). A completed, approved application has been submitted to the Department by the Applicant for a Sewage Treatment Works construction Grant. The Department hereby offers a grant to the Applicant according to the conditions contained in the following sections of this offer and contract agreement. SECTION II. DESCRIPTION OF PROJECT This document offers financial assistance from the Fund to the following project: A. Project Number: #209-1-000-1 B. GENERAL $79, 800 $79, 800 $59, 850 Upon signature by the Applicant this grant offer shall become a grant contract agreement and the Applicant shall become a Grantee. Acceptance of the offer shall obligate the Grantee to agree to all terms and conditions contained herein. The Grantee agrees to: A. Not transfer, assign or pledge any beneficial interest in a grant to any other person or entity without express written consent from the Director. Neither may the grantee delegate legal responsibility for complying with grant terms, conditions, and obligations without the Director's express written consent B. Enter into such contractual arrangements with as it deems advisable to assist it in responsibilities under the grant agreement third parties meeting its C. Fulfill all declarations, assurances, representations and statements in the application and all other documents, amendments and communications filed with the Department by the Applicant in support of the request for this grant D. Comply with applicable State and Federal employment requirements including, but not limited to Equal Employment Opportunity and Civil Rights requirements SECTION IV. PROJECT MANAGEMENT The Grantee agrees to: A. Efficiently and effectively manage the grant funds within the approved budget, complete the undertaking in a diligent and professional manner, and monitor and report performance to the Department on a schedule jointly determined with the Grantee. Final accountability for the prudent use of grant funds is the Grantee's responsibility. 2 ---PAGE BREAK--- Grant #209-1-000-1 B. The grantee agrees to retain and utilize the services of an engineer currently licensed by the State for all project planning, design and construction oversight. c. Submit all contracts for architectural/engineering services to the Department for approval. D. Require the prime architectural/engineering firm{s) and their principals retained for architectural/engineering services to carry professional liability indemnification to protect the public from the archi teet's; engineer's negligent acts and errors of omission of a professional nature. The total aggregate of the aJ;chitect' sf engineer's professional liability shall be one hundred thousand dollars ($100, 000) or twice the amount of the architect'sjengineer's fee, whichever is greater. E. Submit all changes in contract terms or project scope to the Department for approval. F. Submit final documents to the Department for review and approval within twelve (12) months. SECTION V. PAYMENTS A. The grant shall be used solely to aid in the financing of a sewage treat ment works project. Should the actual eligible cost of the completed project be different from the estimated eligible project cost upon which this offer is based, the actual eligible cost shall be used to determine the amount of the final grant The final determination of actual eligible costs shall be made by the Department according to the Regulations and accepted practices of engineering and accounting. The result of the Department's computation will be an adjusted grant. Any costs in excess of the adjusted grant amount will be borne by the Applicant. B. Payment of grant funds shall be predicated on project status statements submitted by the Grantee to the Department. Eligible cost shall be determined by the Department prior to the submittal of the first project status statement. A schedule and a format for submission of project status statements shall be approved by the Department prior to disbursements of any grant funds. The statement shall describe the work completed and set forth the total dollar 3 ---PAGE BREAK--- Grant #209-1-000-1 amount expenoed for eligible costs. If the statement is in order and properly documented, the Director or his authorized representative shall authorize the disbursement of appropriate grant funds to the Grantee. c. Payment of the final ten percent ( 10%) of the state grant will be withheld until the following requirements are met: 1. Engineering Report or Facilities Plan submitted and approved by the Department. 2. A preliminary audit has been completed or deferred until completion of construction. D. This offer is subject to the existence of the offered sum of money in the Water Pollution Control Fund at the time of payment. Should the offered sum of money not be available in the Water Pollution Control Fund at the time of payment, the Idaho Department of Health and Welfare hereby agrees to pay the above applicant the offered sum of money on the basis of the applicant's priority position immediately upon the accrual of said sum in the Water Pollution Control Fund. The Grantee shall: A. Provide a schedule of payments and establish an accounting and record keeping system consistent with State guidance. B. Provide for payment of the municipality's share of the cost of the project. C. Not submit requests for payment for any expenses arising from binding arbitration. SECTION VI. PROHIBITIONS Expansion of collection systems in excess of reserve capacity of the treatment works will be prohibited unless concurrent designated construction provisions for adequate treatment are provided by the Grantee. SECTION VII. TERMINATION OR SUSPENSION OF GRANT A. The Board may unilaterally terminate all or part of a grant agreement or any related state contract entered into pursuant to this offer if the Grantee fails to discharge the obligations and comply th the terms and conditions contained 4 ---PAGE BREAK--- Grant #209-1-000-1 herein. In addition to or as an alternative to such termination the Board may unilaterally order the Grantee to reimburse the State for funds previously paid to the Grantee. The Grantee shall not be subject to termination or an order for reimbursement if a failure to discharge the obligations or comply with the terms and conditions of the grant agreement is caused by circumstances totally beyond the control of the Grantee. B. If the Board finds that a Grantee has failed to comply with any term of this grant offer, the Board may declare the grant offer to be breached and stop payments to the Grantee. Furthermore, upon such a finding, the Board may direct the Department to seek from the Grantee any appropriate remedy available to the State including, but not limited to: 1. Specific performance of the contracts or grant offer; or 2. Return of grant funds previously distributed under the grant offer; or 3 . Damages and expenses incurred by the State as a result of Grantee acts, including all costs of enforcing the grant offer. SECTION VIII. ACCESS AND INDEMNIFICATION The Grantee agrees to: A. Fermi t the Department, or its authorized agents, to have access to the project work whenever it is in preparation or progress and provide that the contractor will provide adequate facilities for access and inspection. B. Provide the Department, or its authorized agents, access to all files, records, accountings and books relating to the management and accountability of the grant. c. Indemnify and save harmless the State of Idaho, its agents, and its employees regardless of fault or negligence, from any and all claims, actions, damages, liabilities and expenses directly or indirectly connected to the location, design, construction, operation, maintenance, repair, failure or deactivation of the project or any part of the project. 5 ---PAGE BREAK--- SECTION IX. SPECIAL CONDITION Grant #209-1-000-1 A. A facility plan resulting from this grant will be valid as a basis for financial assistance for five years. If construction is not initiated within five years, the grantee must evaluate changed conditions and update the plan to quality for state financial assistance. Additional state grant funds will not be awarded to update the plan. B. No grant eligible costs will be reimbursed until a final engineering agreement is received and approved by the IDHW DEQ, Coeur d'Alene Field Office. SECTION X. OFFER The offer set forth herein must be accepted, if at all, on or before December 6, 1991. An acceptance must be accompanied by a resolution of the Applicant's governing body authorizing the signator to sign on the Applicant's behalf for the purpose of this agreement. A. , hereinafter referred to as THE ENGINEER. W I T N E S S E T H: WHEREAS THE OWNER intends to prepare a 201 Wastewater Facilities Plan for the City of Moscow, hereinafter referred to as THE PROJECT. THE ENGINEER agrees to perform the various professional services required for THE PROJECT. NOW, THEREFORE, it is agreed that for and in consideration of the mutual covenants and promises between the parties hereto, that: SECTION I: THE ENGINEER shall furnish the following Engineering Services for THE PROJECT: A. General Prepare a 201 Facilities Plan following state guidelines, and identify a phased treatment plant upgrading, including financing alternatives. B. Task Description Task 1 - Flow and Wastewater Projections Facilities planning requires an evaluation of population trends and unit flows. A. Identify facilities planning area and sewer service area boundaries. B. Evaluate the relative contribution from the University of Idaho and the City of Moscow residential and commercial area. C. Evaluate historical and seasonal changes in wastewater flow and strength. D. Project population densities and sewage flows in the sewer service area. - 1 - a 1 r::l ---PAGE BREAK--- E. wastewater flows and Provide population projections, concentrations for the year 1995, the year 2000, the year 2010, and the year 2020 if appropriate. Task 2 - Collection System Evaluation A. Prepare an infiltration/inflow study in accordance with the sewer Rehabilitation decision tree and the "Handbook for Sewer System Evaluation and Rehabilitation", December 1975, EPA - 430/9-75/021. The Scope of Work includes smoke testing approximately 45 segments of pipe in the City sewer service area. Evaluate wastewater flows to determine if the infiltration or inflow is excessive. The Scope of Work was based on the premise that the ongoing City of Moscow infiltration evaluation and correction work will provide sufficient information to prepare a cost- effective analysis on infiltration/rehab/treatment. If the existing information is not of sufficient detail, an SSES study may be required. A cost-effectiveness analysis of rehabilitation versus increased plant capacity will be prepared. B. Evaluate flow records to identify sources of dilute wastewater such as cooling water that can easily be diverted from the wastewater system. Task 3 - Headworks Evaluation A. Evaluate options for increasing removal of inorganics and plastics with bar screens or rotary screens. B. Evaluate options for increasing hydraulic capacity of existing units without overflowing to the İdjacent facilities. c. Evaluate high water alarm system and provision to divert trickling filter effluent recycle to below secondary clarifier effluent bypass control box. Task 4 - Primary Clarification Evaluation A. Evaluate hydraulics and efficiency of existing unit. Work with plant operators to determine diurnal efficiency variation. - 2 - ---PAGE BREAK--- B. Predict ultimate capacity of the clarifier and removal efficiencies required for processes. c. Project schedule for new primary clarifier. Task 5 - Trickling Filter Evaluation A. Check hydraulic head available for trickling filters. Increase flow through filter system by raising bypass weirs to determine hydraulic capacity of distributer arms and underdrain system. Evaluate impact on treatment efficiency. B. Evaluate condition of concrete, underdrain piping, underdrain system, distributor arm, and ancillary facilities. C. Identify deficiencies and estimate remaining life of equipment and structures. D. Prepare cost estimate and priority list for upgrading with projections for ultimate capacity of the existing system. Evaluate capability for nitrification and capacity. E. Evaluate installing new solids contact basin to improve solids removal capability of existing trickling filter system. F. Prepare a schedule for new trickling filters to be on line. G. Evaluate the series operation of trickling filters and split operation with one of the filters acting as a roughing filter. H. Evaluate option of installing larger distributor arm on existing trickling filters. Task 6 - Secondary Clarification A. Evaluate clarifier hydraulics for short circuiting, conduct stress test and predict ultimate capacity of clarifier. B. Evaluate impact of installing larger center feed well or peripheral overflow weirs for improved performance. c. Prepare schedule installing new secondary clarifier. Task 7 - Chlorination and Flow Measurement A. Evaluate chlorine contact chamber hydraulics with tracer. B. Determine if baffles are needed and calculate theoretical and actual detention time. C. Prepare list of recommended chlorination facilities, including ton chlorine cylinders and spill control system. - 3 - ---PAGE BREAK--- D. Evaluate need for future dechlorination and use of other disinfectants such as ozone and ultraviolet. Task 8 - Re-aeration System A. Evaluate efficiency of existing aerators and provide options for improving re-aeration capacity if necessary to meet 75% DO standard. Task 9 - Sludge Transfer A. Evaluate primary and secondary sludge pumping and thickening facilities. B. Evaluate condition and capacity of existing thickener and grit classifying system. c. Prepare recommendations for pump modifications, including redundancy. Task 10 - Sludge Treatment A. Evaluate condition of existing sludge digester facilities and project volatile solids reduction at various loading rates. B. Provide options for phased expansion of sludge digesters, gas handling, sludge drying, and storage. Evaluate remaining life of existing dome over primary digester. c. Provide calculations of volume of drying beds, sludge storage area and recommended improvements for increasing capacity by re-grading the site. D. Include evaluation of the potential groundwater contamination from the existing unlined sludge beds and evaluate condition of liner in sludge storage lagoons. E. Include evaluation of additional sludge drying beds, vacuum drying ·beds, sludge dewatering, and other applicable facilities for increasing solids content of sludge. F. Evaluate substitution of raw sludge composting to meet requirements for pathogen reduction to allow public use. Task 11 - Sludge Disposal Program A. Evaluate current land application program for compliance with existing and proposed Federal regulations. sludge and soils as necessary. - 4 - Sample and test ---PAGE BREAK--- B. Provide an evaluation of options for improved sludge treatment through 1) composting, 2 ) pelletization, 3) low rate composting at Latah Sanitation, or 4) composting jointly with the University of Idaho. Dr. Joe Horvath, former President of Eko Compost, will be available on a consultant basis to refine the compost option. Dr. Horvath is working with Dr. Esvelt on the Cheney project. c. Prepare separate sludge management document for review by the Idaho Department of Health and Welfare. D. Evaluate options for septage processing and costs for pre treatment facilities. Task 12 - Electrical and Instrumentation A. Prepare a list of recommended alarm and control systems to monitor the processes and provide warning of equipment failure and flooding. B. Prepare a list of electrical hazards and recommendations for upgrading electrical system to meet current codes. Task 13 - Effluent Limits Evaluation for Paradise creek & Tertiary Treatment Evaluation A. Evaluate current NPDES requirements and previous studies on Paradise Creek to determine long-term projected effluent limits for Moscow's current and projected discharge flows. Prepare through scenarios for meeting more stringent requirements phosphorus removal with chemical addition, nitrification, and wet lands. Task 14 - Laboratory and Office Evaluation A. Evaluate existing and projected needs for laboratory, office, restroom, and convenience facilities. B. Prepare options for increasing laboratory and office space. Task 15 - Public Participation, Report and Environmental Considerations A. The study should be coordinated with the City staff, including the wastewater treatment plant operator, through a series of meetings and progress reports. - 5 - ---PAGE BREAK--- B. A public meeting and public hearing is required to formally review and adopt the recommendations of the Facilities Plan. c. Prepare a facilities plan and environmental information document providing information required in the SRF Guidelines. Optional Task 16 - Hydraulic Analysis of Collection system A. conduct computer analysis of interceptor system utilizing Hydra 5 program. Note: City of Moscow to purchase software at $1900. SECTION II: A. Fees and Conditions for Consulting Services 1. Payment for services is provided in accordance with the current Schedule of Fees and Conditions as follows: Estimated Costs a. The estimated cost, including Engineering Services as described 1-15 is $79, 800. The Fixed Fee Fixed Fee, for in Section I Task shall be 500. The estimated costs assume Notice to Proceed by November, 1991. b. The estimated cost, including Fixed Fee, for Engineering Services as described in Section I Task 16 is $23, 000. The Fixed Fee shall be 000. The estimated costs assume Notice to Proceed by November 15, 1991. c. The cost, plus fixed fee ceiling, is a total which may not be exceeded without written amendment of this Agreement. No increase in Fixed Fee is allowed unless there is a change in project scope. Increases in costs that are to be eligible for grants from Idaho State-Only Funds must be approved by the Idaho Department of Heath and Welfare Division of Environmental Quality. The services performed by the Engineer shall be billed to the owner in progress statements. The owner shall make payment to the Engineer within thirty ( 3 0) days of billing, except that a five percent - 6 - ---PAGE BREAK--- retainage may be deducted until the services herein are determined adequately complete. d. THE ENGINEER agrees to perform the work in accordance with the attached schedule designated as Exhibit A-1 and A-2. 2. Additional Services Costs a. A mutually agreed fee for any additional services would be negotiated. 3. invoices will be submitted based upon the actual costs incurred during the billing period plus a percentage of the Fixed Fee. 4. Overhead costs to be considered in calculating reimbursement shall include all payroll additives and overhead costs computed in accordance with cost principles included in 4 1 CFR 1-15.2 and 1-15.4. 5. Time of Performance. Draft Facilities Plan shall be completed within 11 months of Notice to Proceed and Final Draft 30 days after receipt of comments from IDHW and the City. SECTION III: It is mutually agreed by the parties hereto that: A. Termination of Agreement This Agreement may be terminated by THE ENGINEER upon thirty (30) days written notice should THE OWNER fail to substantially perform in accordance with its terms through no fault of THE ENGINEER. THE OWNER may terminate this Agreement with thirty (30) days notice without cause. In the event of termination,. THE ENGINEER shall be paid for services performed to termination date, including direct expense and including a percentage of the Fixed Fee based upon the work completed. All working Drawings will be turned over to THE OWNER. - 7 - ---PAGE BREAK--- B. Extent of Agreement This Agreement may be amended only by written instrument signed by both parties hereto. c. Data of Record THE OWNER shall make available to THE ENGINEER all technical data of record in THE OWNER'S possession, including maps, surveys, borings and other information required by THE ENGINEER relating to this work. D. Qualified Estimates of Cost The estimates of cost utilized for engineering studies are to be prepared by THE ENGINEER through exercise of his experience and judgement in applying presently available cost data; but it is recognized that THE ENGINEER has no control over cost of labor and materials, or over competitive bidding procedures and market conditions so that they cannot warrant that future construction costs will not vary from the Engineer's cost estimates. E. Termination of THE PROJECT If any portion of THE PROJECT covered by this Agreement shall be suspended, abated, abandoned or terminated, THE OWNER shall pay THE ENGINEER for the services rendered for such suspended, abated, abandoned or terminated work; the payment to be based, insofar as possible, on the amounts established in this Agreement or, where the Agreement cannot be applied, the payment shall be based upon a reasonable estimate as mutually agreed upon between the two parties as to the percentage of the work completed. F. Errors and Omissions Insurance In performance of professiona-l services, THE ENGINEER will use that degree of care and skill ordinarily exercised under similar circumstances by members of the engineering profession; and no other warranty, either expressed or implied, is made in connection with rendering THE ENGINEER'S services. Should THE ENGINEER or any of THE ENGINEER'S agents or employees be found to have been negligent in the performance of professional services from which THE OWNER sustains damage, THE ENGINEER has obtained Errors and omissions Insurance in the amount of Five Hundred Thousand Dollars - 8 - ---PAGE BREAK--- ($500, 000) , and said insurance shall be held active for a one-year period (minimum) from the date of completion of THE PROJECT. THE OWNER shall receive notice of any pending termination of said insurance. G. Workmen's Compensation and General Liability Insurance THE ENGINEER shall maintain statutory Workmen's Compensation Insurance coverage, Employer's Liability, and Comprehensive General Liability Insurance coverage. The Comprehensive General Liability Insurance shall have a minimum limit of Five Hundred Thousand Dollars ($500, 000) per claim and Five Hundred Thousand Dollars ($500, 000) minimum aggregate. H. Losing Party Responsible for Reasonable Costs In the event of any action brought by either party against the other to enforce any of the obligations hereunder or arising out of any dispute concerning the terms and conditions hereby created, the losing party shall pay the prevailing party such reasonable amounts for fees, costs and expenses, including attorney's fees as may be set by the Court. I. Binding of Successors THE OWNER and THE ENGINEER each bind themselves, their partners, successors, assigns and legal representatives to the other parties to this Agreement and to the partner, successors, assigns and legal representatives of such other parties with respect to all covenants of this Agreement. Neither THE OWNER nor THE ENGINEER shall assign, sublet or transfer his interest in this Agreement without notification to the other parties. J. OWNER'S Representatives THE OWNER shall designate a representative authorized to act on behalf of THE OWNER. The authorized representative shall examine the documents of the work as necessary, and shall render decisions related thereto in a timely manner so as to avoid unreasonable delays. K. Services Requiring Supplemental Authorization The services outlined hereinafter shall be provided by THE ENGINEER only when requested and authorized in writing by THE - 9 - ---PAGE BREAK--- OWNER. Provide all other specialty consulting or other miscellaneous services not enumerated in this Contract and as may be required by THE OWNER. 3. Work with archaeologists as may be required to avoid problems associated with archaeological findings within THE PROJECT area. 4. Assist THE OWNER in the acquisition of rights-of-way and easements for THE PROJECT, including property surveys and descriptions for design surveying work. 5. Prepare documents for and appear before courts and boards on matters of litigation related to THE PROJECT. L. Changes in Regulations or Scope of Work THE ENGINEER is to perform his work under the current Federal, State and local laws and regulations in full force and effect at the date of this Agreement. In the event that THE ENGINEER is requested or directed to perform work, or amend work previously accomplished, due to changes or additions to current laws or regulations, or at the direction of THE OWNER, such work shall be deemed a change in scope of the work and shall be cause to amend SECTION II of this Contract in respect to Estimated Maximum Cost and Fixed Fee Sum by mutually agreeable amounts commensurate with the changed conditions. M. Special Provisions 1. Required Provisions for Consulting Engineers Agreements, as published in Federal Register, 4 0 CFR Chapter 7, Part 35, Subpart E, Appendix C-1, July 1, 1990, is hereby made a part of this Agreement and attached as Exhibit B. 2. These two items include updating the treatment evaluation and alternatives based on the final diluent permit and projected nutrient requirements, and increasing the scope of the infiltration/inllow study. A breakdown of the additional work items and estimated cost are as follows: 1. Facilities Plan Completion A. Update treatment evaluation based on Final Efllucnt limits and projected nutrient requirements. 1. Update cost for alternative plan if in Draft Facilities Plan. 2. Review alternative systems identified in the CH,M Eva]uation including Sequencing Batch Reactor, and conventional activated sludge. B. Present alternatives to Moscow staff and Public Works Committee. C. Prepare Draft Facilities Plan, review with DEQ and City. conduct Public Hearing. D. Prepare Final Facilities Plan including comments from Moscow. Public and DEQ. Outline 1/I program, goals, data needs, technique, previous reports, treatment vs. correction. B. Review ll/SSES program with the City staff, !low meter evaluation regarding calibration, and set up procedure, event monitoring and baseline monitoring. C. Identify baseline !1ow monitoring locations and assist the City in installing initial !low meters. Coordinate rental and installation of additional !low monitoring equipment. D. Identify successive location for tlow meter installation. Periodically check manhole water depth visually from the surface during rainfall event. E. Evaluate !low meter data, and determine baseline flows and impact of storm events. Download information and plot. F. Prepare annual summary of data, recommend future monitoring location, and corrective action program. Review with staff and Public Works Committee. Total Estimated Cost $360 $430 $1,100 $4,360 $3,610 $5,100 $14,960 Excessive infiltration/intlow was identified in the draft Facilities Plan triggering the need for more extensive I/I investigation and tlow monitoring. See enclosed hydrographs over the last few years from the wastewater treatment plant. The only III work done under the original scope of work was some smoke testing in the University and downtown areas. While some problems were found and identified with the smoke testing they are not deemed significant enough to account for a major portion of the I/I problem. ---PAGE BREAK--- Gregg N Teasdale Page 3 March 3, 1995 It will probably take two years to determine the extent of the problem and develop a correction plan. This study will identify areas where Ill can he corrected that could offset up to $2,000,000 in treatment plant oversizing. The main benefit would he to reduce the peak tlows which reach four times the average daily !low and severely impact treatment plant performance. These peak tlows may cause partial bypass of untreated sewage to Paradise Creek, causing NPDES permit violations. Please review our proposed addition to the original scope of work for Moscow's grant and let us know if you will support this additional work and subsequent grant increase request.
