AGREEMENT FOR PROFESSIONAL SERVICES This Agreement, made this c£1 day of September, 1992, between the City of Moscow, a municipal corporation of the State of Idaho ("City") and Gary J. Riedner, ("Attorney"); WITNESSETH: 1. Legal Services: The City hereby contracts with Attorney to provide legal services as City Attorney for the City. 2. Duties: Services to be provided pursuant to this Agreement shall include the following: a. The Attorney shall report as directed by the Mayor; b. The Attorney shall perform duties of the City Attorney, including prosecution of misdemeanors; c. The Attorney shall represent the City in any civil case filed against the City in any court of law within the State of Idaho; d. The Attorney shall provide the Mayor and City Council with legal advice at the direction of the Mayor; e. The Attorney shall supervise such other legal staff as may be employed by the City; f The Attorney shall provide staff with legal advice at the direction of the City Supervisor; g. The Attorney shall provide legal training sessions for the Moscow Police Department as requested by the Chief of Police; h. The Attorney shall prepare ordinances, resolutions and proclamations of the City; i. The Attorney shall prepare and review contracts and agreements of the City; j. The Attorney shall represent the City in personnel hearings; AGREEMENT FOR PROFESSIONAL SERVICES PAGE 1 ---PAGE BREAK--- k. The Attorney shall attend all City Council meetings unless excused; 3. Term: This Agreement shall be in effect from the first day of October, 1992 through the thirtieth day of September 1993. 4. Compensation: The Attorney shall receive for professional services as provided herein annual compensation in the amount of Forty Nine Thousand Six Hundred Twenty One Dollars and Ninety Two Cents ($49,621.92), to be paid in installments of Four Thousand One Hundred Thirty Five Dollars and Sixteen Cents 135.16) per month. 5. Commitment of Time: The Attorney agrees to provide forty ( 40) hours legal work to the City on a weekly basis, provided, that annually 192 hours and all legal holidays shall be deducted from said weekly allotment of time. 6. Support Services: Office space, secretarial services, training, Idaho license fees, professional dues and other support services shall be provided by the City. 7. Insurance and Benefits: The City shall pay all professional liability insurances, and workmen's compensation insurance as may be required for purposes of City business. For purposes of liability, Attorney shall have the status of an employee and the City shall cause any civil suit resulting from Attorney's work on behalf of the City to be defended at City expense. The City shall indemnify Attorney for any judgment or costs of any type resulting from Attorney's representation of the City. The City shall provide the Attorney and his dependents medical insurance through the City's group health plan on the same basis as is provided to City employees. 8. Outside Employment: The Attorney agrees not to enter into any other contracts or work commitments that would represent a conflict of interest with his representation of the City. Attorney shall notify the Mayor prior to undertaking representation of outside clients within the State ofldaho. 9. Intent to Renew: The City represents that it is the intention of the Mayor and City Council to renew this contract on an annual basis. 10. Notice of Intent Not to Renew: In the event that the Mayor and the City Council determine not to renew this Agreement, the Mayor and the City Council will provide Attorney with written notice of such intent no less than 120 days prior to the expiration date of this Agreement. 11. Default: The parties agree that in the event of default on the part of the City of Moscow in executing the terms of this Agreement, the Attorney shall be entitled to the full amount of compensation due and owing through the expiration of this Agreement, or 120 days, whichever is greater. Entire Agreement: This Agreement shall represent the entire agreement of the parties hereto, and no changes or alterations hereto shall be binding unless in writing signed by both parties. Riedner for legal advice to the offi­ cials and staff of the City of Moscow relating to functions of city govern­ ment. Such contract to run from Oc­ tober 1, 1992 through the 30th day of September, 1993. The city shall pay an a n nu a l c o m p e n s a t i o n of $49,621.92. The personal setvices agreement is on file in the office of the City Clerk and is available for inspection during regular business hours.
