RESOLUTION NO. 2001-13 A RESOLUTION OF THE CITY OF MOSCOW, OF LATAH COUNTY, IDAHO, APPROVING A SPECIAL SERVICES CONTRACT WITH RESPECT TO THE AUTHORIZATION, ISSUANCE, SALE, AND DELIVERY OF GENERAL OBLIGATION BONDS OF THE CITY; AND PROVIDING FOR OTHER MATTERS PROPERLY RELATING THERETO WHEREAS, the City of Moscow (the "City"), is a duly incorporated and existing municipal corporation organized and operating under the laws of the State of Idaho; and WHEREAS, the City Council (the "Council") of the City, has decided to undertake election proceedings for the acquisition and financing of a new fire station for public use; and WHEREAS, the law firm of Preston Gates & Ellis LLP, as Bond Counsel, is a law firm which specializes in rendering legal advice with respect to proceedings of the kind to be conducted by the City, and said firm is able to render a marketable legal opinion with respect to tax exempt securities; and WHEREAS, the City is desirous of contracting with Preston Gates & Ellis LLP, 1200 Ironwood Drive, Suite 315, Coeur d'Alene, Idaho, 83814, to obtain certain legal services as set forth in that certain "Special Services Contract", attached hereto and incorporated herein by reference, in conjunction with the issuance of its general obligation bonds. NOW, THEREFORE, be it resolved by Mayor and Council of the City of Moscow, Idaho, as follows: Section I: The law firm of Preston Gates & Ellis LLP is hereby retained as Bond Counsel by the City to render legal advice on, and is authorized and directed to take all action necessary and prudent incidental to, the authorization, issuance, sale, and delivery of the City's general obligation notes, bonds and warrants. Section 2: The Special Services Contract attached hereto as Exhibit by and between the City and Preston Gates & Ellis LLP is hereby accepted in all respects, and the Council authorizes the Mayor to execute said Contract in the name of the City. : PASSED by the City Council and APPROVED by the May r this 20'h day of Aug 4A • • rshall H.
