January 17, 2003 BOB ANDERSON GOLDER ASSOCIATES INC 18300 NE UNION HILL ROAD SUITE 200 REDMOND W A 98052-3333 RE Technical Review Ralph Naylor Farms LLC Protocol Dear Mr. Anderson: Pursuant to our notice to proceed (January 13, 2003), City of Moscow (CITY) is providing this AGREEMENT with Golder Associates, Inc. (CONSULTANT), pursuant to terms and conditions described below. We are contracting for technical review services completing tbe following SCOPE OF WORK SCOPE OF WORK DESCRIBED I. Review of pertinent aquifer materials received from CITY. 2. Review of our proposed technical protocol providing technical guidance for monitoring, data collection, data management and test pumping. 3. Technical memorandum providing opinion on the suitability of the proposed protocoL The memorandum shall offer any appropriate considerations necessary for achieving our objective of being able, more likely than not, to determine the presence or absence of hydraulic connection between the Ralph Naylor Farms, LLC withdrawal and the public water supplies for City of Moscow (ID), City of Pullman (WA), City of Palouse (W University of Idaho and Washington State University. We are also interested in assuring, to the extent practicable, that area single-family residential wells are not impacted by Ralph Naylor Farms, LLC extraction. 4. All work shall be completed by January 22, 2003. One electronic copy (Microsoft WORD 2000 or compatible) and three 'hard' copies of the technical memorandum shall be delivered to: Mark R Cook, City of Moscow, upon work completion. 5. All work shall be completed by January 24, 2003. 6. Return of all background materials sent by CITY to CONSULTANT in preparation for the technical review. No warranty, express or implied is made. B. LIMITATION OF LIABILITY For and in consideration of Ten Dollars ($10.00) and other good and valuable consideration, which the CITY recognizes is sufficient and reasonable, CITY agrees to limit the liability of CONSULT ANT, its employees, officers, directors, agents, consultants and subcontractors, whether in contract, tort, or otherwise, which arises from CONSULTANT's acts, errors or omissions such that the total aggregate liability of CONSULT ANT to all those named shall not exceed $50,000 or CONSULTANT's total fee for the SCOPE OF WORK rendered under this AGREEMENT, whichever is greater.
