INTERAGENCY AGREEMENT FOR SOLID WASTE This Agreement has been made and entered into this 31+ day of :t,'V:J 1 , 199a:.-, by and between the City of Moscow (brelnafter the City) , a municipal corporation of the State of Idaho, and the Board of Commissioners for Latah County (hereinafter the Commission), State of Idaho. WITNESSETH: WHEREAS, the parties approach to the delivery disposal; and have an interest in a systems of solid waste collection and WHEREAS, the parties have an interest in programs that take advantage of economies of capital incentives in delivering a solid waste the public; and developing scale and program to WHEREAS, the parties are authorized under Idaho Code 67-2332 to enter into an interagency contract to provide for services; NOW THEREFORE, Subject to the terms of this agreement to carry out the purposes and functions described above and in consideration of the benefits to be received and the mutual covenants exchanged herein by each of the parties; it is hereby agreed as follows: I. That the parties shall solicit a qualified consultant to conduct a feasibility and costing study for solid waste processing and disposal options. II. That the Commission shall act as the lead agency in receiving said proposals and shall act as the dispersing agency for payment of said services. III. That the Commission and city shall agree to the formation of a three member committee, with one member from each prospective agency and one member as mutually agreed to by both agencies from the County at large. ---PAGE BREAK--- IV. That the Commission and City shall agree to share the cost of said consultant in the aggregate amount not larger than Twenty Thousand Dollars ($20,000.00), each entity contributing no more than Ten Thousand Dollars ($10,000.00). v. The Committee shall report its findings to the prospective agencies within six months of its creation. The Committee shall utilize and evaluate the findings pursuant to the (RFP) attached and incorporated herein as Exhibit 1 VI. Reimburse­ ment for Direct Expenses will be on the basis of actual charges when tunisroed by commercial sources and on the basis of current rates when furnished by CH2M HILL. 5. Cost Opinions Any cost opinions or Project economic evaluations provided by CH2M HILL will be on a basis of experience ond judgment, but, since it has no control over market conditions or bidding procedures, CH2M HILL cannot warrant that bids, ultimate construction cost. or Project economics will not vary from these opinions. 6. Standard of Care The standard of core applicable to CH2M HILL's services will be the degree of skill and diligence normally em­ ployed by professional engineers or consultants perform­ ing the some or similar services at the time CH2M HILL's services ore performed. CH2M HILL will reperform any services not meeting this standard without additional compensation. 7. Termination This AGREEMENT may be terminated for convenience on 30 days' written notice, or for cause, if either party foils substantially to perform through no fault of the other and does not commence correction of such nonperformance within 5 days of written notice and diligently complete the correction thereafter. On termination, CH2M HILL will be paid for all authorized work performed up to the termination dote plus termination expenses, such as, but not limited to, re'ossignment of personneL subcontract termination costs, and related closeout costs. If no notice of termination is given. relationships and obligations created by this AGREEMENT, except Articles 9 through 14, will be terminated upon completion of all applicable requirements of this AGREEMENT. 8. Payment to CH2M HILL invoices will be issued by CH2M HILL for all work performed under this AGREEMENT. Invoices ore due and payable on receipt. Interest of a rote of 1-1/2 percent per month, or that permitted by low if lesser, will be charged on all post-due amounts starting 4 5 days otter dote of invoice. Payments will first be credited to interest and then to principal. In the event of a disputed or contested billing. only that portion so contested will be withheld from povment. and the undisputed portion will be paid. The CLIENT will exercise reasonableness in contesting any bill or portion thereof. No interest will accrue on any contested portion of the billing until mutually resolved. • 9. Limitation or liability To the maximum 8x1ent permitted bv low, CH2M HILL's liability for CLIENT's damages for ony cou5e or combina­ tion of causes will. in the aggregate. not exceed the compensation received by CH2M HILL under this AGREE· r,ñENT. S everability and Survival If any of the provisions contained in this AGREEMENT ore he:d illeool. invalid or unenforceable, the enforceability of the remaining provisions shall not be impaired thereby. Limitations of liability and indemnitieɋ shall survive termina­ tion of this AGREEMENT for any cause. 11. Asbestos or Hazardous Substances To the maximum extent permitted by low, the CLIENT will indemnity CH2M HILL from all claims, damages. losses, and costs, including litigation expenses and attorney's fees, arising out of or relating to the presence, discharge, release. or escape of hazardous substances, contomi· nonts, or asbestos on or from the Project. 12. Loan Monitoring Services When CH2M HILL is providing Project review and/or construction monitoring services to lenders. the CLIENT (Lender) will. to the maximum extent permitted by low, indemnity CH2M HILL from all claims, damages, losses, and expenses, including litigation costs and attorney's tees, arising out of or relating to CH2M HILL's involvement or presence on or near the Project. CH2M HILL is not responsible for the duties and responsl· bilities that belong to the borrower(s), developer(s), construction controctor(s), designer(s), testing loborotory­ (ies), full-time lnspector(s), or other parties associated with the Project not in the employ of or a subcontractor to CH2M HILL. 13. Interpretation The limitations of liability and Indemnities will apply whether CH2M HILL's liability arises under breach of contract or warranty; tort, Including negligence; strict liability; statutory liability; or any other cause of action, except for willful misconduct or gross negligence for limitations of liability sole negligence for idemnificotion, and shall apply to CH2M HILL's officers, affiliated corpora­ tions, employees, and subcontractors. The low of the state of __,!,.lAd.Q.ail sholl govern the validity of this AGREEMENT, its interpreta­ tion and performance, and any other claims related to lt. 14. No Third Party Beneficiaries This AGREEMENT gives no rights or benefits to anyone other than the CLIENT and CH2M HILL and has no third party beneficiaries. This completes the scope of work for the project. At this time the contract limit of $24,000 has been reached and invoiced to the Latah County Commissioners. · - CH2M HILL appreciates the opportunity to complete this project for both governmental entities. There are many issues yet to be resolved with regard to solid waste in the county and we hope to be able to assist you in the future. To this end CH2M HILL will be preparing a proposed list of tasks and a schedule to complete the remainder of the project.
