Box 3727 Spokane, Washington 99220-3727 Attn: Randy Daniels UNDERGROUND GAS LINE EASEMENT 448583 For Mutual Benefits, the receipt of which is hereby acknowledged, CITY OF MOSCOW, A Municipal Corporation of the State ofldaho, "Grantor", 206 E. 3'd Street, Moscow, Idaho 83843, hereby grants, conveys and warrants to the A VISTA CORPORATION, A Washington corporation, "Grantee", P.O. Box 3727, Spokane, Washington 99220-3727, for the purposes hereinafter set forth a ten (10) foot wide non-exclusive easement to place an underground gas line upon the South side of Grantor's parcel referenced as Lnts 9 through 12, Block IS of Moore's Addition to the City of Moscow and also as Assessor's parcel no. RPM0660015009B, all in Section 8, Township 39 North, Range 5 West, B.M. in LATAH COUNTY, STATE OF IDAHO, as shown in Exhibit and attached as Page 3 of 3: I. PURPOSE. Grantee shall have the right to construct, reconstruct, operate, maintain, repair, relocate and replace an underground gas line, together with all necessary fixtures and appurtenances, "facilities", on, over, under, along and across the herein described property. The approximate location of such underground gas line is shown on the attached map marked EXHIBIT and by this reference made a part hereof. 2. ACCESS AND DAMAGE. Grantee shall have aecess over and across the above described property and the adjoining property of Grantor for the purpose of the installation, repair and maintenance of said facilities, provided Grantee repairs damage or compensates Grantor for any damage to said properties as a result of such access and repair and maintenance. 3. INDEMNITY. agrees to defend, indemnify and hold harmless Grantor from any and all claims for damages suffered by Grantor during the drilling, installation, operation, maintenance, repair, inspection, and removal of said facilities including Grantor's agents, guests and employees which 1nay be caused by Grantee's negligence in the exercise of the right herein granted, provided, the Grantee shall not be responsible to Grantor or Grantor's agents, guests or employees for any damages or injury to any person or property caused by acts or omissions of Grantor, inlcuding Grantor's agents, guests or invitees. 4. RELOCATION. Grantor reserves the right to, and Grantee agrees that, the improvements, and/or infrastructure l)ng on, below, or in the subject property may be relocated at Grantor's sole option and at Grantee's sole expense. 5. SUCCESSORS AND ASSIGNS. TIJC rigbts and obligations of tbe parties shall be for the benefit of and be binding upon tbeir respective successors, heirs and assigns. .
