IDAHO DEPARTMENT OF COMMERCE GEM COMMUNITY ACTION GRANT CONTRACT GRANT CONTRACT GCA 90-20 COMMUNI1Y: MOSCOW This contract is made and entered into between the Idaho Department of Commerce, herein after called the DEPARTMENT, and the City of Moscow, herein after called the GRANTEE. The GRANTEE is the City of Moscow and has the mission of promoting economic and community development within Moscow. TERMS AND CONDITIONS Article I - Period of Performance and Grant Amounts The activities to be performed hereunder shall be accomplished from the effective date (signature date) and shall continue up to and including August 11, 1992, unless otherwise amended. The maximum amount of Gem Community Action Grant (GCAG) assistance is $10,000 to complete tasks described in the attached Program of Work. The GRANTEE hereby agrees to provide $10,000 in matching funds and/or in-kind donations for the purpose of completing this project. The GRANTEE shall adhere to the attached budget unless otherwise amended. Article II - Work Performance The purpose of this grant contract is to provide funding for implementation of community strategies developed through the Idaho Gem Community Program. The Grant funds must be used to complete the attached Program of Work proposed by the GRANTEE and agreed to by the DEPARrMENT. Any significant change in the Program of Work must be approved in advance by the DEPARTMENT. Article III - Requests for Funds and Grant Payment In the performance of this contract, the GRANTEE must keep books, records, and accounts of all activities. Such books, records, and accounts, shall be open to inspection and retained for a period of three years after termination of this contract. ---PAGE BREAK--- Payment shall be made by: GRANIEE shall make requests for funds by submitting receipts and match documentation for the amount being requested. The Department will reimburse allowable costs up to the maximum grant amount for which both receipts and match is provided. A maximum of two reimbursement requests will be accepted. The final reimbursement request must be submitted on or before August 11, 1992. The final report must be submitted before final payment will be made by the Department. Article IV - Match Expenditures Match expenditures must be in accordance with the specific rules, regulations, and instructions pertaining to match expenditures contained in the Gem Community Action Grant Handbook. Article V - Reporting Requirements GRANIEE shall submit the following two reports: a Status report. A status report at the approximate mid-point of the project should contain the following information: i. A short narrative outlining the project status, successes, problems, etc. ii. Press clippings, pictures and other information about the project as available. This report shall be due on May 15, 1992. b. Final report. The final report should contain the following information: i. A narrative describing the success of the project. ii. A description of the impact the project has had and will have on the community, including long term benefits anticipated. iii. A description of any special contributions or work provided on the project. iv. Any other information about the project not already submitted, i.e., pictures, press clippings, etc. ---PAGE BREAK--- The final report must be submitted on or before August 11, 1992. Article VI - Non Allowable Costs Gem Community Action Grant funds shall not be used for payroll costs, for city, county, development corporation, or other community agencies; real property acquisition, administrative costs for the GRANTEE, political activities, or religious activities. Article VII - General Terms and Conditions The Grantee shall adhere to the Gem Community Action Grant Administrative Rules IDAPA 48.3.1. Both parties shall, additionally, adhere to statutes and regulations of the State of Idaho. Execution of this contract by the GRANTEE serves as an acknowledgement that he is familiar with all statutes, rules, regulations, and guidelines noted in this paragraph. Article VIII - Termination The DEPARTMENT shall have the right to terminate this contract in whole or in part, at any time, for gross misuse or abuse of funds. Upon receipt of a notice of termination, the GRANTEE will stop all expenditures of GCA funds and return all unspent GCA funds to the DEPARTMENT. The DEPARTMENT will make a fair and reasonable payment to the GRANTEE based on the work completed, allowable costs incurred, and documentation provided. Article IX - Special Warranty The GRANTEE warrants nothing of monetary value has been given, promised, or implied as remuneration entering into this contract. The GRANTEE further declares no improper personal, political, or social activitie has been used or attempted in an effort to influence the outcome of the discussion or negotiations leading to the award of this contract. Article X - Relationship of Contracting Parties Contracting parties warrant by signature that no employer-employee relationship is established between the DEPARTMENT and the GRANTEE by the terms of this contract. Article XI - Recognition of Funding Source This contract is funded in whole by a Gem Community Action Grant. All activities funded by the Idaho Gem Community Action Grant program shall credit the program per 1, 13, 1. Agidius, Mayor Typed Name and Title ATTEST: ---PAGE BREAK--- ATTACHMENT A PROGRAM OF WORK Moscow's project has two parts. The first part entails directional signage within the City of Moscow. The signage will include: 1) municipal building locations; U.S. Post Office, county courthouse, and the public library and 2) tourist related facilities; Latah County Fairgrounds, city parks, public pool, McConnell Mansion, art gallery, theater, historical society /museum, historical district, Appaloosa Horse Club Museum, and the RV dump station. At present, there is no visitor information signage. The object of this project is to assist visitors driving through Moscow to locate points of interest. They also hope to increase awareness of the many things to see and do in Moscow, thereby increasing visitor days and capital influx to the economy of Moscow and the region. Part two of the project involves making the North Central Idaho Business Technology Incubator more productive. The Incubator has been in operation for approximately 20 months. The Incubator is a joint project of the University of Idaho, the City of Moscow, and the Moscow-Latah County Economic Development Council, and is a major element of the community's one-year Gem Community plan. The facility is presently over 90 percent occupied. It houses five businesses and two non-profit support organizations. The Incubator's management agent, Moscow-Latah County Economic Development Council, has experienced an ongoing demand from new, small businesses for smaller-scale space. Unfortunately, the space originally designed to provide small office cubicles has been leased since the facility's first few months of operation. At the same time, a 1, 125 square foot bay in the Incubator has remained vacant.
