PROFESSIONAL ENGINEERING AND ARCHITECTURAL SERVICES AGREEMENT BETWEEN WELCH COMER, INC. AND CITY OF MOSCOW, IDAHO THIS PROFESSIONAL ENGINEERING AND ARCHITECTURAL SERVICES AGREEMENT BETWEEN WELCH COMER, INC. AND THE CITY OF MOSCOW, IDAHO (here.inaner 'AGREEMENT'), for services for the A" Street Corridor Co1}ceptuŁsign and Master Plan Project, is made and entered into this II (p łday of DlaVVl 2014 between WELCH COMER, INC., a private corporation, 350 East Kathleen A venue, Coeur- d'Alene, Idaho, 83815 (hereinafter "CONSULTANT"), and CITY OF MOSCOW, IDAHO, a municipal corporation of the State of Idaho, 206 East Third Street, Moscow, Idaho, 83843 (hereinafter "CITY"). W I T N E S S E T H: WHEREAS, CITY desires to accomplish the above-referenced project which consists of providing professional engineering and architectural services for conceptual roadway, utility, and site design and development of a Master Plan for the Street corridor on the University of Idaho property located between War Bonnet Drive and Farm Road, in conformance with CITY standards (hereinafter "PROJECT"); and WHEREAS, CITY will be funding the PROJECT; and WHEREAS, CONSUL TANT represents that CONSUL TANT is in compliance with the Idaho State Statutes relating to professional registration, if applicable, and has signified a willingness to furnish consulting services to the CITY; NOW, THEREFORE, CITY and CONSULTANT, in consideration of the terms, conditions, and the mutual covenants and stipulations set out or attached and incorporated and made part hereof, the parties hereto agree as follows: I. GENERAL DESCRIPTION OF WORK The work under this AGREEMENT shall consist of providing engineering, architectural, and other consulting services which shall conform to CITY standards which are necessary to accomplish the completed work for this PROJECT. CONSUL TANT shall furnish all services, labor and related equipment necessary to conduct and complete the conceptual roadway, utility, site design, and master planning as designated elsewhere in this AGREEMENT. II. SCOPE OF WORK The SCOPE OF WORK and level of effort for this PROJECT is detailed in Exhibit attached hereto, and by this reference made a part of this AGREEMENT. GENERAL REQUIREMENTS All aspects of coordination of the work of this AGREEMENT, with outside agencies, groups or individuals, shall receive advance approval of CITY. Necessary contacts and meetings with agencies, groups or individuals shall be coordinated through CITY. CONSULTANT shall attend coordination, progress and presentation meetings with CITY. These meetings, as required, shall be held in Moscow, Idaho. CITY will provide CONSUL TANT sufficient notice prior to meetings requiring CONSULT ANT participation. The minimum number of hours' or days' notice required shall be agreed to between CITY and CONSULTANT and made part of this AGREEMENT. CONSULTANT shall prepare a progress report, in a form approved by CITY, that will outline in written and graphical form the various phases and the order of performance of the work in sufficient detail so that the progress of the work can easily be evaluated. CITY acknowledges CONSULTANT's data, designs, drawings, plans, specifications, reports, and other engineering documents prepared under this AGREEMENT are instruments of service and are not products. The data, reports, plans, and specifications prepared under this AGREEMENT shall become the property of CITY upon completion of the work and payment in full by CITY of all monies due to CONSULTANT. CITY agrees to not reuse, modify, sell, or make CONSULTANT's engineering documents available for any purpose other than as necessary to complete the subject PROJECT of this AGREEMENT, unless required to do so by law. IV. START DATE CONSULT ANT shall not begin any work under the terms of this AGREEMENT until authorized in writing by CITY. V. PAYMENT CONSULTANT shall be paid by CITY for completed work and services rendered under this AGREEMENT. Such payments shall be full compensation for work performed or services rendered and for all labor, materials, supplies, equipment, and incidentals necessary to complete the work specified in Section II, "Scope of Work." The estimated cost of this work is shown in Exhibit and is included in this AGREEMENT. VI. CONSULTANT IS INDEPENDENT CONTRACTOR CONSUL TANT warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for CONSULT ANT, to solicit or secure this AGREEMENT. Any and all employees of CONSULTANT or other persons, while engaged in the performance of any work or services required of CONSUL TANT under this AGREEMENT, shall be considered employees of CONSULTANT only and not of CITY. PROFESSIONAL ENGINEERING AND ARCHITECTURAL SERVICES WELCH COMER, INC., AND CITY PAGE 2 OF 13 ---PAGE BREAK--- CONSUL TANT shall not engage, on a full or part-time basis, or other basis, during the period of the AGREEMENT, any professional or technical personnel who are in the employ of CITY. VII. NONDISCRIMINATION · CONSUL TANT agrees not to discriminate against any client, employee or applicant for employment or for services because of race, creed, color, national origin, marital status, sex, age or handicap. VIII. TERMINATION OF AGREEMENT CITY or CONSULTANT may terminate this AGREEMENT at any time upon thirty (30) days' prior written notice to the other party for any cause. Either party may terminate this AGREEMENT at any time for material breach after providing notice to other party. In the event this AGREEMENT is terminated by CITY other than for default on the part of CONSUL TANT, a final payment shall be made to CONSUL TANT for services rendered by CONSUL TANT prior to the termination. If it is determined for any reason that CONSUL TANT was not in default, the termination shall be deemed to be a termination for the convenience of CITY. CONSULTANT shall be paid for all costs incurred due to termination or convenience, including demobilization or personnel and equipment. Payment for any part of the work by CITY shall not constitute a waiver by CITY of any remedies of any type it may have against CONSULT ANT for any breach of this AGREEMENT by CONSUL TANT, or for failure of CONSULT ANT to perform work required of it by CITY. Forbearance of any rights under this AGREEMENT will not constitute waiver of entitlement to exercise those rights with respect to any future act or omission by CONSULTANT. IX. SUSPENSION OF SERVICES: CONSULT ANT shall be reimbursed for all costs incurred for services completed prior to the suspension of services. X. CHANGES OF WORK CONSULT ANT shall make such changes and rev1s1ons in the completed work of this AGREEMENT as necessary to correct errors appearing therein, when required to do so by CITY, without additional compensation thereof. Should CITY find it desirable for its own purposes to have previously satisfactorily completed work or parts thereof changed or revised, CONSULT ANT and CITY may negotiate a price for such services prior to the services being provided by CONSUL TANT. DISPUTES Disputes arising out of this AGREEMENT shall be subject to mediation as a condition to resolve the dispute. CITY and CONSUL TANT shall resolve claims and disputes using mediation in accordance with the Construction Industry Mediation Rules of the American Arbitration Association. CITY and CONSULT ANT shall share in the cost of the mediator's fee equally. Agreements reached in the mediation shall be binding on both parties as a settlement agreement, following approval of such by CITY Council. XII. VENUE, APPLICABLE LAW AND PERSONAL JURISDICTION The parties agree that, should any provision of this Agreement be litigated in the future, venue for such litigation shall be with the District Court of the Second Judicial District of the State of Idaho, in and for the County of Latah. XIII. LEGAL RELATIONS AND INSURANCE CONSULTANT shall comply with all Federal, State, and Local laws and ordinances applicable to the work to be done under this AGREEMENT. This AGREEMENT shall be interpreted and construed in accord with the laws of Idaho. CONSULT ANT shall indemnify and hold CITY, and their officers and employees harmless from and shall process and defend at its own expense all claims, demands, or suits at law or equity arising in whole or in part from CONSULTANT's negligence or breach of any of its obligations under this AGREEMENT; provided that nothing herein shall require a CONSULT ANT to indemnify CITY against and hold harmless CITY from claims, demands or suits based solely upon the conduct of CITY, their agents, officers and employees. XIV. INSURANCE COVERAGE A. CONSULT ANT is required to provide CONSUL TANT' s employees coverage for workers' compensation and employer's liability insurance as required by the State of Idaho. B. General liability and property damage insurance in an amount not less than a single limit of one million dollars ($1,000,000) for bodily injury, including death and property damage per occurrence. Excepting the Worker's Compensation insurance and any professional liability insurance secured by CONSUL TANT, CITY will be named on all certificates of insurance as an additional insured. CONSULT ANT shall furnish CITY with verification of insurance and endorsements required by this AGREEMENT. CITY reserves the right to require complete, certified copies of all required insurance policies at any time. All insurance shall be obtained from an insurance company authorized to do business in the State of Idaho. CONSUL TANT shall submit to CITY a verification of insurance as outlined above within fourteen (14) days of the execution of this AGREEMENT. CONSULT ANT' s professional liability to CITY shall be limited to one million dollars ($1,000,000). In no case shall CONSULT ANT' s professional liability to third parties be limited many way. CITY will pay no progress payments under Section V. until CONSULTANT has fully complied with this section. XV. ENDORSEMENT OF PLANS CONSUL TANT shall place its endorsement on all plans, estimates or any other engineering data furnished by CONSULTANT. XVI. COMPLETE AGREEMENT This document and referenced attachments contains all covenants, stipulations and provisions agreed upon by the parties. No agent, or representative of either party has authority to make, and the parties shall not be bound by or be liable for, any statement, representation, promise or agreement not set forth herein. No changes, amendments, or modifications of the terms hereof shall be valid unless reduced to writing and signed by the parties as an amendment to this AGREEMENT. EXECUTION AND ACCEPTANCE This AGREEMENT may be simultaneously executed in several counterparts, each of which shall be deemed to be an original having identical legal effect. CONSULT ANT does hereby ratify and adopt all statements, representations, warranties, covenants, and agreements contained in the proposal, and the supporting materials submitted by CONSUL TANT, and does hereby accept this AGREEMENT and agrees to all of the terms and conditions thereof. (CONSULT ANT) and CITY OF MOSCOW, IDAHO (CITY) The CITY of Moscow desires to have a concept plan prepared for the vertical and horizontal design of the extension and connection of Street from its intersection with Farm Road on the east to the West Street termination on the west, east of War Bonnet Drive. This completion of Street will be developed on land owned by the University of Idaho that currently supports the University dairy farm. The concept design will incorporate current CITY of Moscow street standards for cross sections, and will include concept design for new services and connections of utilities such as storm water drainage, potable water, and sewer systems. Earthwork quantities for cut and fill will be required. Pedestrian and bikeway improvements, and other streetscape enhancements have currently been installed on the existing segments of Street. Those enhancements will be incorporated into the arterial' s new connection to maintain continuity of design and level of service. In addition to the conceptual design of the Street connection, the final master plan will also include a conceptual site layout with access points and signage locations for the most appropriate arrangement of possible retail lots or pad configurations. Grading considerations that will compliment and transition to the new Street alignment will be critical since entrance and egress points to potential retail lots are expected to be accessed from Street. Final concept illustrations and photo realistic renderings will be developed that represent the character of a completed complex from four vantage points; Farm Road and Street intersection, Street and War Bonnet Drive, and two from State Highway 8. Gary Bernardo of Bernardo Wills Architects (BWA) has past design experience with this property having prepared past development evaluation studies in 2003 and again for Home Depot in 2006. Beyond strategizing several options for the location and orientation of a new home improvement facility of approximately one hundred forty thousand (140,000) SF that included access and parking, these past concept plans also dealt with the concept alignment/connection of Street. We understand that the University of Idaho (UI) has, for some time, wanted to relocate the existing dairy facilities and that this PROJECT may become a catalyst for that to occur. We also understand that past potential retail tenants of this property were concerned about its poor visibility from State Highway 8 and that they would be perceived as being located on 'secondary development lots'. PROFESSIONAL ENGINEERING AND ARCHITECTURAL SERVICES WELCH COMER, INC., AND CITY PAGE 7 OF 13 ---PAGE BREAK--- SCOPE OF SERVICES Scope of Services and related tasks for this PROJECT are as follows: A. PROJECT ORIENTATION/REVIEW: Kickoff Meeting The design team proposes to have an initial meeting with PROJECT stakeholders in Moscow to gain a further understanding of the PROJECT goals for the Street alignment and long range plans and flexibility of the intended retail component. Meeting content and topics are anticipated to be: 1. Verification and acquisition of mapping information for boundaries, topography, and utilities currently available from the City of Moscow (CITY) and the University of Idaho (UI). Identification of further base data required for the PROJECT if the desire is to refine the plan beyond a concept level. 2. Discussions and understanding of any special conditions affecting the PROJECT such as lease conditions for development between potential tenants and UI. 3. Confirmation of overall PROJECT design level, overall schedule, establishment of critical meetings, reviews, presentation dates, and final submission date, and delivery format(s). 4. Review and detailed discussion of PROJECT goals and objectives by CITY and UI. Discussion on influences, if any, of past planning efforts for the property. 5. Identification of preferred or targeted retail or development types/uses and the influences on utilities and street alignment. 6. Identification of PROJECT stakeholders other than the CITY and UI with corresponding contact information provided to consultants. Establish Stakeholder review meetings. Deliverables: Meeting minutes for review and verification by Client. B. Utilization of CITY provided Site Mapping: Aerial photography/topography At the CITY's direction, the PROJECT will utilize mapping of the PROJECT site generated by aerial photography. CONSUL TANT has conducted on-site topographic grade checks to verify the accuracy of CITY provided mapping and has alerted CITY that the average variation between actual surveyed points vs. aerial information is one point three feet with the majority of surveyed points registering higher than aerial elevations. CITY acknowledges that accuracy of preliminary cost estimates for future budget development relative to earthwork calculations for roadway alignment and profile as well as overall mass grading utilizing the aerial mapping will be considered conceptual level only. Boundary mapping will utilize CITY-provided parcel ownership records and will be transferred to CITY-provided aerial mapping by CONSULTANT, with the understanding that boundary lines are approximate. PROJECT FEASIBILITY: Site Analysis, Site Suitability, Project Specific Retail Market Analysis This task is the first step in assessing the influences of the existing physical conditions of the site, combined with off-site influences to the proposed improvements, and is intended to identify the most restrictive constraints and the most beneficial opportunities for the desired design elements. Since the alignment of the Street connection must respond to the potential development and determined land uses, influences will be documented for both land use design parameters and the preliminary roadway design. Study elements will include: I. Market Analysis specific to the immediate region related to identified retail uses. 2. Collection of current and anticipated traffic patterns and loads per Multimodal Transportation Plan. 3. Allowances for continuation of, or improvements to, current streetscape enhancements as they exist along Street. 4. Suggested locations for pedestrian/bike access routes into the site. 5. Considerations for transitioning access, service, and/or utilities to the northern edge and uses of the Palouse Empire Mall. 6. Preliminary view corridor and elevation site studies for potential tenant visibility to State Highway 8 (HWY 7. Evaluation of conceptual earthwork and grading considerations for the new street R.O.W. 8. Identify possible PROJECT design elements' impacts to existing UI Dairy operation. 9. Evaluate PROJECT's future expansion of possible retail limits. 10. At CITY's request, in addition to the base services, develop preliminary Geotechnical opinions. Identify recommended testing/study for site soils. 11. Phased Development - Impacts to Dairy and future relocation 12. CITY/CONSULTANT team meeting for review of summary information and exhibits. Deliverables: Graphic Plan Exhibit identifying items noted above as PROJECT Inventory/ Analysis combined with a Summary Exhibit illustrating PROJECT Prospects and Limitations D. LAND USE: Zoning and Land Use Analysis This task will entail the review and analysis of zoning requirements for various, potential retail development for the site. Relevant requirements, such as the following will be reviewed in anticipation of the retail lot layout task. I. Review of possible influences from CITY' s Comprehensive Plan and UI Long Range Development Plan. 2. Identification of desired zoning. Evaluation of mixed-use potential. 3. Parking requirements per anticipated uses. 4. Improvement setbacks distances. PROFESSIONAL ENGINEERING AND ARCHITECTURAL SERVICES WELCH COMER, INC., AND CITY PAGE 9 OF 13 ---PAGE BREAK--- 5. Easements; existing and proposed. 6. Landscape enhancements; street frontages and development standards. 7. Public access routes; related to public R.O.W. and on-site. 8. Verify storm water requirements for proposed site and roadway improvements. 9. Determine anticipated regulatory compliance and/or required reviews. Deliverables: Summary document listing pertinent code/ordinance requirement for development scenarios. Conference call between CITY and CONSULT ANT team for review. E. CONCEPTUAL PLAN: Retail Lot Layout(s) and Mass Grading for Visibility: This task entails the of retail operational information/standards, combined with regulatory requirements, and preliminary technical design standards of selected retail use so that a proposed use plan can be designed to coincide with the proposed Street alignment. Elements of this task will include: 1. Verification with CITY of preferred or optional retail uses. 2. Recognition of CITY and industry design standards, as well as major retail tenant, i.e. parking sizes, aisle widths, signage/orientation, patron site accommodations, etc. 3. Comparison of site inventory/analysis with programing requirements and overall PROJECT goals. 4. Production of three alternative schematic layouts for alternate land use development. DH/WC, BL & GB/BW A 5. Inclusion of retail center 'special considerations' including: a. Shopping cart corrals and parking lot slopes. b. Increased lighting levels along parking lot/storefront interface. c. Additional pedestrian friendly/safety features. d. Special attention to loading dock configurations, including tractor-trailer and refuse vehicle path of travel. e. Special landscape consideration at the pad locations to screen service areas. f. Special consideration for drive-through pad tenants such as fast-food restaurants and drive-through banks. g. Conceptual services connection for utility infrastructure. h. Outline of Center and major tenant building and freestanding signage, including way-finding and corporate identification. i. Noting of building code considerations that limit allowable building areas and require multiple building exits. j. Concept layout of parking configurations (some tenants will dictate parking angles as well as stall widths). k. Preliminary development phasing recommendations. CITY/CONSULTANT conference call to review findings and recommendations with authorization to proceed with developing Preferred Alternative. Deliverables: Colored plan view exhibits of alternative design concept options. F. ROADWAY DESIGN AND UTILITY ASSESSMENT: The roadway design task will include Welch Comer creating an alignment and profile to connect Street between the two existing ends. This will be an iterative process that will include shifting the alignment and profile to best respond to both the terrain/mass grading and the conceptual development of the site. A cross section will be selected that complements the existing sections of Street while supporting the proposed development. The design team will coordinate with the fire department on necessary fire lanes and other miscellaneous fire department design requirements that could affect the preliminary design of Street and the proposed development. Deliverables: CONSULTANT will prepare a conceptual finished grade surface that can be utilized in the development of computer character renderings. Also, conceptual earthwork quantities will be prepared. Formal plan sheets will not be prepared. street center line profile will be prepared illustrating the concept alignment relative to the known topography and proposed concept retail layout. The utility assessment task (water and sanitary sewer) will include an estimate of the typical fixture units for the various types of intended uses proposed. Welch Comer will use A WW A factors to determine a preliminary Probable Domestic Demand for both potable water and sanitary sewer. Welch Comer will review CITY's base maps and the Comprehensive Plans for both the water and sewer system in how these plans addressed this development. We will assume that there is available water capacity and pressure and sewer/storm capacity in the existing infrastructure to handle the development. Deliverables: Conceptual water and sanitary sewer system sizing and proposed locations for connecting to the existing infrastructure. Modeling of water, sewer, or storm infrastructure is excluded. Formal plan sheets showing profile of underground utilities is excluded. A utilities plan sheet showing concept alignment of utilities will be provided. The conceptual right-of-way and permanent easement needs will be determined based on preliminary cut and fill slopes. The right-of-way and/or easements will be shown in plan view and on typical roadway sections. Legal descriptions for the property and/or right of-way or easement are excluded from this Scope. G. PREFERRED CONCEPT PLAN: Preliminary Plan with Recommended Phasing: This task will graphically present the culmination of all previous roadway and land use design tasks at a concept/schematic level illustrating all reviewed and recommended improvements with suggested phasing. It will be reviewed by all identified stakeholders and reviewing agencies for comments. Task issues will include: 1. Verification of inclusion of all previous information and considerations for development. Ensure all regulatory issues are identified and proposed improvements are appear feasible. 4. Verify streetscape enhancements and site development standards reflect CITY codes and ordinances. Review potential variances that might benefit the overall PROJECT. 5. Review and approve vantage points depicting anticipated PROJECT visibility and development character for production for preliminary computer simulated perspectives. 6. Prepare Preliminary Opinion of Probable Cost for proposed preferred concept plan. 7. CITY /CONSULT ANT team meeting in Moscow for review and authorization to proceed to next task. Deliverables: Colored schematic Preferred Concept Plan with Preliminary 3D computer modeling and cross sectional topographic views to illustrate concept elevation changes for views along identified corridors from selected vantage points; HWY 8 or other locations. H. FINAL MASTER PLAN: Final Plan with Perspective Photo Simulations: Based on CITY determinations and direction per Task F above, a final Concept Master Plan exhibit will be prepared illustrating the ultimate build out potential of the Street connection and retail development with potential phasing identified. Deliverables for this task will be: 1. Final Plan exhibit. 2. Written summary document with PROJECT goals, recommendations for utility improvements/upgrades, phasing strategies, and development standards. 3. Updated Project Opinion of Probable Cost. 4. Final presentation to CITY and stakeholders in Moscow. I. ADDITIONAL SERVICES: Add-Alternate As an additional service to be completed at the request of CITY, Welch Comer will prepare a topographic survey of the area necessary for conceptual design of the proposed Street extension and the retail study area for a fee of six thousand six hundred dollars ($6,600). This will result in accurate quantities, and accurate cost estimates for the earthwork component of the PROJECT. Time to complete this effort is estimated at two days of two man crew or equivalent, allowing for favorable weather and ground conditions. This fee is in addition to the base fee.
