AGREEMENT REGARDING SANITARY SEWER EXTENSION AND UPSIZING FOR THE SOUTH MISSOULA AREA 'rM ? This Agreement made this day of SFf;t;~z~ 2008 by and between the City of Missoula, a municipal corporation and political subdivision organized under the laws of Montana and the City's home rule charter (City) and Maloney Properties, LLC (Maloney), the Parties. For good and valuable consideration, the Parties hereby represent, confirm and agree as follows: Section 1. Definitions and Exhibits Section 1.01. Definitions: The following defined words shall have the meanings set forth below, unless the context in which they are used indicates a different meaning. "South Missoula Sewer Evaluation" shall mean the report commissioned by City and prepared by HDR Engineering, Inc., which was completed in March 2008. "South Missoula Area" shall mean the southwest area of the City of Missoula, as outlined in the South Missoula Sewer Evaluation. This area includes Upper and Lower Miller Creek, Linda Vista, Maloney Ranch, Rodeo Road, and the Highway 93 Corridor from Buckhouse Bridge to the Blue Mountain Road vicinity. "Project" shall mean the sanitary sewer extension and upsizing for the South Missoula Area, as defined in Section 3.01 of this Agreement. "Twite/Maloney Interceptor" shall mean a gravity main in the location shown on Exhibit A. "Maloney Ranch Interceptor" shall mean a gravity main in the location shown on Exhibit A. "Lower Miller Creek Interceptor" shall mean a gravity main in the location shown on Exhibit A. "Lower Miller Creek Force Main" shall mean a force main in the location shown on Exhibit A. "Upper Miller Creek Force Main" shall mean a force main in the location shown on Exhibit A. "Linda Vista Boulevard Interceptor" shall mean a gravity main in the location shown on Exhibit A. 1 ---PAGE BREAK--- "Maloney/Twite Developments" shall mean the planned developments of Maloney Properties, LLC and Lloyd A. Twite Family Partnership in the South Missoula Area, as identified in the South Missoula Sewer Evaluation. "Maloney/Twite Improvements" shall mean the sewer components required to serve Maloney/Twite Developments sized only to serve said developments. "City Improvements" shall mean the Lower Miller Creek Interceptor, the Upper Miller Creek Force Main, the Linda Vista Boulevard Interceptor, and service connections to select existing properties, all of which are shown on Exhibit A. "City Upsize Improvements" shall mean the upsizing of Maloney/Twite Improvements by City in order to serve properties in the South Missoula Area other than Maloney/Twite Developments. "Miller Creek Road Wye Project" shall mean the City project to reconstruct the surface improvements from the Miller Creek Road Wye vicinity to Briggs Street. "Project Engineer" shall mean WGM Group, Inc. Section 1.02. Exhibits. The following described exhibits are attached to this document and by this reference made a part hereof: Exhibit A - Project Components and Zones Exhibit B - Sewer Letter of Agreement between Maloney and Lloyd A. Twite Family Partnership Exhibit C - Zone A Improvements Opinion of Probable Cost Exhibit D - Zone B Improvements Opinion of Probable Cost Exhibit E - City Upsize Improvements Opinion of Probable Cost Exhibit F - City Improvements Opinion of Probable Cost Section 2. Recitals Section 2.01. The South Missoula Area is within the adopted service area of the 1999 Wastewater Facility Services Plan Update. This service area was updated in December 2007 with the Teton Addition subdivision. Section 2.02. Maloney is the developer of the Teton Addition subdivision, a subdivision which falls within the South Missoula Area. Section 2.03. A public hearing was held on December 10, 2007 and the Teton Addition subdivision was approved by the Missoula City Council on December 10, 2007. 2 ---PAGE BREAK--- Section 2.04. City engaged HDR Engineering, Inc. to prepare the South Missoula Sewer Evaluation to present alternatives for providing sewer service to the South Missoula Area. Section 2.05. Maloney and Lloyd A. Twite Family Partnership entered into an agreement on May 15, 2008 to specify the division of responsibilities and duties for each party for the construction of Maloney/Twite Improvements. In said agreement, attached as Exhibit B, Maloney is responsible for the construction of Zones 3,4, and 5. Lloyd A. Twite Family Partnership is responsible for the construction of Zones 1, 2, and 6. Section 2.06. Lloyd A. Twite Family Partnership funded, designed and constructed and City accepted in June 2008 a portion, shown as Zone 6 on Exhibit B, of the Lower Miller Creek Force Main, as defined in the South Missoula Sewer Evaluation. Section 2.07. City contributed funds to Lloyd A. Twite Family Partnership to upsize that portion of the Lower Miller Creek Force Main described in Section 2.06 of this Agreement from an 8-inch force main to a 14-inch force main. Section 2.08. Maloney and Lloyd A. Twite Family Partnership have determined through their consulting engineers the following main sizes are required to complete the Maloney/Twite Improvements: Twite Force Main: 6-inch Twite Interceptor: 8-inch Twite/Maloney Interceptor: 10-inch Maloney Ranch Interceptor: 10-inch Lower Miller Creek Force Main: 8-inch Section 2.09 City has agreed to upsize the Maloney/Twite Improvements from the sizes identified in Section 2.08 of this Agreement to the following main sizes identified by HDR Engineering, Inc. in the South Missoula Sewer Evaluation. Twite Force Main: 8-inch Twite Interceptor: 12-inch Twite/Maloney Interceptor: 12-inch and 15-inch Maloney Ranch Interceptor: 15-inch Lower Miller Creek Force Main: 14-inch Section 2.10 City has historically had problems with the Jack Drive pump station and is concerned with the potential for sewer overflow and therefore desires to abandon the station, as outlined in the South Missoula Sewer Evaluation. In so doing, City will construct the Linda Vista Boulevard Interceptor and the Lower Miller Creek Interceptor at the time of the construction of the Lower Miller Creek Force Main, all as defined in the South Missoula Sewer Evaluation and shown on Exhibit A. 3 ---PAGE BREAK--- Section 2.11 Portions of the Lower Miller Creek Force Main will be constructed within the construction zone of the Miller Creek Road Wye Project. Section 2.12 Maloney and City mutually agree it would be advantageous to have the portion of the Lower Miller Creek Force Main running through the Miller Creek Road Wye Project constructed as part of the Miller Creek Road Wye Project in order to coordinate construction and take advantage of construction economies of scale. Section 2.13. City has determined it would be advantageous to have the Lower Miller Creek Interceptor constructed at the same time as the Lower Miller Creek Force Main in order to coordinate construction and take advantage of construction economies of scale. C Section 2.14. The purpose of this Agreement is to set forth the representations and obligations of each of the Parties with respect to funding, designing, constructing, ownership and operation of the Project, as described in Section 3.01 of this Agreement. Section 3. The Proiect. Section 3.01. Proiect Description. This project consists of the Twite/Maloney Interceptor from Lower Miller Creek Road to the northern boundary of Maloney Ranch, the Maloney Ranch Interceptor, the Boggess/Ginter Pump Station, the Lower Miller Creek Force Main from the Boggess/Ginter Pump Station to Briggs Street, the Lower Miller Creek Interceptor, the Linda Vista Boulevard Interceptor, the six-inch force main in Upper Miller Creek Road from the Miller Creek Road Wye to Mockingbird Way, and service connections to select existing properties, all of which will be sized as defined in Section 2.09 of this Agreement. The project is comprised of six distinct zones, A, B, C, 0, E and F. All project components and zones are shown on Exhibit A. Section 3.02. Design of Zone A. Project Engineer shall prepare plans and specifications for Zone A, which shall be defined as a portion of the Twite/Maloney Interceptor from Lower Miller Creek Road to the northern boundary of Maloney Ranch, the Maloney Ranch Interceptor, the Boggess/Ginter Pump Station, and the Lower Miller Creek Force Main from the Boggess/Ginter Pump Station to the approximate break point between Zones A and B, as shown on Exhibit A. Section 3.03. Design of Zone B. Project Engineer shall prepare plans and specifications for Zone B, which shall be defined as the Lower Miller Creek Force Main from the approximate break point between Zones A and B to Briggs Street, as shown on Exhibit A. Section 3.04. Design of Zone C. Project Engineer shall prepare plans and specifications for Zone C, which shall be defined as select service connections to existing properties in Zone B, as shown on Exhibit A. 4 ---PAGE BREAK--- Section 3.05. Design of Zone D. Project Engineer shall prepare plans and specifications for Zone 0, which shall be defined as the Lower Miller Creek Interceptor, as shown on Exhibit A. Section 3.06. Design of Zone E. Project Engineer shall prepare plans and specifications for Zone E, which shall be defined as the Upper Miller Creek Force Main, including select service connections to existing properties, as shown on Exhibit A. Section 3.07. Design of Zone F. Project Engineer shall prepare plans and specifications for Zone F, which shall be defined as the Linda Vista Boulevard Interceptor, as shown on Exhibit A. Section 3.08. Construction of Zone A. Maloney agrees to construct the Zone A improvements. Section 3.09. Construction of Zone B. A. In order to facilitate coordination of construction efforts, City agrees to construct Zone B improvements simultaneously with the Miller Creek Road Wye Project provided the Zone B improvements are constructed and in service by November 30, 2009. City will determine within two weeks of the bid opening date for the Miller Creek Road Wye Project or by March 1, 2009, whichever occurs first, if the Zone B improvements will be constructed by City and in service by November 30,2009. B. If within two weeks of the bid opening date for the Miller Creek Road Wye Project or by March 1, 2009 City determines the Zone B improvements will not be constructed by City and in service by November 30, 2009, Maloney may choose to construct the Zone B improvements in advance of the Miller Creek Road Wye Project. In this case, City will contribute funds to the Project as outlined in Section 4.02.B of this Agreement. C. If within two weeks of the bid opening date for the Miller Creek Road Wye Project or by March 1, 2009 City determines the Zone B improvements will not be constructed by City and in service by November 30, 2009 and Maloney chooses not to construct the Zone B improvements in advance of the Miller Creek Road Wye Project, City and Maloney shall revise Section 3.09 of this Agreement to allow for an adjusted timeline for the Project. Said revisions must be agreed upon by mutual written consent of the Parties hereto. Section 3.10. Construction of Zone C. A. If Zone B improvements are constructed by City as outlined in Section 3.09.A of this Agreement, City agrees to construct the Zone C improvements at the same time as the construction of Zone B improvements. 5 ---PAGE BREAK--- 8. If Zone 8 improvements are constructed by Maloney as outlined in Section 3.09.8 of this Agreement, Zone C improvements will not be constructed as a part of this Project. C. If City and Maloney revise Section 3.09 as outlined in Section 3.09.C, City and Maloney shall also revise Section 3.10 of this Agreement in conjunction with revisions to Section 3.09. Said revisions must be agreed upon by mutual written consent of the Parties hereto. Section 3.11. Construction of Zone D. Maloney agrees to construct the Zone 0 improvements during construction of Zone A improvements. City will contribute funds to the Zone 0 improvements as outlined in Section 4.04 of this Agreement. Section 3.12. Construction of Zone E. City agrees to construct the Zone E improvements. Section 3.13. Construction of Zone F. City agrees to construct the Zone F improvements. Section 4. Allocation of Proiect Costs. Section 4.01. Zone A Funding. Maloney agrees to provide funding for the design and construction of the Zone A improvements, the total of which is estimated to be $1,709,171, as shown on Exhibit C. Section 4.02. Zone B Funding. A. If the Zone 8 improvements are constructed by City and in service by November 30, 2009, City agrees to provide funding for the design and construction of Zone 8 improvements to be built in conjunction with the Miller Creek Road Wye Project, the total of which is estimated to be $353,123, as shown on Exhibit D. 8. If within two weeks of the bid opening date for the Miller Creek Road Wye Project or by March 1, 2009 City determines the Zone 8 improvements will not be constructed by City and in service by November 30, 2009 and Maloney elects to construct the Zone B improvements in advance of the fv1iller Creek Road Wye Project, Maloney agrees to provide funding for the construction of Zone B improvements, the total of which is estimated to be $353,123, as shown on Exhibit D. In this case, upon construction completion and City acceptance of the Project, City agrees to reimburse Maloney for the cost of City Upsizing Improvements for the Project, the total of which is estimated to be $351,912, as shown on Exhibit E. 6 ---PAGE BREAK--- C. If within two weeks of the bid opening date for the Miller Creek Road Wye Project or by March 1, 2009 City determines the Zone B improvements will not be constructed by City and in service by November 30, 2009 and Maloney chooses not to construct the Zone B improvements in advance of the Miller Creek Road Wye Project, City and Maloney shall revise Section 4.02 of this Agreement to determine appropriate funding based on an adjusted timeline for the Project. Said revisions must be agreed upon by mutual written consent of the Parties hereto. Section 4.03. Zone C Funding. A. If the Zone C improvements are constructed by City and in service by November 30, 2009 as outlined in Section 3.1 O.A, City agrees to provide funding for the design and construction of improvements in Zone C, the total of which is estimated to be $60,060, as shown on Exhibit F. B. If Zone B improvements are constructed by Maloney as outlined in Section 3.1 O.B of this Agreement, the Zone C improvements will not be constructed as part of this Project, so no funding for Zone C improvements will be required by either Party. C. If City and Maloney revise Section 3.10 as outlined in Section 3.1 OC, City and Maloney shall revise Section 4.03 of this Agreement in conjunction with revisions to Section 3.10. Said revisions must be agreed upon by mutual written consent of the Parties hereto. Section 4.04. Zone D Funding. City agrees to provide funding for the design and construction of improvements in Zone 0, the total of which is estimated to be $352,783, as shown on Exhibit F. Design and construction of Zone D improvements will be initially completed by Maloney. City will provide actual design costs to Maloney upon approval of the plans from the Montana Department of Environmental Quality. City will provide 50 percent of estimated construction costs to Maloney within 30 days of the start of construction of Zone D improvements. Upon construction completion and City acceptance of the Zone D improvements, City will provide the remaining construction costs, based on actual construction costs, to Maloney. Section 4.05. Zone E Funding. City agrees to provide funding for the design and construction of improvements in Zone E, the total of which is estimated to be $141,757, as shown on Exhibit F. Section 4.06. Zone F Funding. City agrees to provide funding for the design and construction of improvements in Zone F, the total of which is estimated to be $552,100, as identified by HDR Engineering, Inc. in the Alternative D Cost Summary in the South Missoula Sewer Evaluation. 7 ---PAGE BREAK--- Section 5. Additional Undertakinas of City. Section 5.01. Ownership, Operation and Maintenance of the System. City agrees to take ownership of the Project when all required documents have been received and accepted by City, and upon verification that the Project is free and clear of any liens or encumbrances, and will agree to operate and maintain the Project as part of City's Sanitary Sewer System. Section 6.0. Notice. If notice is required to be given to any party under this Agreement, notice shall be deemed to have been given to such party, if notice is sent by first class mail to the representatives of the party designated below. P.O. Box 16027 Missoula, MT 59808 Section 7.0. Modification. Section 7.01. This Agreement may be modified upon mutual written consent of the Parties hereto. Section 8.0. Termination. Section 8.01. This Agreement shall become effective upon approval by the Council of the City of Missoula and signing by Maloney. This Agreement shall remain in 8 ---PAGE BREAK--- Date: / C' - 3' (C)!J full force and effect until the Project has been completed, the improvements have been accepted by City, and if Maloney has constructed Zone B improvements, City has reimbursed Maloney $351,912 for City Upsize Improvements, as described in Section 4.02 of this Agreement. Section 8.02 This Agreement may be terminated upon mutual written consent of the Parties hereto.
