The Minden Town Board meeting was held starting at 5:30 p.m. on Wednesday, May 5, 2021, at 1602 Esmeralda Ave, Minden, Nevada. Board Members present: Susan Jackson, Bill Driscoll, Roxanne Stangle, Bryan Davis, and Steve Thaler. Staff present: Ryan Russell, JD Frisby, Jeff Cady, Seth Altamirano and Rachel Hamer. Chairwoman Jackson called the meeting to order at 5:30 p.m. The Pledge of Allegiance was led by Member Davis. PUBLIC COMMENT: Mr. Turner gave public comment regarding globalists, COVID-19, several books and articles were cited, and inflation. APPROVAL OF AGENDA: Thaler/Driscoll moved and seconded approval of the May 5, 2021 Agenda with Administrative Agenda Item #1 being pulled from the Agenda at the request of the applicant. Motion carries unanimously. APPROVAL OF MINUTES: Driscoll/Davis moved and seconded approval of the April 7, 2021 Board Meeting Minutes. Motion carries unanimously. ACKNOWLEDGEMENT OF GIFTS: Mr. Frisby mentioned that Model Dairy and Alpen Sierra have committed to donating to the CV Days Breakfast. BOARD MEMBER REPORTS: Member Stangle reported that the Carson Valley Arts Councils meeting was canceled, but will resume in-person meetings soon. Member Driscoll withdrew his name from being on the Board for the Carson Valley Chamber of Commerce. There was nothing to report regarding the Good Governance Group. CONSENT AGENDA: 1. Approval of the April 2021 financial report including claims paid March 26, 2021 through April 22, 2021 for Fiscal Year 20/21. 2. Approval of an outdoor festival entertainment event application by Carson Valley Active 20-30 Club #85 for the 111th annual Carson Valley Days June 9th – 13th. This event includes closure of the following streets from 6:00 am to 1:00 pm, Saturday June 12th, for the Carson Valley Days parade: County Road from Hwy 88 to Sixth Street, Sixth Street from County Road to US HWY 395 and Esmeralda Avenue from Sixth Street to US HWY 395. Approval of this event also includes concurrent closure of Fifth Street from Esmeralda Avenue to Mono Avenue for the 10th annual Town of Minden Carson Valley Days Breakfast. For possible action: Discussion and possible action to approve, approve with conditions or deny an outdoor festival entertainment event application by the Carson Valley Chamber of Commerce for a Douglas County Graduation Parade on June 5th, 2021 from 9:00 am to 1:00 pm. This event includes closure of the following streets for the parade: County Road from US Hwy 395 to US Hwy 88. Appearance by Alicia Main, Carson Valley Chamber of Commerce. This item was pulled from the agenda. 2. For possible action: Discussion and possible action to adopt, adopt with conditions, continue or deny a Town of Minden Capital Improvement Plan for Fiscal Year 2022. Possible action may include discussion and approval of all or a portion of the projects on the Capital Improvement Plan. Appearance by Seth Altamirano, Town Accountant and JD Frisby, Town Manager. Mr. Altamirano gave brief explanation on the CIP and what is slated for this year. The Board did not have any specific questions. Public Comment: None After thoughtful and intelligent deliberation, Thaler/Stangle moved and seconded to adopt the Town of Minden Capital Improvement Plan for Fiscal Year 2022. Motion carries unanimously. 3. For possible action: Discussion and possible action to approve, approve with conditions, continue or deny a Town of Minden Fiscal Year 2021/2022 Final Budget. Appearance by Seth Altamirano, Town Accountant. Mr. Altamirano reviewed the Final Budget presentation with the Board, explained the change that they made from when the draft was reviewed, and then offered to answer any questions that the Board may have. Member Thaler asked what the plan was for the pavilion in Westwood. Public Comment: None After thoughtful and intelligent deliberation, Stangle/Thaler moved and seconded approval of the Town of Minden Fiscal Year 2021/2022 Final Budget. Motion carries unanimously. 4. For possible action: Discussion and possible action to provide staff direction regarding conceptual design changes for the Seeman Pond Improvement Project. Discussion and possible action may include selecting a restroom design concept and new location. Appearance by JD Frisby, Town Manager. ---PAGE BREAK--- Minden Town Board Minutes May 5, 2021 Page 3 of 4 Mr. Frisby gave a brief explanation on the reason why this is before the Board. He explained why the current conceptual placement doesn’t work due to sewer line. Staff is proposing a different type of restroom that is a flushing vault type that would just need to be pumped out when required. Member Thaler asked if this was still in budget and wanted a little more clarification on some of the features of the pond. Member Driscoll asked how frequently it would need to be pumped out. Mrs. Hamer relayed that they have 4,000 flushes before being pumped. Public Comment: None. After thoughtful and intelligent deliberation, Thaler/Driscoll moved and seconded approval of the restroom design as presented as well as the new location. Motion carries unanimously. 5. For possible action: Discussion and possible action to approve, approve with conditions, or modify the 2020 evaluation of the Minden Town Manager and determine a 0-3% merit increase based on performance. Possible action may also include adopting the Town Manager’s priorities and expectations for 2021. Appearance by Ryan Russell, Legal Counsel for the Town of Minden. Mr. Russell gave a summarization of the collected evaluation scores. The overall average was a 4.67. He offered to answer any questions that the Board may have. Member Thaler gave comments and expressed appreciation for all of Mr. Frisby’s hard work. Member Davis expressed appreciation of the communication with Mr. Frisby and the willingness to answer any questions. Member Stangle thanked him for his hard work, and expressed appreciation of his team building and his leadership. Member Driscoll agreed with the other Board Members and relayed how proud he is of the Town and that JD is an important part of it. Chairwoman Jackson expressed agreement with the other Board Members and said that the Town is so fortunate to have JD is always impressed with his knowledge. Public Comment: Mr. Turner mentioned that he is appreciative of Mr. Frisby. After thoughtful and intelligent deliberation, Thaler/Stangle moved and seconded to approve the 2020 evaluation of the Minden Town Manager as presented and to move forward with a 3% merit increase. Motion carries unanimously. 6. For possible action: Discussion and possible action to direct staff in relation to Staff Reports. Discussion shall include a Staff Report on the activities, progress on or status of assigned tasks and projects, or general information regarding operations and projects related to trash, retail and wholesale water service, and other functions of the Town of Minden. Appearance by Jeff Cady, Public Works Superintendent and JD Frisby, Town Manager. Mr. Cady offered to answer any questions that the Board may have on his submitted Staff Report and mentioned that there is a vacant position due to an employee relocating out of ---PAGE BREAK--- Minden Town Board Minutes May 5, 2021 Page 4 of 4 state. Mr. Frisby gave an update to the Board on items and projects that the Board may find of interest. Public Comment: None Member Stangle mentioned that the Farmers Market is coming back this month on May 18th. ADJOURNMENT: Chairwoman Jackson moved to adjourn the meeting at 6:16 pm.
