This is a formal solicitation of sealed proposals, which will be privately opened and reviewed to determine that the functional requirements of Millcreek City are met. The City of Millcreek shall be the sole judge as to which bid constitutes the "lowest responsible bid". The bid will be awarded after the appropriate approvals are received. THIS IS NOT AN ORDER PROJECT TITLE MILLCREEK CITY FEASIBILITY STUDY FOR THE GREATER SALT LAKE MUNICIPAL SERVICE DISTRICT INSURANCE Insurance will be required as stated in the Exhibit A attached to this request. PROPOSAL SUBMITTAL Proposals must be received no later than 11:00 AM, Thursday, November 17, 2016 by the Purchasing Department at Sandy City Hall, 10000 South Centennial Parkway, Suite 330, Sandy City, UT 84070 where they will be privately opened and reviewed. Proposals received after the deadline will not be considered. It is the responsibility of the bidder to ensure that the proposal arrives at Sandy City Purchasing prior to the time and date indicated above. Proposals should reflect best and most competitive offers. However, Millcreek City reserves the right to negotiate best offers prior to final award. Proposals must be submitted in a sealed envelope and clearly marked with “MILLCREEK CITY FEASIBILITY STUDY” on the front of the bid envelope along with bidder’s name and address. Sandy City Corporation Erica Langenfass, Purchasing Agent ---PAGE BREAK--- 2 Millcreek City Request for Proposals Feasibility Study for the Greater Salt Lake Municipal Service District Due Date and Time: November 17, 2016, at 11:00 a.m. 1. Introduction/Background. Salt Lake County provides municipal-type services to the unincorporated areas of the County through the Greater Salt Lake Municipal Services District On November 3, 2015, Salt Lake County held a local special election pursuant to Utah Code Ann. § 10-2a-404 to determine if the “Millcreek Planning Township” (an unincorporated area of the Salt Lake County that receives municipal-type services from the MSD) should incorporate as a metro township or as the city of Millcreek City. At the November 3, 2015 local special election, voters approved the incorporation of the Millcreek Planning Township as the city of Millcreek City (“City”); a map showing the boundaries of the City is attached hereto as Exhibit As part of the incorporation process, Salt Lake County held a primary election for the City Mayor and City Council on June 28, 2016. In order to facilitate the incorporation, all the candidates in the general election for City Mayor and City Council (“Final Candidates”) have participated in study sessions regarding various issues including the procurement of municipal-type services. Utah Code Ann. § 17B-1-502 allows the City the option to withdraw from the MSD and choose alternative methods of service delivery. The City of Millcreek may choose this option, provided, among other things, a feasibility study that complies with the requirements of Utah Code Ann. § 17B-2a-1110 has been completed, the City Council adopts a resolution no later than 180 days after the effective date of incorporation approving the withdrawal from the MSD, and a copy of the resolution is delivered to the board of trustees of the MSD. 2. Services Requested. It is anticipated that the City will formally incorporate on or about January 3, 2017. Therefore, if the City wants to withdraw from the MSD pursuant to Utah Code Ann. § 17B-1-502, then the City must satisfy the prerequisites identified in Utah Code Ann. § 17B-1-502 prior to July 3, 2017. The Final Candidates are requesting proposals (sometimes referred to as “Request”, “Proposal” or “RFP”) from qualified firms/individuals (“Proposer”) to conduct a feasibility study as outlined in Utah Code Ann. §17B-2a-1110 so that the City may properly evaluate withdrawal from the MSD. A copy of Utah Code Ann. §17B-2a-1110 is attached hereto as Exhibit Even though outside the scope of a feasibility study as outlined in Utah Code Ann. §17B-2a-1110, the Final Candidates are requesting that the Proposal include a component that evaluates contracting for services from the MSD. All services as contemplated by this RFP are collectively referred as the “Services.” For informational purposes only the MSD currently provides the following municipal-type services: ---PAGE BREAK--- 3 public works operation services (e.g. road maintenance, snow plowing, traffic control, traffic signal and street lights, concrete maintenance and construction, storm water environmental compliance, administration and miscellaneous) public works engineering services project management, permits and regulatory, storm drain, storm water environmental compliance, constituent engagement, new development, permitting/processing and review, roads and culverts, and transportation) animal services (e.g. field operations, shelter operations, veterinary operations, special programs, and administration) planning and development services (e.g. 24/7 building inspections, code enforcement, storm water environmental compliance, business licensing, planning, records management, and building permits) communications services (e.g. earned media, digital media, website, newsletters, public engagement, training, internal/external communication, community support/liaison) economic development services (e.g. business relationships, facilitate business expansion, relocation, retention, redevelopment agency, and community interface) parks operation services (e.g. park maintenance and park administration). 3. Proposal Requirements. One original and five written copies of the RFP are required to be submitted to Erica Langenfass, Purchasing Agent, Sandy City Corporation, 10000 Centennial Parkway, Suite 330, Sandy UT 84070, no later than 11:00 a.m. Thursday, November 17, 2016. Any response, modification, or amendment received after the due date and time is late. No late response, modification, or amendment will be accepted. No electronic Responses (facsimile, e-mail, or telegraphic) will be accepted. RFPs must include the following elements and be signed by an authorized representative of the Proposer: 3.1 Introductory Letter. An introductory letter expressing an interest in providing the Services should be included. The Proposer’s demonstrated ability to perform the required ---PAGE BREAK--- 4 Services at specified levels described in this RFP. The Proposer’s indication of the understanding of the purpose and scope of the proposed Services as evidenced by the quality of the Proposal submitted. Identify the type of business (corporation, partnership, sole proprietor, etc.) under which your firm operates, date business started, and license number to do business in the State of Utah. Indicate the address for the office that would provide the Services and location of headquarter office. Indicate the number of employees in the office providing the Services. 3.3 Project Team. Provide an organizational chart showing the level of organizational responsibility of all major participants of your proposed project team. For each person listed in the chart, please provide the estimated number of hours or the percentage of time the person is expected to work on the project. The percentages should be based on a 40 hour work week. Include resumes of those principals, partners and other key staff members who will be directly involved in the overall project. By listing the individuals in the proposal, the Proposer is making a commitment that the personnel listed are the personnel who will be assigned to this project. The City must approve any changes to the personnel indicated. Millcreek City reserves the right to request a substitution of personnel. If any part of the work will be provided by a subcontractor(s), please state their company name, their role in this contract, and the estimated amount of time. The Proposer will be responsible for verifying the qualification and validity of all licenses or permits for any out-sourced work to subcontractors. 3.4 Relevant Experience. Provide detailed relevant experience for projects of similar scope and comparable size and complexity which shall include the following: name of client, contact person and current phone number, brief description of project, date, total contract amount, and any other pertinent information regarding the experience. Millcreek City, or Sandy City on behalf of Millcreek City, may contact any or all of your clients for a reference. A Proposer who has completed a feasibility study in the past for another municipality should submit a copy of said study. 3.5 Proposed Approach. Describe how the Proposer will approach each task of the project. Describe the overall philosophy and how it will be applied to the project. Give a full description of the methodology to be employed in completing the tasks and deliverables of this RFP. Rather than stating commonly followed practices, focus on discussing issues and ideas that are unusual to this project and identifying unique practices of your firm. 3.6 Schedule. Time is of the essence in all project activities to assure the earliest possible project delivery. Provide a brief history of the Proposer’s past experience and the ability to complete projects in a timely manner. Provide a time schedule stating when the key tasks of your Proposal would be completed. This Section shall demonstrate the Proposer’s ability to provide desired Services within time frames specified and at specified levels as described in the scope of work. 3.7 Cost. The Proposal must include a total “not-to-exceed” price to complete the project that includes any and all professional fees and any and all costs the Proposer may incur, including any costs for transportation, lodging, communication, printing, etc. The Proposal must also include an hourly rate for each project team member who the Proposer plans to utilize in completion of the project. Millcreek City is not willing to pay an hourly fee for travel time. Costs should be broken down into the following subsections (which may or may not be formally required ---PAGE BREAK--- 5 to be included in the costs calculations for the 105 percent rule of Utah Code Ann. §17B-2a-1110); planning and zoning, animal control, streets (including maintenance, repair, snow plowing), weed control, street lights and signals, park and park areas, justice courts, business licensing, code enforcement, and engineering. Finally, the study should include a narrative of each service type that includes sensitivities taking into consideration the age of the City, what is included in the costs, and what percentage of the cost is profit to the organization or corporation. The sensitivities referenced in the previous sentence should be based on past incorporation examples. 4. Identification of Anticipated Potential Problems. Proposer should identify and describe any potential problems with respect to providing the Services. 5. Evaluation Criteria and Scoring Process. All Proposals received will be reviewed by a Review Panel (defined below). Each evaluation criterion has been given a percentage based on its relative value as a whole. Selection. Discussions may be conducted with Proposers determined by Millcreek City to be reasonably susceptible of being selected for the award. In addition, one or more Proposers may be invited to interview. Provided, however, that Proposals may be accepted without discussion or interview. The above criteria will be used unless modified in the interview evaluation. A Review Panel or individual(s) will be appointed by the Final Candidates (referred to hereinafter as “Review Panel”). The Review Panel reserves the right to modify the interview criteria during the course of this process. If such modification occurs, each Proposer being interviewed will be notified at least twenty-four (24) hours prior to the interview of the revised criteria. Based on the results of discussions, if any, interviews, if any, and proposal scoring, the Proposers will be rated by the Review Panel, and such recommendations will be forwarded to the Millcreek City Council or City Council elect and the City Council or City Council elect pursuant ---PAGE BREAK--- 6 to the authority of Utah Code Ann §10-2a-218 (which is applicable to incorporations of the Millcreek Planning Township pursuant to Utah Code Ann. §10-2a-413(2)) shall “negotiate and make a service contract.” The Millcreek City Council or City Council elect may select one or more Proposers to provide the Services. 7. General Information. Millcreek City reserves the right to reject any and all Proposals. The City reserves the right to amend, modify or waive any requirement set forth in this Request. Response to this Request is at the Proposer’s sole risk and expense. All Proposers must comply with applicable federal, state, and local laws and regulations. Except for written responses provided by the contact person described below (“Contact Person”), Millcreek City has not authorized anyone to make any representations regarding the subject matter of this Request. All requests for clarification or additional information regarding this Request must be submitted in writing to the Contact Person no later than November 9, 2016, at 3:00 p.m. The Contact Person will endeavor to respond to such request for clarification or additional information; and if the Contact Person deems, in his sole and absolute discretion, that such response is of general applicability, his response, if any, will be a formal Addendum (which constitutes a written response). Millcreek City anticipates selecting one or more of the responding Proposers, but there is no guarantee that any responding Proposer will be selected. Responses will be placed in the public domain and become public records subject to examination and review by any interested parties in accordance with the Government Records Access and Management Act (Utah Code Ann. § 63G- 2-101, et seq.). All materials submitted in response to this Request will become the property of Millcreek City and will be managed in accordance with the Government Record Access and Management Act. 8. Terms of Contract. The successful Proposer will be required to enter into a written agreement with Millcreek City to provide the Services. If the selected Proposer and the City are unable to negotiate an acceptable agreement, then another Proposer(s) will be selected by the Millcreek City Council or City Council elect and negotiation will continue with such other Proposer(s) until an acceptable agreement is completed. 9. For further information regarding the bid process or for American with Disabilities Act (ADA) accommodation, contact Erica Langenfass at (801) 352-4477. ---PAGE BREAK--- 7 EXHIBIT (Insurance Requirements) ---PAGE BREAK--- 8 AEXHIBIT A@ INSURANCE AND BOND REQUIREMENTS FOR PARTIES CONTRACTING WITH SANDY CITY FOR: MILLCREEK CITY FEASIBILITY STUDY FOR THE GREATER SALT LAKE MUNICIPAL SERVICES DISTRICT NOVEMBER 2016 Contracting party shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the contracting party, his agents, representatives, employees or subcontractors. The cost of such insurance and bonds shall be included in the Contracting party=s proposal. A. MINIMUM LIMITS OF INSURANCE Contracting party shall maintain limits no less than: 1. PROFESSIONAL LIABILITY/ ERRORS and OMISSIONS: $1,000,000 combined single limit per occurrence for premises/operations, products, public display, bodily injury, personal injury and property damage. 2. AUTOMOBILE LIABILITY: AAny Auto@ coverage is required meeting State requirements. 3. WORKERS= COMPENSATION and EMPLOYERS LIABILITY: Workers= compensation or Labor Commission waiver of workers’ compensation. B. DEDUCTIBLES AND SELF-INSURED RETENTIONS Any deductibles or self-insured retention, exceeding 5% limit of policy, must be declared to and approved by Sandy City. At the option of Sandy City, either; the insurer may be required to reduce or eliminate such deductibles or self-insured retention as respects Sandy City, its officers, officials and employees; or the contracting party may be required to procure a bond guaranteeing payment of losses and related investigations, claim distribution and defense expenses. C. NOTICE OF INCIDENT OR ACCIDENT Contracting party shall agree to disclose to Sandy City, all incidents or occurrences of accident, injury, and/or property damage covered by the insurance policy or policies. D. OTHER INSURANCE PROVISIONS The policies are to contain, or be endorsed to contain, the following provisions: 1) General Liability and Automobile Liability Coverages A. Millcreek City, and Sandy City, its officers, officials, employees and volunteers are to be covered as an additional insured as respects: liability arising out of activities performed by or on behalf of the contracting party; products and completed operations of the contracting party; premises owned, leased, hired or borrowed by the contracting party. The coverage shall contain no special limitations on the scope of ---PAGE BREAK--- 9 protection afforded to Sandy City, its officers, officials, employees or volunteers. B. The contracting party's insurance coverage shall be a primary insurance as respects to Sandy City, its officers, officials, employees and volunteers. Any insurance or self-insurance maintained by Sandy City, its officers, officials, employees or volunteers shall be in excess of the contracting party's insurance and shall not contribute with it. C Any failure to comply with reporting provisions of the policies shall not affect coverage provided to Sandy City, its officers, officials, employees or volunteers. D The contracting party's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respects to the limits of the insurer's liability. 2) Workers' Compensation and Employers Liability Coverage The insurer shall agree to waive all rights of subrogation against Sandy City, its officers, officials, employees and volunteers for losses arising from work performed by the contracting party for Sandy City. III. All Coverages Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended, voided, canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice by certified mail, return receipt requested, has been given to Sandy City. E. ACCEPTABILITY OF INSURERS Insurance and bonds are to be placed with insurers admitted in the State of Utah with a Bests' rating of no less than IX, and in the limits as listed in this document, unless approved by the Director of Risk Management. F. VERIFICATION OF COVERAGE Contracting party shall furnish Sandy City with certificates of insurance and with original endorsements effecting coverage required by this clause. The certificates and endorsements are to be signed by a person authorized by that insurer to bind coverage on its behalf. The certificates and endorsements are to be furnished to and accepted by Sandy City before work commences. The City reserves the right to require complete, certified copies of all required insurance policies, with all endorsements, at any time. G. SUBCONTRACTORS Contracting party shall include all subcontractors as an insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverages for subcontractors shall be subject to all of the requirements stated herein. H. INDEMNIFICATION / LIABILITY Contracting party shall indemnify, defend and hold harmless the Customer, its officers, agents, employees and volunteers from all damages, costs or expenses in law or equity, including attorneys fee, that may at any time arise or be set up because of damages to property, bodily injury or personal injury received by reason of or in the course of providing the goods and services provided to the City which may be occasioned by any willful, negligent or wrongful act or omission of the contracting party, any of their employees or any subcontractors. ---PAGE BREAK--- A municipality may withdraw from a municipal services district in accordance with Section 17B-1-502 or 17B-1-505, as applicable, and the requirements of this section. If a municipality engages a feasibility consultant to conduct a feasibility study under Subsection the 180 days described in Subsection 17B-1-502(3)(a)(iii)(B) is tolled from the day that the municipality engages the feasibility consultant to the day on which the municipality holds the final public hearing under Subsection If a municipality decides to withdraw from a municipal services district, the municipal legislative body shall, before adopting a resolution under Section 17B-1-502 or 17B-1-505, as applicable, engage a feasibility consultant to conduct a feasibility study. The feasibility consultant shall be chosen: by the municipal legislative body; and (ii) in accordance with applicable municipal procurement procedures. The municipal legislative body shall require the feasibility consultant to: complete the feasibility study and submit the written results to the municipal legislative body before the council adopts a resolution under Section 17B-1-502; submit with the full written results of the feasibility study a summary of the results no longer than one page in length; and attend the public hearings under Subsection The feasibility study shall consider: population and population density within the withdrawing municipality; (ii) current and five-year projections of demographics and economic base in the withdrawing municipality, including household size and income, commercial and industrial development, and public facilities; (iii) projected growth in the withdrawing municipality during the next five years; (iv) subject to Subsection the present and five-year projections of the cost, including overhead, of municipal services in the withdrawing municipality; assuming the same tax categories and tax rates as currently imposed by the municipal services district and all other current service providers, the present and five-year projected revenue for the withdrawing municipality; (vi) a projection of any new taxes per household that may be levied within the withdrawing municipality within five years of the withdrawal; and (vii) the fiscal impact on other municipalities serviced by the municipal services district. For purposes of Subsection the feasibility consultant shall assume a level and quality of municipal services to be provided to the withdrawing municipality in the future that fairly and reasonably approximates the level and quality of municipal services being provided to the withdrawing municipality at the time of the feasibility study. (ii) In determining the present cost of a municipal service, the feasibility consultant shall consider: the amount it would cost the withdrawing municipality to provide municipal services for the first five years after withdrawing; and ---PAGE BREAK--- Utah Code Page 2 the municipal services district's present and five-year projected cost of providing municipal services. (iii) The costs calculated under Subsection (4)(a)(iv) shall take into account inflation and anticipated growth. If the results of the feasibility study meet the requirements of Subsection the municipal legislative body shall, at its next regular meeting after receipt of the results of the feasibility study, schedule at least one public hearing to be held: within the following 60 days; and for the purpose of allowing: the feasibility consultant to present the results of the study; and (ii) the public to become informed about the feasibility study results, including the requirement that if the municipality withdraws from the municipal services district, the municipality must comply with Subsection and to ask questions about those results of the feasibility consultant. At a public hearing described in Subsection the municipal legislative body shall: provide a copy of the feasibility study for public review; and allow the public to express its views about the proposed withdrawal from the municipal services district. The municipal clerk or recorder shall publish notice of the public hearings required under Subsection at least once a week for three successive weeks in a newspaper of general circulation within the municipality; and on the Utah Public Notice Website created in Section 63F-1-701, for three weeks. (ii) The municipal clerk or recorder shall publish the last publication of notice required under Subsection at least three days before the first public hearing required under Subsection If, under Subsection there is no newspaper of general circulation within the proposed municipality, the municipal clerk or recorder shall post at least one notice of the hearings per 1,000 population in conspicuous places within the municipality that are most likely to give notice of the hearings to the residents. (ii) The municipal clerk or recorder shall post the notices under Subsection at least seven days before the first hearing under Subsection The notice under Subsections and shall include the feasibility study summary and shall indicate that a full copy of the study is available for inspection and copying at the office of the municipal clerk or recorder. At a public meeting held after the public hearing required under Subsection the municipal legislative body may adopt a resolution under Section 17B-1-502 or 17B-1-505, as applicable, if the municipality is in compliance with the other requirements of that section. The municipality shall pay revenues in excess of 5% to the municipal services district for 10 years beginning on the next fiscal year immediately following the municipal legislative body adoption of a resolution or an ordinance to withdraw under Section 17B-1-502 or 17B-1-505 if the results of the feasibility study show that the average annual amount of revenue under Subsection exceed the average annual amount of cost under Subsection (4)(a)(iv) by more than ---PAGE BREAK--- Utah Code Page 3 Amended by Chapter 176, 2016 General Session
