012011.00004 Business 20632043v1 CLOSING ITEM NO.: A-1 AMENDMENT TO FINANCING AGREEMENT THIS AMENDMENT TO FINANCING AGREEMENT, dated as of February 24, 2021, by and between the City of Albany (the “City’’), the Albany Water Board (the “Board”), and the Albany Municipal Water Finance Authority (the “Authority”); W I T N E S S E T H: WHEREAS, the City, the Board, and the Authority have previously entered into that certain Financing Agreement dated as of October 1, 1987, as amended and supplemented; and WHEREAS, pursuant to Section 1115-h(4) and of the Public Authorities Law, a public hearing was held on January 29, 2021 with respect to this Amendment, with sufficient and proper notice of said public hearing being given in accordance with the aforementioned statutes; and WHEREAS, pursuant to Sections 2.1 and 10.1 of the Financing Agreement, each of the parties hereto has adopted resolutions authorizing execution and delivery of this amendment; and WHEREAS, all things necessary have been done to make this Amendment, when executed by the City, the Board, and the Authority, a valid, legal and binding obligation of the parties thereto; NOW THEREFORE, THIS AMENDMENT TO THE FINANCING AGREEMENT WITNESSETH, that the City, Board and Authority agree as follows: Appendix A to the Financing Agreement shall be amended to include the projects described on Appendix A attached hereto. ---PAGE BREAK--- 012011.00004 Business 20632043v1 [SIGNATURE PAGE – AMENDMENT TO THE FINANCING AGREEMENT] IN WITNESS WHEREOF, the City, the Board and the Authority have caused this Amendment to be executed by their respective duly authorized officials, all as of the 24th day of February, 2021.
